Hayhauler my investment in AMEP was much much more then what remains. I consider this an extream high risk, but if the R/S is defeated we could see a pop. If we can replace CB there is a great chance for a real run. If there is a classs action lawsuite I'll recover.
contractor CB is a negotiator. When the RS get voted down yes he will propose another RS. However he may first try an alternative tactic. In his mind as the share price is held down the stock holders are more apt to come to his ideas. On our side is the closer we ge to an annual meeting and the ability to vote out him and the board the better our negotiating powers. Its now going to be a game of time. Many investors in penny stocks have a short love life with a declining stock He is betting on this. Most have no clue as to how to value a resources company. aThis is not a Dot com company. To many young investors won't have the patience to hold and they sure don't have the guts to fight. They belong to the cut and run generation.

I voted No. I have about $36,000 invested. Now under water. If I can't get out even or near even I can take it as a loss against other current long term gains. I liked this company early on as it was Barnett shale where I have other investments so I understood it. They had their own rigs as I saw as a big plus. I didn't like it small acreage holdings. At one time I had more acres then they curreently have in the oil patch. Mine were spread over many western states. The ones I still hold are only in 2 states.
Nelderand we may be on the same page just saying it different. It is the potential dillution which has casued the drop, but there will be reluctance upon future risk takers ie new stock buyers and even lenders who accept options for shares as a sweetner.The CEO has in effect said he is reneging upon his business dealing contract with the company. That does not bode well for future business with stock and lending agencies in the oil patch. If the RS fails even then the SP will suffer IMO as they see CB and the board as ones who can not be trusted.
If we get possitive drilling results we have ability to do a corporate bond or a bank loan.
ajaxx when a comoany does a stock buy back it is a sign they don't see any resonable opportunity to invest in. They have given up on attempting to expand the growth of the company and want to mask a decrease in performance as they will hold up a share price which other wise would drop. Present worth of future bennefits was usually based upon an earnings growth which now has dropped. So share price should drop but the buy back prevents a sever drop. Also allows top brass to get options and exercise them. First sign IMO of a company having a loss of growth is share buy back.
the reason the SP is down is lost trust in the leader. He has an agreement with the company for a set fee. He now wants to extract a bonus via fear tactics. This type of manuver throws up red falgs for future loans and share sales. Rejecting the RS is the first step to returning the company to an orderly market. IMO
Contractor I won and lost. I didn't get all I went after but did end up with 3 members of the board being replaced. The company also implemented restrictions as to ownership of shares which now prevents members of the board acquiring shares. It had appered some board members were attempting to take over the company. As for the $15,000 I suspect it would take closer to $100,000 in todays legal fees. Also at this meeting there isn't a vote on officers. I don't remember seeing anything about a proxy covering votes on new business. We would need to begin action prior to the schedualed annual meeting or petition for a special meeting.
contractor One way is at the annual meeting candidates are submitted from the floor. It may be possible to also have these names submitted on the offical documents sent out from the company. Depending upon the articles of incorporation or incorporated state's laws one can have amendments and noninations presentated at the time the annual meeeting is called. It may also be possible to call for a special meeting. The cost to do so would be the burden of the one calling the meeting. About 25 years ago in my younger days I did challenge a small unlisted company with about 500 share holders. Under the preemptive rights of shareholders I obtained the shaerholders list and did a proxy letter. I used an attorney who cost me nearly $15,000 and my printing and mailing came to about another $500. Since I was implementing a hostial action I used an attorney to keep me away from any lawsuite in the event I didn't follow proper proceedure.
regardless of the outcome of the vote the creditability of this current management to obtain financing and or sell shares has been severly compromised. If you were a lender or stock buyer would you take a possiton now kowing that the current manager did not follow channels to obtain a new managment contract? Instead he used threats to attempt to gain control of the company. The only way AMEP can see an increase in SP is to remove CB and his staff. AS soon as the vote is over an action should be implemented to remove them and the BOD.

exceo I can remember when I saw TGA drop back to the 1/4 area and added. I have never regretted it. If you believe your DD you stay with your DD until its proved you are wrong. With oil exloration that is one long term wait. I just released land for 3 and 2 I amy ahve to wait 5 to see production on that. Of course that is low risk as I have a very low cost entry and the lease payment was more then my original cost. Rocket when I spoke with the company I was told the Rig could not be moved due to all the rain in TX. That told me the rig was built waiting delivery and sitting in a yard or on trucks.
That is why someone must be there to challenge the proxies. Someone other then management needs to be there for the actual counting. Numbers can be turned in by machines and collection companies, but who monitors the final count? Usually its managment
CB has an agreement to work for the company. He accepted a set amount he is to be paid.If he expects a bonus he needs to prove to the owners (shareholders) that he has increased the value of the company. Based upon the increase I would favor a bonus. What he is demanding is ot fair. His method is extortion. from what he has just done it appears the value has dropped. Why give a bonus for failure?

There are many Nobel prizes Anyone can nominate, but if the recommened guide lines for that particular award are not with in the guide lines of the committe the nomination will be disallowed. However anyone can be nomintaed. Every year many are sent in who do not qualify, but they are sent due to resepect for that individual. Do you think Rush Limbaugh will get a Nobel prize. He was nominated.

Kobiashi I believe that to be correct. I can't see how a USA gov can negate an old contract between a buissness entiry and a foreign entity especialy one in which there was a service provided. The US government can notestablish fees a buisness can charge a foreign entity it would be restraint of trade.
Freemarket. I'm not sure it would have cost $50,000 for the update. THe field in question is not that large. I woud favor a new evaluation before splitting up the company or selling off any part(s) of it. I think any prudent buyer would also want that. Even if we have one a buyer may perform ne on their own just to verify.

Fish production companies are valued as to reserves not what has been produced. Price of oil going up gas going up slow production not an issue what is left is the value minus production costs. CB and BOD know wht the reserves are, Theyu just are telling claiming its to costly to have an appraisal done. Let them tell you what the costs of an appraisal are. Also what did the last drillings discover?

electric on the other hand if the offer is made only to a major shareholder and he sells to a group which then becomes the 51% holder what rights do the then minority shareholders have. Would they be squeezed or granted preferential rights should they remain? What type of compensation is then offered to small holders who were not in the negotiations with the larger holder? Do the winners of the old major shareholders shares have an obligation to pay the remaing shareholders the same as the prior sale of can they offer the remaining holders a lesser amount. Why would SEO sell to anyone? he has a plan and knows what the expected return is. What could make him sell. Restrictions have time limits.
Thanks wlbne I get all my important mail via USA mail. I don't trust internet as I all to often deleat items en mass and have done so to important stuff. So for me I prefer fax but USA mail is the alternative. I get over 300 emails per day most is junk.

CTB he wasn't receptive because he doesn't want to have a releasse from the company nor himself which he may not want to adhere to at a latter date. Posters can say he has restrictions and they will not be changed,but he can't personnaly make taht claim. He wants to change his employment agreement with the company so what makes you think he won't make changes in the future. He is a tough negotiator and must be dealt with as such.
