Curious if you were able to glean any further information about "resolving the lawsuit in the next couple of days". Sounds like you've had some good conversations with the company [ or related folks] in the past, so any insight you have would be appreciated here.
I put in for 10k @ .05 in pre-market in my 401k to see if it'll be worth it in the long run. If not, ah well... $500

I am replying to this post from April because I think there is some important information in it, compared to the recent CEO Letter. The CEO stated that Walgreens had sold 2000 units in Q3. with the product in 6200 stores, they must have bought at least 30,000 units to stock 5 per store. If walgreens is holding the payment on all of these units until this silly lawsuit is settled, then the amount of $$ the company will have coming in will be immense.
Thinking about it, with our DD of the store visits, I figured that each store would have sold at least 5-10 in that 3 month period and maybe the CEO really meant that they had gotten paid for 2000 units and the rest of the units are waiting to be paid for.
Anyway, It would be great to have some confirmation that the company and Technimed settled the lawsuit and are able to move on agressively to get back into Costco, etc.
Here's my reasonable answer.
This is a public message board to discuss the company. Even though I made a bad choice and it cost me a LOT of money, and even cost me MORE money with the further investment I made, I have always kept it professional and have very thoroughly expressed my reasons for staying and going. I am asking you to be professional and share with us reasonable explanations of what many believe to be 'shady' things going on behind the scenes.
I was a very, very large supporter until I found out what was really happening behind the scenes. Nothing has ever been shown to me to lead me to believe that I need to change my mind back to being a believer. RH shows us time and time again - for instance by not paying his lawyers - that he can't be trusted for the long haul. I also have funds WAITING to buy back in if it can be proven that this company will actually deliver.
Stop getting personal, that's unprofessional.
I sold most of my PINR during the last run - I think I sold most of them at .0006 and .0005, buying a few on the way down at .0002 and .0003. I'm holding only about 4.5M now, but because I originally bought at over .001, My average is still around .0004.
I've got a few limit sells in, but with all of the postings this weekend and with the raise in AS, I suppose I might throw $500 at this and double my holdings at .0001 if I can get some.
Still a decent mini-upside here toward the end of the year with some good MOMO and Press releases.

bottom line - it would be great if one of you/BF/etc could contact Rafael and discuss the ongoing lawsuit, the BIO patents, and the newly created company and have him respond such that you could report back to the group. It would also be good to understand how he could choose to not pay his lawyers?!?
There's significant negative possibilities happening that those of us who "do not believe" think that this might be the last straw. Those that "do believe" consider all of these things just bumps, or inconveniences.
Sure, the company has been in business a year, and yeah, this company could have been worth $10 a share already, but many of us believe it has been mismanaged from the top for that persons personal gain. Many have been left in his wake, some had a choice (like me) and others didn't (like previous employees, and lenders, and the lawyers..

I'm definately looking forward to some information from the company upon resolution of the lawsuit. Resolution will allow ASFX to get the money they sorely need from Walgreens.
More importantly, I'm curious what happened to the 75M shares the company 'used'.. if the company has needed these shares:
(a) to pay off Technimed's outstanding debt
(b) to pay the legal bills
(c) fund some other cool stuff
Then It'll be good to know what that was for. 75M shares haven't ended up on the market yet, and pinksheets calls out that the float is 120M shares, so someone has them... Who is it?
Someone associated must be reading iHub - either Chris, Erika, or Ron, so hopefully they will give us some good timely information. The company needs to get under from all of their unpaid debts, and once they do, this will fly fly fly.
I currently own 10M shares with an average price of slightly over .0002. I'd like to pick up 20M more at .0001 but would probably live with 10M more at .0002, cuz I think there'll be a mini run sometime in the nearish future. It always goes to .0003 or .0004, as long as some news comes before end of year. 100% on 2k isn't anything to sneeze at.

AGAINST PLAINTIFFS
31. Tecnimed srl (“Tecnimed”) is an Italian company located at p.le Cocchi, 12-21040 Vedano Olona (VA), Italy.
32. American Scientific Resources, Inc. (“American Scientific”) is a Nevada Corporation with its principal place of business at 1112 Weston Road, Unit 278, FL 33326.
33. Kidz-Med, Inc. (“Kidz-Med”) is a Florida Corporation with its principal place of business at 1112 Weston Road, Unit 278, FL 33326.
34. This Court has jurisdiction over the counterclaim pursuant to 28 USC §1332 (a)(2) in that the matter in controversy exceeds the sum of $75,000, exclusive of interest and costs, and is between citizens of a State and citizens or subjects of a foreign state.
35. Venue is appropriate in this district pursuant to 28 USC §1391(b).
36. This Court has personal jurisdiction over American Scientific and Kidz-Med in that they transact business in the State of New York and have consented to personal jurisdiction in this district.
The Agreement and Notes
37. The parties to this action were parties to a certain distribution agreement for thermometers manufactured by Tecnimed (the “Agreement”), pursuant to which Tecnimed agreed to supply and Kidz-Med and American Scientific agreed to purchase and distribute certain thermometers.

38. In connection with the Agreement and Tecnimed’s delivery of thermometers to American Scientific and Kidz-Med, American Scientific executed a Promissory Note dated October 30, 2007, in the principal amount of $350,000 for the benefit of Tecnimed (the “First Note”).
39. In connection with the Agreement and Tecnimed’s delivery of thermometers to American Scientific and Kidz-Med, American Scientific also executed a Promissory Note dated April 1, 2008, in the principal amount of $258,800 for the benefit of Tecnimed (the “Second Note,” and together with the First Note, the “Notes”).
40. Tecnimed has a perfected security interest against the assets of American Scientific and Kidz-Med.
41. In an Addendum to the Agreement dated March 31, 2008, which forms part of the Agreement, American Scientific agreed, among other things, to “promptly transfer back” 12,000 thermometers to Tecnimed.
42. In the Addendum to the Agreement, American Scientific also agreed to pay Tecnimed a percentage of any revenues received either from its customer, Walgreens, or from any financings.
Plaintiffs’ Breach of the Agreement and Default Under the Notes
43. American Scientific has failed to make any payments as when due under the Notes.
44. American Scientific has failed to return any of the thermometers as required by the Addendum to the Agreement. Upon information and belief, the thermometers that American Scientific agreed to return are presently located at Jamestown Container Companies (“JCC”).

JCC has refused to surrender such thermometers on the grounds that American Scientific and Kidz-Med owe it in excess of $100,000.
45. American Scientific has failed to pay Tecnimed any proceeds from sales of the thermometers to Walgreens or from financings.
46. American Scientific and Kidz-Med have further breached the Agreement by, inter alia, failing to comply with the Agreement’s (i) first order requirements, (ii) payment provisions, (iii) inventory return provisions, (iv) minimum purchase provisions, (v) advertising requirements, (vi) sales and support requirements, (vii) pricing and information requirements, and (viii) information disclosure requirements pertaining to Walgreens. Such defaults have remained uncured for more than 30-days following notice and have given rise to an event of termination under the Agreement.
47. On or about June 6, 2008, Tecnimed gave written notice to American Scientific that an Event of Default had arisen under the Notes as a result of American Scientific’s failure to make principal and interest payments as and when due, and demanding payment in full of the outstanding principal and interest then due.
48. On or about June 6, 2008, Tecnimed sent a letter to Plaintiffs informing them that the Agreement was terminated.
49. On or about June 6, 2008, Tecnimed advised Walgreens, a purchaser of the Tecnimed thermometers, that proceeds of any sales of Tecnimed’s thermometers should be paid to Tecnimed or held in escrow pending resolution of the disputes between the parties to this proceeding.
50. On June 24, 2008, Walgreens advised that it would hold any payments pending resolution of this matter.

FIRST COUNTERCLAIM
(Breach of the Agreement)
51. Tecnimed incorporates by reference Paragraphs 31 through 50 of the Counterclaims as if set forth in full herein.
52. American Scientific and Kidz-Med have materially breached the Agreement.
53. Tecnimed is owed damages in an amount to be determined at trial, but believed to be in excess of one million dollars.
SECOND COUNTERCLAIM (Default of Promissory Notes)
54. Tecnimed incorporates by reference Paragraphs 31 through 50 of the Counterclaims as if set forth in full herein.
55. American Scientific has failed to meet its payment obligations under the Notes, which are now due and payable in full in the principal amount of $608,000, plus interest.
THIRD COUNTERCLAIM (Declaratory Judgment)
56. Tecnimed incorporates by reference Paragraphs 31 through 50 of the Counterclaims as if set forth in full herein.
57. There is an actual controversy between the parties within the meaning of 28 US §§2201 and 2202 as to the entitlement to the proceeds of Walgreens’ sales of Tecnimed’s thermometers.
58. Tecnimed is entitled to a declaratory judgment that it is entitled to the proceeds of the sales.
WHEREFORE, Tecnimed respectfully requests judgment against Plaintiffs:
(i) dismissing Plaintiffs’ Complaint with prejudice and denying each and every request for relief set forth therein;

(ii) awarding Defendant damages in an amount to be determined at trial, but believed to be in excess of one million dollars;
(iii) awarding Defendant principal and interest due on the Notes;
(iv) declaring that Tecnimed is entitled to the proceeds of Walgreens’ sales of the Product;
(v) declaring that Plaintiffs return all thermometers in their possession or control to Tecnimed;
(vi) awarding Defendant the costs, disbursements and expenses of this action, together with prejudgment interest and attorneys fees;
(vii) granting Defendant the right to foreclose upon collateral sufficient to satisfy Plaintiffs’ obligations under the Agreement and Notes; and
(viii) granting such other and further relief as the Court may deem just and equitable.

From Dr. Tirotta himself, I have confirmed that his hospital is using the Thermofocus in the PACU and the Radiology Area.
With both of these hospitals using the product, I can imagine that word *IS* getting out to other hospitals.

Through my contacts @ Phoenix Childrens Hospital, I have confirmed that PCH is using the Thermofocus in the Emergency Department. I have confirmed this from the Lead Technician in the Biomedical Engineering Department.

CEO Letter
I would like to take this opportunity to update our valued shareholders on the progress at American Scientific Resources, Inc (ASFX).
As you may remember, the stock market started heading south around the turn of the year, and major news organizations also began bandying the word "recession." Wall Street has since become unglued, particularly over the past several weeks, and the word "recession" is being used more often than not. Despite the market turmoil, ASFX continues to push through economical obstacles and achieve progress. Outlined herein are my answers to questions that have risen recently, and are in no particular order of importance.
Current share structure. As of September 30, 2008, there are 242,739,928 shares outstanding, 118,228,466 restricted shares and 124,511,462 free trading shares.
Walgreens recent activity and projections. During Q3, nearly 2000 units were sold at Walgreens. Now that the cough /cold season is upon us, volume is expected to increase. During October, November and December of 2007, approximately 2400 units were sold. Due to increased awareness, numbers are expected to surpass that of winter 2007.
World leading dedicated toy and baby products retailer update. In late July, we secured an order for 834 Thermofocus units from this retailer. The products are currently on the shelves at 150 of their 250 nationwide stores just in time for two key selling seasons: cough/cold and the holidays. This past week, they placed an additional order for 2,100 units. Nondisclosure agreements will not allow the name of this major retailer (now in the top 50 within the Forbes listed Reputation Institute Report) to currently be released.
Mass Merchant/Chain Drug negotiations. Retailers set their planograms months in advance. Therefore, we will approach all of the major retailers at the ECRM show in February/March for the 2009/2010 cough/cold season.
Thermofocus Receives Prestigious Award. No link to Costco. Kidz-Med has never claimed that their Kidz-Med Thermofocus 5-in-1 non- contact thermometer was in Costco. The Kidz-Med brand has never been sold at Costco. Another entity was able to place the product there, and we cannot confirm whether that model is or is no longer available at Costco.
Goals for Q4. As we've mentioned in a prior announcement, we are planning on adding a top European baby product called the mommy recorder to the Kidz-Med website (www.kidzmed.com). The Italian manufactured Mommy Recorder is a unique voice-recording device, which allows a mother to easily record a 6-second message designed to calm baby when he or she is upset. Baby's cry activates the message, and will then repeat itself 8 times in order to provide a soothing environment for the child. The mobile device easily mounts to the baby's crib, and duals as a soft night-light. Two educational DVD's will also be added to the product line, which focus on child health, safety and well-being. We have also broadened our online marketing focus to include social media marketing which is a current trend being adopted by most major businesses in order to gain enormous brand awareness in a particular target market. The no-cost strategy is designed to increase SE rankings and conversions.

Okay, so I changed my target audience a bit to include MEN too. I didn't think of that the first time, and then thought that MEN would be more likely to binge buy then women, and now I've got more going on.
