SEC Lightens Up On Quiet Period Rules David Utter
Expert Author
Published: 2005-06-29
A long-anticipated modernization of 75 year-old rules regarding stock promotions has taken place.
The securities industry has long chafed under the ancient rules governing what may and may not be said ahead of a company's initial public stock offering.
The SEC, fearful of potential scams and abuses that could artificially pump up a stock's price, put rules into place to limit what could be said publicly by a company going public.
"The package that we consider today will modernize the securities offering and communication process while maintaining investor protection," SEC Chairman William Donaldson said in Washington. "Investors are entitled to information at the point they commit to purchase a security."
It appears that the SEC has responded to the needs and capabilities of a society where instant communication and information sharing takes place.
A company making public statements must ensure their accuracy, similar to existing requirements of prospectuses. Copies of media interviews and comments must be provided to the SEC.
Electronic roadshows for IPOs would have to make the material available to an unrestricted audience to avoid filing with the SEC. Other roadshows aren't subject to filing, the agency said.
Google's IPO nearly fell apart when the company's founders did a media interview during the quiet period. That IPO went forward and was valued at nearly $3.5 billion USD.

Rookie Andretti receives an 'A'
http://www.indycar.com/news/story.php?story_id=6632
Saturday, May 20, 2006

indycar.com
Marco Andretti feigned relief upon hearing he received a passing grade.
That Andretti’s father/instructor/confidant issued an “A” for his first Indianapolis 500 qualifying effort truly meant a lot. Andretti was the fastest rookie qualifier, recording a four-lap average of 224.918 mph (2 minutes, 40.0586 seconds). He will start ninth in the No. 26 NYSE Dallara/Honda/Firestone for the 90th Running of “The Greatest Spectacle in Racing.”
“It’s a great feeling, but a feeling of relief, too,” said Michael Andretti, who will start 13th (224.508 mph) in the No. 1 Vonage/Jim Beam Dallara/Honda/Firestone. “This day is the worst in terms of pressure. It was for me, so I can’t even imagine what it was like for Marco being his first time here. I’ve been here a lot longer and it’s still nerve-racking.
“It’s special to finally get it done and we have two cars solidly in the field, father and son, and now we go to race. Now I just have to pass him.”
Marco Andretti, who posted his quickest lap of the month in the pre-qualifying practice session (226.370 mph), said nervousness gave way to focus and determination.
“I was really happy and the best thing was there were no surprises,” he said. “Don't get me wrong, those were definitely the longest four laps of my career. But the guys did a great job giving me a great car. It just feels great to be done with it.
“I definitely felt a lot of pressure. I got some great advice from my teammate Tony Kanaan. He just told me to put the helmet on, flip the visor down and go. There are a lot of people that try to tell you to act a certain way out there, but others tell you just be yourself and drive the car and that's what I try to do.”
And how about bragging rights in the family? His father started fourth and finished fifth in his rookie (1984) 500-Mile Race.
“He has been working on race set-up most of the time because he's here to win the race, not take the pole,” Marco said.
The May 28 race will mark the fourth time in Indianapolis 500 history that a father and son have competed against each other. (Mario and Michael Andretti; Mario and Jeff Andretti; Al Unser Sr. and Al Unser Jr.). Michael Andretti said he’s been impressed by the rookie through the three weeks of preparation – handling the car and weather interruptions with aplomb.
“There have been times when his car was not good, but he was still driving it and I was like, ‘Wow, how is he doing this?’ He was smart enough not to go over the edge, so I give him an A,” Michael Andretti said.
Michael Andretti, who will make his 15th start, said he’ll “take” the starting position. He also started 13th in his last 500-Mile Race in 2003 (finishing 27th).
“One thing is there have been times this month when things haven’t been going good and you start wondering ‘Why the hell am I here?’ But then you put it back out there like we did today and you know why you’re here.
“I was happy with the speed and the consistency. It shows the car was pretty good. (The starting position) is where you expect to be when you don’t work on qualifying.”
