In the second quarter Mad Catz Interactive posted earnings of 0.02 per diluted share on revenues of 16.9 million. Revenues were down 35% from the second quarter of last year due to the “culling process to reduce low-margin product placement, the continuing impact of the console transition and strong software sales in the year-ago quarter attributable to Real World Golf 2”. Net income of 0.9 million and earnings per share of 0.02 were “both record levels for Mad Catz’ fiscal second quarter.”
I think revenue was a little soft in the quarter but net income was good. Since Mad Catz is focused on reducing low margin products I think NI (net income) and EPS (earnings per share) are better indicators of how the company is performing. Considering NI and EPS were at “record levels” I believe the turnaround in Mad Catz is still on track.
The acquisition of Saitek is another positive development for Mad Catz. Saitek is a complimentary business that Mad Catz “expects to be accretive to its fiscal 2008 earnings and cash flow”. The acquisition will also help strengthen Mad Catz’s retail distribution network, particularly in Europe.
Looking forward I expect the stock price of Mad Catz to drift up in anticipation of Mad Catz’s strongest quarter. I would recommend continuing to hold your shares for what should be a strong quarter in Q3.

MDB issued a research report today on Mad Catz Interactive (MCZ) upgrading its recommendation from NEUTRAL to BUY with a $2.00 price target.
Upgrading MCZ to BUY from NEUTRAL and establishing a 12-month price target of $2.00.
Video game industry fundamentals continue to show increasing strength; PS3 hardware sales have increased 298% since November 2 when the 40GB $399 PS3 version was introduced in North America and the price of 80GB PS3 was reduced to $499 (from $599).
We also view the recent acquisition of Saitek, a UK-based, leading maker of PC game controllers and accessories very positively, as it reflects MCZ’s commitment to growth and expansion beyond its traditional video game console controllers and accessories products. The acquisition is expected to be accretive in FY08 and beyond.
The Saitek acquisition significantly increases the Company’s size and scalability and expands its product portfolio and geographic reach.
We continue to believe that MCZ will introduce a Wii controller in calendar 2008, enabling the Company to capitalize on the strength of Wii sales.

SAN DIEGO--(BUSINESS WIRE)--Mad Catz Interactive, Inc. (AMEX/TSX: MCZ), a leading third-party interactive entertainment accessory provider, announced today that consistent with its strategy to further diversify its products and geographic distribution capabilities, it has entered into a definitive agreement to acquire 100 percent of the shares of the private holding company that owns Saitek’s worldwide operations. Saitek is a leading worldwide provider of PC games accessories, PC input devices, multimedia audio products, chess and intelligent games. In particular, Saitek enjoys a leadership position in flight simulation controllers and has established a strong position in keyboards for PC games. In its latest fiscal year ended February 28, 2007, Saitek generated over $43 million of net sales and its gross margins exceeded those generated by Mad Catz in its latest twelve months. Mad Catz expects the acquisition to be accretive to its fiscal 2008 earnings and cash flow.

Under the terms of the agreement, the $30 million purchase consideration is subject to working capital adjustment and is comprised of $15.5 million in cash from Mad Catz’ cash on hand and borrowings under the Company’s existing credit facility, as well as the issuance to the seller by Mad Catz of $14.5 million of convertible notes. The notes bear interest at a rate of 7.5% payable at maturity and are convertible at the seller’s option into common shares of Mad Catz Interactive, Inc. at $1.42 per share. The conversion price represents a 15% premium to the average closing share price of MCZ shares over the last 15 trading days. $4.5 million of the notes mature in two years and $10 million of the notes mature in three years.
Saitek’s product lines include PC games accessories, PC input devices, multimedia audio products, chess and intelligent games. In addition to representing a strategically complementary product line to Mad Catz’ broad range of console videogame offerings, Saitek’s comprehensive range of PC peripherals allows Mad Catz to further strengthen its retail distribution network, particularly in Europe, where Saitek generates more than fifty percent of its revenues. Saitek’s 120 employees in product development, sales and marketing, distribution and finance/administration are expected to join Mad Catz. The first thing is to load up on shares now since it has pulled back. I expect the next 8-10 quarters of accelerating earnings and revenue growth. GME reports on Tues so get in before then.
Earnings were as expected. The acquisition's including Joytech could turn MCZ into a $200 million in 12 months. Margins will also rise further. I'd be buying after Wedsday dip as we move into the Xmas buying season.
MCZ is now an undervalued stock.

Not excited about it. I like COOL better but even that one is suspect. MWY could also turn around. Overall, MCZ is the best all around play on video games.
