Global Diversified Industries, Inc. (OTCBB: GDVI) operates in the modular building construction industry, and strategically targets the California Education Sector. GDVI is strategically located in Central California on 16 acres with a 100,000 square foot state-of-the-art manufacturing facility.
Throughout 2003 and 2004 the company focused on building it’s infrastructure through acquisitions, development of a state-of-the-art manufacturing facility, and by securing the requisite financing facilities to fuel business growth. Previous 9 month revenues of $6.4 million with over a $20 million annual projection for the next 12 months.
Through the combination of its new facility, the increased demand for portable buildings and the State Of California's bond approvals, GDVI has become well positioned to become one of the dominant leaders in modular manufacturing on the west coast.
GDVI should benefit greatly from Proposition 55 (Kindergarten – University Public Education Facilities Bond Act of 2004), the $12.1 Billion school improvement bond that passed in March 2005.
Global Diversified has taken numerous strategic development steps throughout 2004, including generating strong revenues as well as profits and is now poised for explosive growth in 2005. The company is led by a strong management team with previous success in building companies into $50 million per annum businesses.
In the past year GDVI has exceeded its own sales revenue projections, renewed its piggyback contract, received state approvals on engineered product designs, started a new credit facility and opened its new 100,000 square foot manufacturing facility. The company will continue to seek new acquisition candidates through its aggressive growth plan.
Company Subsidiaries
GDVI is a holding company that currently operates three wholly owned subsidiaries, Lutrex Enterprises, Inc., an entity which holds equipment and inventory for the registrant, MBS Construction Inc., a modular contractor specializing in modular construction site work and renovation and Global Modular, Inc., a sales, marketing and manufacturing of modular type structures.
Its principal customer base is currently educational (public and private schools, universities, etc.), child-care and municipality sectors. Its product lines consist of a variety of portable classroom designs, including both single-story and two- story floor plans. Global Modular's portable classroom structures are engineered and constructed in accordance with pre-approved building plans, commonly referred to as "P.C.'s" or "pre-checked" plans, that conform to structural and seismic safety specifications administered by the California Department of State Architects (DSA).
Global Modular also enjoys the benefit of providing educational customers with products contracted under a "piggyback clause". The State of California allows school districts to canvass proposals from modular classroom vendors under a bidding process where the successful bidder can provide other public school districts and municipalities portable classrooms under a "piggyback contract" issued by the originating school district. This process saves school districts valuable time and resources from the necessity of soliciting bids.
A modular vendor who possesses a "piggyback contract" containing competitive pricing and a variety of design options may have access to future business for up to five years, depending on the term of the piggyback contract.
The Strategic Focus on California Schools
Over the last 7 years California legislation has required that at least 20% of all new classrooms constructed with State funds be portable structures.
There are five primary reasons for this trend:
Modular classrooms are FASTER to construct (as quickly as 2 weeks)
They cost significantly less (as low as $30,000 vs. $100,000)
They offer greater flexibility for use compared to conventional buildings
They are easier to finance
They provide financing incentives
To cope with population growth, the State Department of Education estimates that California will need more than 2,500 classrooms each year for the next four years, which equates to more than 10,000 classrooms.
Due to the current and projected budget cuts throughout the California Education Sector, public and private schools are expected to turn to portable/modular construction to fulfill their additional classroom requirements over the next four years.
GDVI is ideally positioned to take advantage of these building trends within the California Education Sector.

Recent News Highlights
Global Modular, Inc., has completed its largest production month since the Company first began production in 2003 - May 3, 2005
April's production billings totaled nearly $1.4 million. More than 75% of April's production utilized Global's newly acquired designs from Aurora Modular. All of April's production was for immediate shipment and installation at customers' sites. Because of Global Modular's successes, Global Diversified Industries' other wholly owned subsidiary, MBS Construction, Inc., is also posting record revenues from site installations and other miscellaneous construction work.
Global Modular, Inc. has been awarded a new contract from an existing customer valued at approximately $800,000 based on their satisfaction and positive experience with the quality of the Company's structures and field construction services team. - April 20, 2005
"The significance of this new contract is that we performed well on a $2.8 million contract announced late last year. This Southern California school district expressed its satisfaction and positive experience with the quality of our work. The new $800,000 contract includes classroom, kindergarten and band room facilities utilizing specialty designed engineered components recently acquired by Global Diversified from Aurora Modular Industries," said Chairman and CEO Phil Hamilton.
"We are pleased to have been awarded a contract from a repeat customer since the successful growth of our business is dependent upon repeat orders from satisfied customers," Mr. Hamilton said. "We feel confident our current repertoire of state-of-the-art designs along with an excellent field installation team will mean continued repeat business as we strive to grow our business and value for our shareholders."
Global Diversified also was recently featured in a front page story in The Business Journal, which serves the Fresno, California, area. The article said:
The two subsidiaries of Global Diversified -- MBS Construction, Inc. and Global Modular, Inc. work in tandem to provide customers with modular classrooms.
The Company is currently seeing the heaviest quoting activity since it began operations three years ago.
Global Diversified's new generation of modular buildings is permanent construction, built right on the cement slab, making it just like standard construction.
Mr. Hamilton has pulled together a top-level team of professionals from within the modular industry. Ten of the members of top management have more than 25 years experience each.
The purchase of proprietary rights from Aurora Modular increases the selection of base models from three designs to 12, including two-story designs.
The Company's backlog has grown from $350,000 in April 2004 to $13 million currently.
Global Diversified recently added 25 to its workforce, increasing it to 125, and is now looking to hire 50 highly-skilled workers for its manufacturing plant. It is projecting sales may surpass $20 million in the next 12 months.

If you plot the revenue over the last 2 years, you'll see a nice exponential growth, while the PPS is still sitting at the 0.1 level. Not for too long, IMO. Since the company is experiencing such a substantial revenue (and net income growth), the PPS should adjust itself up in the very near future, and easilly pass its last year high of 0.345. All, JIMO.

(6) What others are saying?
http://www.boardcentral.com/
PS: If you are considering buying CIRT while still at below 0.04 you should do it NOW. Thus far: (i) the great 04 10-K results, and (ii) the latest news that show the explosive growth this company is experiencing have not been jumop started the PPS. TIME IS RUNNING OUT, IMO. The upcomming 10-K, or any other triggering event (e.g., new contracts, or forward looking statements?) should start the long due upper move. And it can be significant, IMO.
Best to all,
Mike
Re: "They have announced percentages and revenue but not the bottom line numbers. I'm sure that is why we have seen the PPS holding close to $.04 . If we get numbers that are very close to break even or CIRT turns a profit we should see a nice size uptick. I do believe their will be some sell off but most see the light at the end of the tunnel and it is getting close (large profit and the PPS is above $.10.)"
Speed,
It won't be long, and will find out about the Q numbers. Last year the 10-Q was filled on May 21-st. So, it might be out by the end of next week, or early the following one:
http://www.pinksheets.com/quote/filings.jsp?symbol=cirt
One thing for sure: the last 4 Q's performance it's impressive:
http://finance.yahoo.com/q/is?s=CIRT.OB&annual
31-Dec-04 30-Sep-04 30-Jun-04 31-Mar-04
Total Revenue 3,632 2,627 1,958 646
Cost of Revenue 2,978 2,070 1,563 434
Gross Profit 655 557 395 212
Net Income 839 (552) (501) (445)
Based on the: (i) huge 04 (reported in the last 10-K) gains over 03 ($8.863MM revenue for 04, compared to $1.215MM in 03), and (ii) the large contracts that CIRT received starting the beginning of this year, this Q should be even better, IMO.
I don't know about you folks, but (thus far) CIRT is my 05 stock of the year. Once more people find out about it (after it starts moving, as usual), this indeed has a good chance to bring to the longs a 10+ bagger by next year.
Best to all,
Mike
Looking at the chart, and based on the latest great news, I think it's time for the next step.
http://bigcharts.marketwatch.com/quickchart/quickchart.asp?symb=gdvi&sid=0&o_symb=gdvi&f...
With the explosive growth that GDVI is experiencing, it won't be long, IMO, for the PPS to jump back (and stay there) into the 0.3's.
Triggering events:
1. The new web site
2. Going into AMEX exchange (?)
3. Any other good news and/or forward looking statements, that might come out IMO any day now.
The 0.1 ramp is long enough to serve for the expected launch to the next level. Any of the above (or other) triggering events should do the job. Good loading zone, as long as it last (not too long I believe).

Enjoy,

***Expect this to go "nuts" soon. See why:
1. Last year 10Q came out on May 17:
http://www.pinksheets.com/quote/print_filings.jsp?url=%2Fredirect.asp%3Ffilename%3D0001193125%252D04...
2. And after that, the PPS went nuts:
http://finance.yahoo.com/q/bc?s=OSEE.OB&t=2y&l=on&z=m&q=l&c=
It went then from below 0.01 to above 0.1 in a couple of weeks.
The chance it's quite good that performance it's going to be repeated, because of:
* low, stable OS (only 56.725MM shares issued
and outstanding - as per the recent
10-K, and about the same as at the end of
2003 financial year of 56.695MM shares,
and less than at the end of 02 financial
year of 73.092MM shares)
* based on the trend (see last K results),
and past history, I expect good Q numbers:
"Revenue from the continuing operations for the twelve months ended December 31, 2004 were $4,331,000, compared with revenues of $3,294,000 for the same period one year ago. The Company reported a net loss applicable to common stockholders from continuing operations of ($1,292,000) or ($0.02) per diluted share for 2004, compared with a net loss of ($2,225,000) or ($0.04) per diluted share for 2003. The Company reported a net loss applicable to common stockholders of ($1,292,000) or ($0.02) per diluted share for 2004, compared with a restated net loss of ($7,774,000) or ($0.14) per diluted share for 2003."
* the triggering event(s) could be (i) the Q
results, and/or (ii) the upcoming
shareholders meeting.

Harr,
"He only asked me for the ticker and bought it. Never looked back."
I love it! Tell your cousin about CIRT. Below 0.04 now, and with a good chance it will be a 10 bagger by next year.
With over $60MM in contracts, CIRT should also make its move soon. And when it does, I trully expect to easilly pass 0.1 short-term.
One just has to have enough patience even with these stocks that despite their explosive growth (see: MOBL, CIRT, GDVI, VFIN) were (MOBL) or still are (CIRT, GDVI, VFIN) sitting at or near their bottom. Too many large (e.g., MM's, and financial gurus), and small (lots of Yahoo organized "tribes" that exploit the small daily variations). When the time it's right, however, all the above rather than pushing the price down, they jump in and push it where it should be (see MOBL as the best example).
I just came back from an extended business trip, and found my 0.4 sell order gone. Still have plenty, and might sell more (or all) if it goes above 0.5 (which it might). Been here for more than 16 months, and with my 0.051 average (up from my initial 0.024 average as I bought more at higher prices, including an 0.145 buy recently) I won't take my chance. After reaching over 0.5 (if it does), and goes back to upper 0.2's (which it could), I'll load again, and keep it into the $'s (if it ever goes there).
PS: Tell your cousin I love his story. Some people go the extra mile to do an as good as it can be done DD, and he's cashing in. If he has enough shares, he should at least invite you for an all paid (by him) extravagant vacation.
Mike
SM, I've been here for more than 16 months (as soon as I heard about the change in the Mgmt.), and I don't like these opportunistic scavangers (the paid promoters of any color, that is). Your note it's a valid one. After the pumping it's over, this will adjust somewhere to its true value, which I believe (right now) it's around 0.25 to 0.3. With further true good news (Nasdaq listing, EPS positive this Q, news about the ZigBee, etc.) the sustainable price will go up again. Hence, I might sell a part of my position if it's pumped to say above 0.4, but I'll keep the rest, and (eventually) buy more after the price settles.
Mike
Let's see another step up. I think it will come, IMO.
Mike
The first order of 22K was mine. All the spare change I had sitting around for small surprises.
This should start moving, IMO. The CEO is not yet seasoned enough, and doesn't know to present his case the way some others do (e.g., Jay Wright of MOBL - the first on that list), but the numbers speak for themselves.

Re: Maybe trying to make my buys look like sells?
Caradoc,
That's funny! How should I have known you own NEOM, or if you buy or sell? And FYI, for every "buy" there must be a "sell." So sorry, but I really didn't get your point.
Regards,
Mike
Harr,
It might be that people are selling NEOM (TB's previous pump) to buy MOBL. With the price and volume difference, the total value of NEOM sold, is about the same as that of MOBL being bought. Just a coincidence? I doubt it.
"agree with TS hype and temporary blip."
Mike
Justin,
Sooner or later, good stocks (financially sound, that is)always move. Some examples from my other "longs:"
MOBL was brought down to 0.14's a while ago. Today is around 0.25, and trying to move more.
GDVI, was brought down to 0.04's. It's now around 0.1, and trying to move to the next level.
VFIN, broght down to 0.17's. Now trying to move above 0.25.
OSEE, brought down to 0.007, now trying to make it's move above 0.016.
With over $60MM in contracts, CIRT will also make its move soon, IMO. And when it does, I trully expect to easilly pass 0.1 short-term. One just has to have enough patience. Too many large (e.g., MM's, and financial gurus), and small (lots of Yahoo organized "tribes" that exploit the small daily variations). When the time it's right, however, all the above rather than pushing the price down, they jump in and push it where it should be (see MOBL as the best example).
In the mean time, if you believe (as I do) CIRT is a good bet, just buy more at these prices.
Mike
Going to the next level is long, long overdue. Today's move should be just the start of a move into the 0.30's, and beyond, IMHO.
Mike
Time for GDVI to take the next step, IMO.
Mike
What would you buy? Say TREN, or CIRT?
http://finance.yahoo.com/q/is?s=TREN.OB
I've been following this company (TREN) for a while, and except for promisses and more promisses I see they still don't have any revenue, no assets, and the debth grows higher, and higher. Yet it went from 0.4 to 1.6, solely because they promise the land they control contains gas. How many such stories are out there? And how many of these zero-assets companies make it. On the other hand, with contracts of 60MM CIRT is still going down? Amasing!

Thanks Speed. I was not aware of the meaning of Form 144. Good digging!
Let's hope that this Q will show not only over 300% revenue increase, but also some progress on the net income front. I think this Q will be too much to ask for an EPS positive, but next Q this should be possible, IMO. What do you think?

Speed,
Below is what they sold this year. This is not unusual at this stage, as it is the only way they can pay for their salaries. Better this way than borrowing more from Cornell. Once the net income improves, this should change.

Positives and Negatives List. Predictions. Please add, comment, and repost.
Positive:
- Over 60MM contracts signed this year, compared to peanuts last year
- Explosive increase is revenue for the last Q's
- Asian arm should ensure good net revenue
- Low risk sector
- CIRT already owns its 40K sq.ft. ISO cerified facility
Negatives:
- Cornell financing
- Insiders selling
- Yet to be proven numbers
- Management still has to learn to better communicate with the shareholders, and do a better public relations work.
Prediction:
Based on the above, after this Q release (at the end of this month, beginning of June), which we were already told is going to show 300%+ increase in revenue, this should easilly go above 0.1, IMO (depending on the net income).

Today's AMC announcement is in agreement with latest Dell announcement that they will transfer again some 2,000 jobs to India, for a total of 10,000 jobs. Plus, IBM's recent sale of its computer business to China, short-term will also help define the low-cost as the main drive for the next generation computers.
If this turns out to be true, by bringing down the price of a computer to these levels, short-term this will:
1. Spell trouble for chips and computer makers, and
2. Give some extra market to Internet, computer assisted fix and mobile phones (using VoIP, VoWi-Fi, and VoWiMAX), and high speed Internet providers.
Given the increased cost of a chip fab, it's hard to imagine how significant advances in higher speed computers will be possible short-term. I see a short time frame in which there's going to be a stagnant business at companies such Intel. This might be the case until next generation of ultra-high speed (low power) computers (most probably using all integrated optical chips) will come out. Since that's at least 10 years away, in the mean time I believe the chip business will become the villain (rather than the darling, as in the past) of the investment community.
Best to you all,
Mike
Wise move, IMO. Not sure what keeps the price this low, after all the late good news, but it won't stay forever at this price. This is becoming a real company.

What should we expect from COVD going forward? Opinion
(This is something I posted tonight on another board, in answering an individual who expects a "Bloody Tomorrow.")
Mike
--------------
...........,
If you just do any basic research on where Covad stands right now, you'll understand that this is NOT really the time to worry about a "bloody tomorrow."
As I'm concerned, I'm very happy with the visible (to those of us that do a good DD) progress COVD is making in implementing their business plan. Any transition from the an old to a new technology is not easy, and it doesn't happen overnight, but as far I'm concerned I'm very pleased with the latest developments. Tell you the truth, in the area of applications such as VoIP, I expected a lot worse (and I was still willing to keep my investment here).
Talking about a "bloody tomorrow," if my shares will be with a copper lines phone company (that still doesn't understand that it's time for a change -not many of them left), yes, I would be very worry about a bloody "tomorrow." Not here, IMO!
From the latest PR's (and other sources of public info - plenty of them out there), it's quite clear to me not only the FCC and say Baby Bells understand that high speed is the way to go (e.g., up to 1 thousand times higher speed than that through the phone lines), but:
(1) As of late, actually the FCC has created some stability for companies such as COVD in their latest "UNE rules." These rules affirm the need for continued access to loops and endorse facilities-based competition - which is exactly what Covad is doing.
(2) As I understand it, COVD has invested a lot of money to build a broadband network and use the Bell network only to supplement their own facilities. Once this investment starts showing up the return (it shouldn't be too long, IMO), this alone will round up COVD's finances quite nicely.
3. What I was referring to in my previous Msgs (I should have been a bit more explicit) vs the FCC, is what probably most of you understood in the context: the FCC should be using lighter regulation for VoIP (VoWi-Fi, VoWiMAX) applications. Otherwise, in a global economy, the oversee companies will fill the gap.
4. It is very clear to me that COVD is making good progress in convincing the FCC on such things as access to line sharing and fiber.
5. As you sure already know, Covad has started to negotiate commercial agreements with the Bells, and from what I understand have already cut deals on line sharing.
All the above tell me that (at this point in time) my investment here is as secure as it can be. Don't take my word for it. Do your own DD, but do it well. This company, IMO will start its move very soon. At this point in time it's as devalued, IMO, as it can go, so any downward movement (from this point forward), if any, should be minimal. At the same time the probability for a significant upward move it's better than ever, IMO.
Q results are out. Not bad! 0.11/share net income. Let's see some move here!
Mike
-----------------
"The company reported net income of $34.4 million, or $0.11 per share, for the first quarter of 2005 as compared to a net loss of $26.0 million, or $0.10 loss per share, for the fourth quarter of 2004 and a net loss of $13.5 million, or $0.06 loss per share, in the first quarter of 2004. Net income for the first quarter of 2005 includes the recognition of a $54.0 million gain that was deferred when the company deconsolidated its former subsidiary, BlueStar Communications Group, Inc., in 2001. Also included in net income is a $7.2 million net gain from the sale of one-fifth of Covad's investment in ACCA Networks Co. Ltd (ACCA), a Japanese broadband provider."

Jay is very good at acquisitions, and runing the business. However, when it comes to promoting the company, he seems to only choose the parties that hurt the PPS, rather than helping it. Some people never learn that a good advertising is never succesful using these pump-dumpers. What a waste! The only real good advertising (although a bit too pumpy) was the article in April (?) of last year, published in Germany: "the Birth of a New Telecom Giant." It was when the PPS went to 0.295. But, being too pumpy, plus what I suspected at that time that some naked short selling at the Berlin Stoch Exchange, MOBL:BE (judging from the volume during the run up and after), of course the price went down again. Articles in technical and financials large circulation magazines is the way to go, IMO.
After the promotters mentioned today load their lion number of shares, this will go back up, IMO. Good time to load, IMO!
PS: If anyone here sends an E-mail to Jay, please let him know you also got tired of all these "gurus" playing pink-pong games with our shares. I got sick and tired of all these silly games. On the other hand, I'm glad I can load more (and for once beatting the gurus on their own game).
