I think I will buy some of this company Monday. I am starting to like this company. Reading the posts and doing the DD it looks like to me, IF, the company counter attacks this lawsuit we could see a huge jump in share price. With 600 Million in possible Russian contracts it is way undervalued already. JMHO
I expect once this starts to run up again he should leave for a while until Buz thinks the run is over.

APOA at anytime can do a R/S with all shares even restricted. Not saying they will but I didn't like that comment from Loyola when I called.
Well I talked with the CEO- Mike Burke and he stated the anticipation is actually in July and the distribution center will start in September. So it could be a while before we start seeing profit from this. Well see.
I asked him and they said they could be but only if they file a form. At the current time Rule 144 of the SEC applies.
IT is in the filing and I called them and confirmed it. I don't like it but it may turn out okay. Unless you are riding free shares its a gamble.
My thoughts are that they could do one of two things.
A) Place restrictions as we are all thinking and then do a R/S to get back to a managable O/S.
OR...
B) Since the PPS has dropped so much APOA piocked up 10% and trying to get everyone to dump so they can get them cheap. Then putting out the excemption right before the May 10th date and dumping their 10% immediately. Wouldn't that explain the large dump of APOA shares here lately? Hmmm...something to think about.

10% would be much more than that but that is a start. Could be.
Would it not be smart as a APOA investor to dump all your shares and buy JPHC at a low price? Lower the price of APOA as low as possible to get a good exchange rate and then dump.
I just want to note that I talked with Loyola financing the one doing the transaction and they stated that at this time all shares are restricted for one year and then some can be sold and at the end of the 2nd year all can bne sold. However, here is the kicker, a R/S is perfectly legal and effects all common stock, even restricted shares. I am not liking this at all.
I can say this...I was able to get a sell through this morning at .0005 and it went through quick. Now I have had another order out for .0005 for over 30 minutes and it still hasn't went through. Just testing the waters. I think it will still drop some more.

Hey Griff I need some advice here. My thoughts on this whole thing are, if the average person that was invested in APOA seen this news would they not sell all their shares of APOA and buy JPHC. Thus dropping the price of APOA before the transfer and getting more shares of JPHC at the .005 value? However, what happens when you drop the price of APOA down so far that it is actually less than JPHC? The answer to that is more than basically 10 billion shares are issued at a value of .005. My problem with that, even if they are restricted on May 10th APOA just got extremely diluted. So what would be the logical thing to do if you are APOA since all shares are restricted? I would say do a reverse split in order to lower the O/S. Am I way off base here on how this is supposed to work? Can APOA, if they see fit, do a reverse split on restricted shares? My other problem is if and when APOA becomes valued very low and JPHC shareholders get a ton of shares at .005 value then APOA becomes diluted, then the price of APOA should automatically drop because of the instant dilution from the merger, right? Please help me out here.

Thats incorrect the 8K specifies all shares that were issued but does not specify any form 4 insider retired shares. The CEO and CFO retired several billion shares and if you add up the 8K's from the last 10QSB you will see that the shares issued were 2.9 billion estimate. I posted this before.

That is correct and that is why I think that most have already bought to cover on this. I believe we have found a floor for this one. IMO this will not go much lower. I bought 2000 shares at .48 and I am holding for confirmed contracts.

Very good research and I think you make a vaild point. It seems to me (I am not a lawyer) that you have grounds to sue if it was determental to the company. It looks like when an article is posted 1 day and the next 2 days it is down 66% then something in that article effected this share price. Also, when you have 2 people that appear on boards on the day of the aritcle to start bashing I don't think it is a coincedence. Another point is stocklemon.com may not state they short stocks but it certainly doesn't say they won't short stocks and in my opinion the reason you are starting to see this one level out is because stocklemon.com is threw messing with it. IMO they shorted this as far as they thought feasible and then jumped ship and removed it off of their front page. By reading just your research alone many people could take the stocklemon.com article as slander.

They didn't was just stating a recent reverse merger and the action that stock got. Nothing to do with a 15-2G but I liked the action on that one. Gained 6000% in less than 1/2 of a day after the announcement and closed up 2800%. Not too bad.
I have made some good DD posts on Raging Bull. Alot of those people over there are idiots though but I am finding a few that know their stuff. Anyway I have called the SEC a couple times and a contracted IR person by the name of Glen...not the Jay guy many people have been talking to. I confirmed the form 4's by the CEO and CFO since 01/01/06 were all retired shares, they are not restricted. If you notice the form 4's say "A" - aquired shares at .0001 and then it says right below it they "D"-disposed of shares at $0 dollars. Talking with the SEC and the IR guy they both agreed with me that the shares was retired. What makes that nice is instead of worrying about dilution they are actually taking away shares which is awesome!
As far as the form 15-2G that is a requirement when a merger or buyout has taken place. The reason is the symbol will no longer exist and after the buyout/merger there will be only 1 owner and that is the buyout or merger company. If you want to know of another company that has done the same thing and been very succesful about it try Paypal and Ebay. That is a great example. If you want to look at a company that just recently merged try PSRE.
I like what I am seeing we can only hope that an AMEX or NASD company is buying them out. Then we could see some big numbers.

To some extent I agree with you because this stock is getting a lot of attention on both ends. If you are a day trader I think below 50 cents is a good buy because it will probably run again for 1 day or so and then you can sell off and jump back again again when it drops. You have to be careful doing that though becasue at anytime PR's could be released "negative or positive" that could effect the outcome. I guess that is with every stock. I am just looking at the upside potential to the previous downside potential. It could go back to .25 or up to 1.70 I like my odds right now. They are doing nothing negative just not doing anything that is confirmed positive yet.
