Three Months Ended March 31, 2010
In January and February, 2010, we issued an aggregate of 500,000 shares of common stock for cash proceeds totaling $125,000, or $0.25 per share. The shares were issued in private transactions to four accredited investors not otherwise affiliated with the Company. There were no underwriters involved. The proceeds were used for general operating expenses and to pay for the development of the AsepticSure™ hospital sterilization system.
These sales were made without registration under the Securities Act of 1933, as amended, (the “Securities Act”) in reliance upon exemptions from registration, including, without limitation, the exemption provided under Section 4(2) of the Securities Act for private and limited offers and sales of securities made to accredited investors, and the exemptions provided under Regulation D and Rule 506 under the Securities Act for private and limited offers and sales of securities made to accredited investors.
During February 2010, we issued a total of 137,000 restricted shares of common stock to two consultants for consulting, marketing, and web support services valued at a total of $39,730, or $0.29 per share, which represented the market value of the shares on the date that the shares were approved to be issued. Both consulting agreements are based on a five-month term, the shares vest in equal increments, and the consulting expense is to be recognized over the same period.
On March 29, 2010, we issued a total of 250,000 restricted shares of common stock to a consulting firm for investor relation services valued at $47,500, or $0.19 per share, which represented the market value of the shares on the date that the shares were approved to be issued. The consulting agreement is for the period of April 1, 2010 through June 30, 2010.

had golfers elbow pretty bad for 3 or 4 days before trying the gel. Put some on at night before bed, pain was gone by the next morning with no side effects. I used it once a morning or every other morning for a week and the pain never came back.

After suffering from arthritis for over 13 years with constant knee pain I had given up. Nothing ever worked. One prescription even made me gain 100 pounds in 3 months - which caused more strain on my knees. I used the topical gel and oral spray 3 times a day each for a week and noticed considerable relief but still had a few twinges of pain. I continued using them and the pain is completely GONE. Now I just use the gel twice a day (before bed and in the morning) and sometimes the oral spray once midday as a booster. Now I'm practically running up stairs that I used to crawl up. AND - no side effects!!!

This has been a breakthrough for my husbands backpain! We take long drives and he dreads it because he knows when he gets there he is going to be hurting for at least a half a day! Before we left for an 8 hour drive I applied the gel to his lower back and then again 5 hours later. When we got to our destination, he was just a little stiff, but no pain! He couldn't believe it! He is a big golfer also and he is using the spray for just overall back pain and this has really freed him up to play better than ever. I told my friend about it, because she has knee and back pain, she only used the spray and she has zero pain! She is a believer! They are both off their traditional toxic pain relievers and using this product with great success!

I used Cobroxin following a serious shoulder surgery - I used Vicodin first for two days and then used Cobroxin. The Vicodin had my head in the clouds. The Cobroxin worked great and without that groggy feeling. I consistently receive great results from the Cobroxin in the last 4 months using it. I will be keeping my medicine cabinet stocked with this stuff!

Market Pulse has been touting this stock for weeks and the SP goes down.
Ed Marshall goes on the Money Programme and the SP goes down.
Mzei Management have got time lines wrong in the past and future delays are possible.
I am willing to gamble on waiting for .15.
