Phoenix Associates Land Syndicate (Pink Sheets: PBLS) announced today that it has signed a binding letter of intent to purchase Covington, Louisiana based ProGas, Inc. The deal, which is expected to close on or before November 30, 2005, will add significant production and distribution capacity to Phoenix's energy business, as well as a mature and growing business portfolio complimentary to the company's existing Oil & Gas operations.
According to ProGas audited financial statements, the acquisition when closed, is expected to add in excess of $190,000,000 in annual revenues to Phoenix. While specific information on the acquisition will be made available when the transaction closes, the Company did release that transaction consideration will consist of a combination of cash, restricted and preferred shares.

I also agree that the 'Clarification' of the screw up on the NV Lease PR should have come at another time in a separate PR...
This is a case of 'The Good New Is:' (but it's not all we promised the shareholders), and here's some 'Bad News' to go with it...
As usual, they really need to improve the quality of their PR releases IMO...
The messed up PR including the "15K BBLS/DAY" issue should NEVER have been released like that IMO...Paul should be a LOT more careful about what he releases to the Public before something like this happens again...
We should get a little 'pop' from this PR, but I doubt if this PR will be the catalyst for a Rally that lasts more than one or two day...I hope I'm wrong about this...

Be concerned about...The gap up Tuesday morning was well outside the upper Bollinger Band, that's why it had to pull back and consolidate...The potential upside in the near term is just under 2.00
But what bothers me is the dump the OBV, CMF, and A/D lines took in the last two days...It appears that it was all profit taking after the spike up, which is normal IMO...
I see a possible 'double top' forming, and the breakdown of that pattern will make it fill the gap to Mondays close, which is also 'normal', as gaps almost alway get 'filled'...
Almost every other indicators confirms weakness...The CCI is downticking, the RSI shows no real strength, the DMI+ is downticking and the DMI- is upticking...Stochastics are neutral, and the MACD has gone negative, and the Volume has diminished greatly since the 'Pop'...
I know nothing about the 'Fundamentals', but this chart doesn't give me any reason to want to "Buy" right now...JMO

What's interesting about yesterday's action...
Out of the 10MM+ shares traded yesterday, one third of that volume came in during the last hour of trading...The OBV downticked, but the CMF Money Flow and the Accumulation/Distribution closed at the highest levels in ten days...
Also, at 1:20pm Eastern, the bid was lowered to .0205 and remained at that level until the close, but the low of the day was .021 which means for two hours and forty minutes, not one trade was put in at the bid...
Today should be a Very Interesting day if the ProGas PR comes out...We may finally get a look at some "Audited Financials" about our biggest Acquisition to date...
I haven't had an opportunity to speak with Management this week...I called a few times and left a message, and when they didn't call back, I let it go knowing that they are Very busy this week trying to get the ProGas Deal ready to PR, amongst other things...

Family Test...
My wonderful girlfriend and I had been dating for over a year, and so we decided to get married.
There was only one little thing bothering me.
It was her beautiful younger sister.

Accumulation and Money Flow are 'UP'...
The pps is 'at' the lower Bolling Band, so that 'should' be about as low as it will go, as the lower B.Band is not declining...The B.Bands are as tight as they have ever been the last three months...
If the pps gets above the middle B.Band and holds it, that will be Good Sign...
The 200Day Moving Average is 'still' in an Uptrend...It looks like 'quiet' Accumulation to me...
When the Volume comes back in above average, which the ProGas PR 'should' be able to do we should see some 'UPside' movement in the pps...
They had better Hurry and put out the ProGas PR, because the bid just dropped to .0205 which is only .0004 off the most recent all time low...It looks like the MM's are trying to shake the tree again down here, right before the PR comes out...

The overall chart pattern looks Bullish...
Today's 'doji' may be a 'continuation' doji...And doji's usually need the next day or two for 'confirmation'...
The 5EMA has crossed up through the 10EMA...
W%R is coming out of Oversold territory above the 80...
The DI+ and DI- are diverging...
Slow Stochastics are about to break above 50 with a long way to go before being Overbought, and Fast Stochastics look even better...
But my favorite indicator, the MACD is about to do a perfect crossover above zero...If we get an UP day tomorrow, the crossover Will happen, and IS a "Buy" Signal for some people...If the Volume is above average...
If I didn't have Too Many Shares of GZFX already, I'd be "Buying" again just on the MACD Crossover...
The only indicators I see that is negative on this chart is the CCI, which is looking a little 'toppy' right now...And I'd like to see it close above the middle Bollinger Band soon, and HOLD above it like it did on the last run...
BTW...One or two of my favorite indicators is absent from your chart...I would also add the Accumulation/Distribution Line, and the OBV...But that's JMO...
