And, It is extremely overused by "detracters",, and those wishing to paint a picture of their own color---

I have visited off and on with Gary---and (in reading between the lines) I understand that they are moving things closer to "home"--bringing people into the company that they have known and have had relationships with : who know the direction in which the company wants to go and are more aptly tuned in to that direction---
I am expecting a PR or a serious update sometime soon---
Gary seems to understand all this and is maintaing a positive attitude and position as a share holder

Well I see your point, but I am not concerned about the receiving of the shares---it is in motion and out of everyones hands other than the the "ploiticals"---
Now,, on the other hand,,, were we not to get the shares,, the whole "Ballgame" would be over---IMHO---forget having a reason---it just will be over---just imagine the different lawsuits
As for the tax---I just talked with my tax guy---my liability is from zero to what ever price I sell for --- if in the first year of receipt.
If I have established a capital gain position, then it is capital gain tax from the basis price---whatever that will be....as he says that I will have an income tax to pay from zero to the basis price based on income---if I sell in the first year---
Methinks I should get a new tax guy or some other points of view from an AZ tax guy---we have state income, state cap gain and Fed income tax Fed cap gains and state sales tax,cigarette smoke tax, booze tax, city jail tax and illegal alien tax and I don't konw what-all else-

In your post---the previos owner could be considered KATX,, or Ken,,, as they are using .70 cents as their basis for Good Will--
Since we have no cash outlay for the shares --and they are not gifts,, the basis for cost would be closing or opening price--based on when they reach our acct---
When I sell them my tax will be based on the price i get vs the basis price--
My accting person says my cost is zero and what ever i get is profit---either normal income or cap gains--depending on how long I keep the shares after date of receipt

Parent had no input to me ---A couple of other investors did--and I respect their judgement---and they are fully aware of Parent and his background of baggage---

And his background baggage is probably why he has no control or position that could bring a reaction to SNEY---He is merely "tagging" along and allowed to save some face as IR and the advisory board---
He probably has a very large position of shares and it would be difficult to shut him out---
I do not see him as a threat to the success of SNEY.

Dr. Obiora was invited to join the advisory board but had not accepted. Dr. Obiora did not review the press release announcing that she had joined the board before it was published.
Sunergy wishes to apologize to Dr. Obiora for announcing her involvement with Sunergy's advisory board. Dr. Obiora has never been affiliated with Sunergy. She does not now, nor has she ever represented Sunergy in any capacity. The comments and endorsement of Sunergy set forth in the press release that were attributed to Ms. Obiora had not been reviewed or approved by her and do not reflect her views.

Appearantly it is easier to get .0025 when selling a couple million shares---not so easy to buy them at those bargain prices unless you just sit on the bid and take your chances---
It looks to me like if you need or want a long position going into the middle of Dec when the company explains what has happened or going to happen or isn't going to happen -----you're going to have to part with some extra coin..
Or perhaps the SP just gets back to .006 or .007 and somebody will dump into it---be nice to see that and have all those shares "sucked" up and the SP move on to .01

I am aware that it is very difficult to get a new company off the ground----I am aware that people make statements way beyond reality,, and that people expect immediate gratification from their penny stock investment---
I am willing to give the company and its mgt an opportunity and the benefit of doubt-----for the time being,,,like 18 months---There should be enough sales by then to show direction--
It is way tooooooooooo early to call them a failure----the product works and Tyelenol is major competition!!!!!!!!!!!!!

After getting out I got back in with xcho ---I no longer hold any NPHC, and currently have no plans to do so---
I am looking at a 3 year window for XCHO----We need several quarters of reports showing growth and then this "pinkie" will hopefully no longer be a "Pinkie"--
Then the PPS will really take off---and make a nice 5 year return on my investment.
All I will do is accumulate and then watch---

I got in before the run to .99 cents---and then parted with 80 percent of my position when fell thru .80 cents---sold the other 20 percent when it fell thru .50 cents---
I have been accumulating over the past few months in dips below a dime--
I have reordered the product for my self and my wife several , as in many times and have gotten other to try the product also---

A "private Placement " is definitely not an admission of "FAILURE" as you seem to think---
Ask the purchaser of the shares ----I am sure they have more information than you---
Many companies do private placements of shares---and for various reasons---but mostly it is to advance the company---
I assisted in a private placement for Hyster back in the late 60s and they certainly weren't failing---even though their accountants couldn't operate a computer---
The products work---that's the key---if these people can't pull it off---then someone bigger will buy the company---
If the products were a bummer--then there would not have been a private placement---

No ,, you don't seem to understand the mkt and/or the MM part---
He has an order in to support the mkt---it will only fill if there are people who want to sell on the bid---The MM is not buying for inventory ,, nor is he selling from inventory---he, the MM is flat when you fill on the bid--the pps will go no lower as long as he or someone is there with a bid----
A large bid under the mkt acts like a safety net---it is the reverse of trying to punch out a seller sitting on the ask with a large position---
If he wasn't there, and there were no bidders at all,, just the MM,,you might just see trip zeros--
With a good PR and news and no big seller sitting in our way, we go to single zero pps---because the MM will not be hindering us as many of you seem to think--

OK--I will offer 2 thoughts
First--The company needs to complete what it has started with the corporate restructuring/elimination of old business and cleaning up its capital structure--so there is a clear pic of who owns what,, and how much.
Second---borrowing money or getting financing requires collateral or a give up of equity ---- currently i see very little of that.
After the 'First' is acompolished satisfactorily to all, there may be some money available without looking at the 'Second'
And this may cause a nice rise in the pps ----according to the recent volume, it seems as though there are some people that think the company is moving in the right direction---

You are entirely incorrect--
The share distribution is not a gift---as in a taxable parcel
The share distribution is not a dividend either---as a dividend has a determined value for tax deduction value for the issuer and an identifiable taxable amount for the receiver---
The BVIG distribution is more a return of capital from KATX , a distribution of a capital asset---cost basis is zero ---
Fully taxable upon sale
If you give your shares of BVIG to a relative---their cost basis will be the mkt value at that time ,, as will the gift basis be for you,, using the IRS one time exemption and the annual gift exemtion amounts----
Anything in excess of that, the IRS will tax from a zero cost basis---

if folks could read tween the lines of your observation,,, they might see that Ault is a major "biggie" in the success of Corestream----b/c he owns a HUGE amount of shares---
To have him envolved in the area outside of Corestream ,, but still on the inside is constructive and beneficial for Corestream--IMO.
he will ,, IMHO,,, be very instrumental in the near term success of Corestream and its financial needs---
