The Certificate of Amendment (Pursuant to NRS 78.385 and 78.390) was filed in the office of Dean Heller, Secretary of State, State of Nevada on Jul 29, 04. The Power Technology File No. is C12127-1996. The Secretary of State website is: secretaryofstate.biz
I gleaned from the amendment form that there is "no shareholder approval (necessary) pursuant to NR5" which is, I assume, a company by-law that makes our input a formality they would rather do without.

Just contacted the SEC to inquire as to the legality of what they're apparently doing here without shareholder input, vote, proxy, whatever. Mr Andrew Thorpe tells me that OTCBB "companies" can pretty much thumb their noses at us in this and many other regards. I guess we can petition the court for a shareholders meeting and oust the CEO and Directors (with sufficient shares in our pocket) but what are the odds of that happening? Pretty bleak, I would say.

edfrank: The signatures (actually, signature, only Bernie's)are there and the last copy of the package includes a copy of the Notary stamp, Karyn Breeckner, State of Texas. Of course, everything is a copy, but I would say it is overall legit.
Everyone who took the trouble to take possession of a handful of shares should have received one of these things, I would think?

Anybody else get their PTI package in the mail? Re: Amendment of Articles of Incorporation -- bumping the number of shares from 100,000,000 to 750,000,000. It was supposedly authorized by a "written memorandum of action of the Board of Directors on July 27, 2004". I would like to see that official document.

The only problem with e-Y's "predictions" was that he was right -- for the wrong reasons. Some of us were right for the right reasons -- but what difference does it make anyway when you've had your a$$ torn off by a crook. I wonder how many shares e-Y is holding these days.
hasher, if I may -- about the only thing that could be offered in the way of collateral would be the promise of a rosey future for the company (if this whole loan thing was legit, that is). Well, the time for a rosey future is long past. It went south with the purcing of WM as President. Actually, it all went south with the installation of Elbee as HMFIC some 6 or 7 years ago. What a waste! What a complete and total waste!

A guy and his wife are sound asleep one dark and stormy night when there's a pounding on the door. Quickly, the man jumps up, opens the window and yells down; "Who's there?"
A very inebriated man looks up and slurs; "Me. I need a push."
"Go away, it's raining." says the homeowner, and he closes the window and jumps back into bed.
"What was that all about?" asks his wife.
"Just a drunk -- says he needs a push."
"Well, aren't you going to help him?" she asks.
"Hell no. It's raining cats and dogs out there."
Obviously peeved, she starts in on him; "Don't you remember a couple of months back when we were on our way back from that party. It was raining and the car broke down, and those folks from the farmhouse couldn't do enough to help. Now, you get your ass down there and help the man."
"Oh, all right." he says.
He opens the window again and yells down; "You still there?"
"Yesh."
"Okay, I'm getting dressed and will be right down."
He gets dressed and walks out into the pouring rain. "Where are you?" he asks.
