Staten, you're absolutely correct. Mail-outs are a terrible and costly and wasteful way to target a few customers. Barcode campaigns will be much less costly, much less wasteful and much more effevtive way to target interested customers. And did I say MUCH MORE EFFECTIVE. Clawmann, Let me begin this post by saying I don't wish to start any wild speculation in any shape form or fashion. For the fun of it, I checked by googling Rudolph and any possible connection to Neomedia. I stumbled onto Giuliani Partners LLC. Seems their business partly consists of structuring acquisitions, mergers, patrial acquisitions and obtaining financing for struggling companies with promise. Giuliani Partners may even no longer be in existance for all I know. But when I saw who was involved in Guliani Partners and what they do it caught my attention because of Zack's reference to Rudolph. PLEASE AGAIN, I AM NOT TRYING TO START SPECULATION. Maybe some here could check this out to see if anything to it. I personally think there very well is no connection, but who knows? Success, If I left that post unclear, I apologize. My post was intended to show the 18 months bonus period began on May 29th 2008 which would have expired Nov, 29th 2009, or probably midnight Nov. 28th. The reference to Dec. 10th was intended to show the 10K filing could not be used. The section of the original agreement called Neutral Construction Page 12 Section 19 said no other draft could be relied on, meaning no draft other than the original agreement could be used to interpret the agreement making the 10K not to be relied on. I was asking claw if that was the correct understanding of it. I believe the Dec.10th date in the 10K was in error, Which led me to start considering the bonus matter was insignificant to Iain McCready since he signed off on the 10k. A 5mil bonus would have been important enough to get the date correct if he was serious about a sale which led me to start considering the bonus as a way to compensate Iain in case of a "salvage" sale instead a goal to sell or incentive to sell. The wording of the cap example; 200mil cap in the original agreement always bothered me. Again if I was lacking in my post and left it unclear I apologize. LOS
Be Confident, I'm trying to digest your thoughts regarding Google's intentions. Now with regards to this in your post "all parties will want this matter resolved without room for further arguement," Do you believe the challenge to be an "arms length" challenge or maybe an orchastrated formality to eliminate futher challenges or hinderances, since Neom is sure to be at the core of this barcode business? Sort of eliminating problems in advance, so to speak. Hence Iain's confidence when he speaks of the European challenge? Maybe I'm looking to hard for positives.LOS

Be Confident, I still believe your "consortium" scenario is spot on, though your prediction of a date specific for the announcement may have been a little off. I believe the date is already known and will come early next year. Would make more sense than during the holidays. A consortium approach to the development of this makes so much sense, It's hard not to believe it's coming. This is moving so fast, it must be done in the first half of 2010 or run the risk of further fragmentation and resistance from some of the big players in the web as it now exists. Google might do well to think a little bit about something like Philco TV's. I can remember when Philco seemed to be the only TV on the market. When is the last time you saw a Philco TV? A friend of mine who is invested in Neom reminded me of this this morning. Iain's statement of looking forward to working with Google very well could have meant through the consortium or maybe even with Google as a participant, although, I think only working through the consortium. P.S. Even Google ain't strong to take on the entire world in all this new "network" being developed!
Phish, Thank you for the link. It has put me onto a trail of information that offers me a better understanding of how all this should be developed[the only way that makes sense]. A couple of things that have caught my attention thusfar are "mirroring the growth of web adoption over the last 10 years". I'm reading now the arcticle about "IPX: The second IP Revolution". I'm slow it is so small print on my computer. Page 11 is consistant with what I'd already sensed in my own simple minded approach as to what may be going on in developing all this. While reading further last night about the CAIC- Network Solution deal, I saw a chart that showed a class A common stock @ .36 per share [us] of about 80% of the company and a new group of investers came in at $15.00 per share for 20% of the company in a class B common stock and it explained voting rights etc of each class of common stock. Several of you know how all this works, I don't. Is there anything similar to this that could conceivably be in the future of Neomedia in organizing this going forward? I can't get Be Confident's consortium scenario out of my head. THANKS. LOS [By the way, the new class B common stock raised about $36 million in that deal. beac, your view is very accurate and based on market experience. Mine isn't backed by much knowledge of the market or YA's habits. I was baseing my view on the assumption [possibly false assumption] that we have or will have sufficient revenue to pay YA any debt left after they convert the amount of common shares they'd want to hold. I know they usually deal with companies on their death bed and use their tactics with that companies stock to make money but I believe they have found a winner in Neomedia and will see the benefit of playing this one a bit different. At least that is my hope. LOS [ Beac, one reason I believe YA will hold a common share stake in this is that I believe they've pulled enough out of this already to make their common shares freebies up to a point, therefore might speculate a little with them. No, if their common weren't almost freebies, their banker mentality would probably not allow it. LOS
beac, I believe YA will be around for a long time but not as financier after July 29th, after then as a common shareholder like the rest of us. How big a stake they'll settle on, I don't know. My opinion right now is somewhere around 20 to 30 percent stake of the OS common shares and keeping the total OS below 2.5 to 3 billion OS, with some indication to the market that their dilution tactics are over. MY OPINION ONLY. [ I'd much rather have 5 or 6 hundred million shares in this company worth $??.?? dollars each as 2.5 billion shares worth pennies each. If they continue this dilution that's all they'd be able to get and they know that. It's my opinion that this dilution will soon end especially now that they can see same as we do that if allowed to this company can reach a share price in the dollars.] MY OPINION. LOS
Remember, Iain's bonus commission was capped. The only cap on his near 33 million options is his ability to grow this company and it's share price along with it. I for one believe he has the ability. He wants it, we want it, and I believe even YA wants it. Now Mr. McCready "GIT ER DONE"!

LOL LOL LOL [That being understood, I have been looking at the possibility that Iain's bonus or commission agreement with the company was never intended as a goal or incentive to sell this company in his first 18 months tenure with the company, but was a way of compensating him if all efforts failed and a "salvage something" sale occurred during what was expected to be a very shakey time period for the company. I think 200 million for this company NOW would be a "salvage price" especially after all that we know has transpired in the last 2 months and not to forget what we don't know about under NDAs. If I look at it this way, it explains some things to me. Remember this is just something I've been bouncing around in my head and there is plenty of room for it to bounce since it isn't crowded with brainpower. Banks, In 07, almost every commercial on TV wasn't about a new cell phone of some type or another and no one was promising a "Sunrise" of the introduction of all this to the public in early '08. I really do believe '10 is set up to be a big year for us. [P.S. but not nearly as big as '11 and then '12. Just My Opinion]. LOS [But as so many have posted here before, The proof is in the pudding. Clawmann, Can those amendments or modifications to his contract and bonus agreement include substantial changes in the ammounts involved as well as time and date changes and be closed and 8K'd the same day? Where would shareholders come into all this or would we at all? Are we just left to accept the results without any vote or recourse other than court action if something unsavvory were to occur? LOS

BC, I would hope that he plans an announcement this quarter that will answer most of the questions that he anticipates would be bounced off him in a conference call and would be inclined or even forced to decline to answer until all is finalized. I still subscribe to your 2 stage; joint expertise development then spin off scenario. I believe it is a sound proposal especially with the roadmap the previous internet example would offer and avoiding any known mistakes from the earlier example. I hope I'm making sense, I think you know where I'm coming from on this.LOS [complex as it will be to do, no one is going to hold it against you if the timing is off a little regarding announcements if it does come to fruition].
