I don't claim to be any authority on the subject, but in reading thru the newer NASDAQ requirements, it appears to allow a $2.pps entry level under the 'alternative minimum closing price' provisions, as seen here:

Jamis...that's pretty much the way I see all of this as well. Looks like my projection of a 1:20 minimum R/S (based on current pps) wasn't that far off (which I take no satisfaction in). But like you say, if they start pumping out some news on contracts & the like over the next few months, the increased pps could likely allow for a much smaller R/S in the neighborhood of 1:2-3 or 4, which would definitely be a much easier pill to swallow (albeit begrudgingly). As far as refining the final proxy language is concerned, I think it would help make their case by displaying some confidence in their future earnings by reducing the maximum R/S proposal to 1:10

Not a fan of R/S's either but that's not set in stone. Granted, I about hit-the-ceiling when I first saw that proxy language, but on further consideration, I find myself pretty much in agreement with Jamis on how to look at all this. We've been in this thing 'Forever' it seems & like you, I have a great deal of regard for Sris' talents & reputation (among others), so (like Jamis) I don't realistically think they have any intention of selling us down the river. True, Reputation is one thing , good business sense can be quite another...but that's where our CFO comes in. All this is not to say that we shouldn't make our voices heard (loud & clear)...& from what I understand, that is exactly what's been taking place thru channels already. Next chapter...........

Contrary opinion of note...
I believe we are on the verge of what we've waited for. I have all the faith in Craig and Sri that they will do what is best for us. But sitting on this BS exchange is a waste of time.
The RS can ONLY be to go Nasdaq and they will not issue themselves stock like a typical pink. We are NOT typical. We will be an OTC success story. Waiting to hit 4 bucks on this exchange may never happen with all the bullshit. We will also have deals done or Nasdaq won't take us anyway.
The pre 14 will change before final ive seen it a hundred times in my own experience.

From appearances, we appear to be of one-mind about all this (as-in...Hell No) & from where I stand, mngmt is going to have to do a damn good job of making-their-case to investors to get us to swallow this fish. Just tossing this red herring out on the sidewalk to roast in the mid-day sun (as it were) ain't going to cut it. If they can manage to make it smell better, who knows, I'll try anything once (although I've tasted this before & it was toxic).

Logically-speaking, most of us knew this could be in the cards, but hoped it wasn't. I fully concur that it is imperative that some ginormously good news accompany any substantial dilution &/or (gulp) R/S developments. And we all know what will happen if it doesn't play-out that way.
I noticed that the R/S hi/lo trigger range was not entered into todays notice. These proposals are obviously aimed toward uplisting , & in using the minimum Nasdaq entry requirements under the 'minimum closing price alternative' of $2./shr , I reckon that a R/S of 'roughly' 1:20 would be the minimum we could anticipate at current levels.
We have very little control over how this all shakes out & I certainly hope mngmt plays their cards right on all this. If they do go thru with this, I also hope mngmt sees their way clear to re-set the costs of all outstanding warrants & options to be in-line with the R/S numbers...I'd hate to think insiders could still buy each share at .06-to-.12cents/shr & not share the pain with the rest of us stockholders....that would be a deal-breaker for me & I've seen it happen with a few other stocks...that eventually went belly-up.
