Dr. Bill, just in case u didn't figure it out, the assumption is that one gets 2 shares of CTBG for every share of GFCI. Hence
1 Share of GFCI = 1 GFCI + 2 shares of CTBG (post dividend)

The above means $2 + 2 x $1 = $4.

Therefore it means if you buy a share of GFCI for 12 cents, post dividend one ends up with $4 i,e $4 for 12 cents.

best, the positive thing of fridays volume and of the Reg D filing by CTBG is that they have an investor, most probably Lyamec. And Lyamec will not invest, until and unless the financials are clear, i.e audited! I am hoping that they will not make the same mistake as they did with Grifco! Also it makes sense as to why they have not been talking about the JMs; keeps the price down and Lyamec gets a good investment deal! Here's to hoping that there will be a positive PR next week.

you are right in that the form D has to filed, no later than 15 days after the FIRST sale of securities. The form lists whether the capital to be raised is Debt or Equity and the amounts for each. It also shows all the states where purchasers for the offering will be solicited. The form lists just the aggregate amounts of capital and the investors. It also lists the various officers of the company and any promoter who has more than 10% ownership in the company, including the name of agent soliciting the purchasers.(all to my understanding).

best2L, my understanding of filing Form D is that the company is ready to raise capital (upto $5 M) via sale of securities (exempt from registration) to accredited investors. Investors verify if Form D has been filed before they part with their monies! The form D does not say who the investors are nor the share amount and price as the company can raise any amount shares upto $5M. All that the Form D contains is the Company name, address and the amount of capital they are seeking to raise.JMU.

best, the restricted became effective 31 Mar 2005 and therefore, if there is a 1yr restriction, it will become unrestricted on 30 Mar 2006. So I doubt those shares flooded the market on 10 Mar 2006. But the Reg D filling by CTBG and the OTC alerts might have caused the volume increas on Fri. We'll find out the truth this Mon or Tue. But by looking at how the PPS was well contained I doubt if there were any facts behind the vol increase!

Also I believe the Reg D filed by Grifco was for the capital raised by GFCI with Lyamec. I can't see why Lyamec would short GFCI's shares!

Dr.FeelGood, the positive efficacy results were obtained without an API. That means this could be used as Prophylactic as well! A Bonanza??? Depends on the half life of the micelle + ligand. The results should be out around 21 MAr and probbaly mangment will take another week or two to analyze and PR!
