best2L, my understanding of filing Form D is that the company is ready to raise capital (upto $5 M) via sale of securities (exempt from registration) to accredited investors. Investors verify if Form D has been filed before they part with their monies! The form D does not say who the investors are nor the share amount and price as the company can raise any amount shares upto $5M. All that the Form D contains is the Company name, address and the amount of capital they are seeking to raise.JMU.
