(OTC BB:TCNH.OB), defense and homeland security companies transforming advanced laboratory technology into real-world products, announced today that the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD) has awarded subsidiary EOIR Technologies Inc. new orders for technology products and services totaling $9.3 million. Dr. Joe Mackin, President of Technest Holdings, made the announcement.
The Army's NVESD research and development group is one of the U.S. military's most advanced technological leaders. EOIR Technologies Inc. is working on a range of next-generation technology solutions for the NVESD, including night vision and advanced sensor applications, disposable sensors and other threat-detection systems.
The $9.3 million in new orders come under an NVESD omnibus contract. The omnibus contract Option Year Four was awarded on July 15, 2005. Since that date EOIR Technologies Inc. omnibus contract awards have totaled $25.6 million. As of August 31, 2005 EOIR Technologies Inc. had funded backlog of $50.6M.
The ongoing Omnibus contract may provide a maximum ceiling amount of up to $80 million in fiscal year revenues. (OTC BB:TCNH.OB), defense and homeland security companies transforming advanced laboratory technology into real-world products, announced today that subsidiary EOIR Technologies Inc. has been awarded a contract by the US Naval Surface Warfare Center Dahlgren Division (NSWCDD) to provide system design, engineering support and systems integration for a new land-based vehicle to be used by the US Marines. NSWCDD is one of the U.S. Navy's principal research, development and fleet support organizations. The Division conducts analysis, systems engineering, research, test and integration of naval and joint warfare systems.

Markland Technologies Reports Un-Audited Fiscal Year Results; Company Posts Revenues of $66.7M for the Year Ended June 30, 2005
BOSTON, Aug 25, 2005 (BUSINESS WIRE) -- Markland Technologies, Inc. (OTC BB:MRKL.OB - News) a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today its un-audited results for the company's fiscal year ending June 30, 2005.
Un-audited revenues for the year were $66,728,041 a significant increase over revenues for the corresponding period in 2004 of $6,013,930. Un-audited revenues for the fourth quarter were $20,703,255. This significant increase in year over year revenues is due almost entirely to the acquisition of EOIR Technologies Inc.
The un-audited operating loss for the year amounted to $17,023,208 compared to $10,150,866 for the prior year. This loss was affected by non-cash charges for the compensatory element of stock issuances and amortization of intangible assets and in process R & D resulting from our recent acquisitions. These non-cash charges amounted to $10,798,045. The un-audited net loss attributable to common shareholders after minority interests for the year ended June 30, 2005 was $29,049,471 or a loss of $0.38 per share compared to a loss of $15,095,461 or a loss of $1.39 per share in the corresponding period in 2004. This decrease in the loss per share is due to an increase in the weighted average number of shares outstanding to 75,721,755 from 10,872,049 for the period ending June 30, 2005. The non-cash charges included in the un-audited net loss attributable to common shareholders after minority interests for the year ended June 30, 2005 amounted to $22,077,214 compared with $10,962,184 for the corresponding period in 2004.

The Army's NVESD research and development group is one of the U.S. military's most advanced technological leaders. The ongoing Omnibus contract may provide a maximum ceiling amount of up to $80 million in fiscal year revenues. Markland Announces Corporate Reorganization and Declares $10M Stock Dividend of Its Technest Holdings Inc. Stock

(OTC BB:MRKL.OB) ( http://www.marklandtech.com),a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today its majority-owned subsidiary, Technest Holdings, Inc. (OTC BB: TCNH.OB), acquired all of the outstanding stock of Markland's wholly owned subsidiary, EOIR Technologies Inc. Pursuant to this transaction, EOIR became a wholly-owned subsidiary of Technest. As consideration for this reorganization, Technest issued to Markland 12 million additional shares of Technest common stock. After giving effect to the reorganization, Markland's ownership of Technest on a primary basis increased from 85% to approximately 98% and on a fully diluted basis (assuming the conversion of all of Technest's fixed price convertible securities and the exercise of all warrants to purchase Technest common stock) increased from 39% to approximately 82%. The actual number of shares of Technest common stock to be distributed will be calculated based on a per share price equal to the average closing price of the Technest Stock as reported by the National Association of Securities Dealers Automatic Quotations service for the ten trading days ending June 30, 2006. However in no event shall the number of shares of the Technest common stock distributed exceed 2.5 million nor will Markland deliver fractional shares of the Technest common stock.

These technologies may provide means to spot and detect suicide bombers and other armed terrorists before they can carry out their attacks. Initial development and testing phases of the stand off sensor suite intended for detection of suicide bomber explosive and chemical threats is continuing under government funded programs. Markland subsidiary EOIR Technologies has kept the technology on a fast-track development cycle and believes it will be able to deliver field-ready systems for forward area combat deployment.

The Army's NVESD research and development group is one of the U.S. military's most advanced technological leaders. The $4.8 million in new orders come under an NVESD omnibus contract. The omnibus contract Option Year Four was awarded on July 15, 2005. EOIR Technologies Inc. omnibus contract awards for the previous Option Year Three which ended on July 14, 2005 had totaled $61.2M.
The ongoing Omnibus contract may provide a maximum ceiling amount of up to $80 million in fiscal year revenues for Markland. (EOIR) has been awarded a SeaPort Enhanced (SeaPort-e) Multiple Award Contract ( MAC ).
The SeaPort-e contract is designed to provide a full-range of support services for all phases of weapon systems acquisition and life-cycle support including research & development support, prototyping, acquisition logistics, modeling, test & evaluation trials, and engineering support for the Naval Sea Systems Command, Naval Air Systems Command, Space and Naval Warfare Systems Command, Naval Supply Systems Command, Military Sealift Command, Naval Facilities Engineering Command, Strategic Systems Programs, and the United States Marine Corps. The U.S. Navy is awarding indefinite-delivery/indefinite-quantity multiple award contracts to 503 contractors under this procurement program. The Government estimates a maximum of $5.3 Billion of services will be procured per year via orders issued under the SeaPort-e multiple award contracts amongst the group of contractors. The awards have a four-year base period with one five-year award term and one additional one-year award term. Contract funds will be obligated at the time of task order award and as such, multiple funding types (with varying expiration dates) may be used, consistent with the purpose for which the funds were originally appropriated by Congress.

Markland Technologies Reports Third Quarter Results; Company Posts Revenues of $13.2M in the Third Quarter
Markland Technologies, Inc. (OTCBB: MRKL - News), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today results for the company's fiscal third quarter ending March 31, 2005.
Revenues for the quarter were $13,210,258 a significant increase over revenues for the corresponding period in 2004 of $1,818,846. Revenues for the nine months ended March 31, 2005 and March 31, 2004 were $46,024,786 and $5,382,341 respectively. This significant increase in year over year revenues is due almost entirely to the acquisition of EOIR Technologies Inc.
Net cash used in operating activities for the nine months ended March 31, 2005 was $2,921,984 as compared to $2,360,283 in the corresponding period in 2004. The operating loss for the quarter amounted to $5,248,299. This loss was affected by non-cash charges for the compensatory element of stock issuances and amortization of intangible assets resulting from our recent acquisitions. These non-cash charges amounted to $1,672,935 for the three months ended March 31, 2005. Net loss attributable to common shareholders for the nine months ended March 31, 2005 was $20,954,843 or a loss of $0.36 per share compared to a loss of $6,243,618 or a loss of $0.97 per share in the corresponding period in 2004. This decrease in the loss per share is due to an increase in the weighted average number of shares outstanding to 57,790,890 from 6,438,758. The non-cash charges included in the net loss attributable to common shareholders for the nine months ended March 31, 2005 amounted to $15,194,410 compared with $4,548,553 for the corresponding period in 2004. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that the Contracting Officer for its U.S. Army Night Vision and Electronic Sensors Directorate (NVESD) Omnibus contract has stated that EOIR Technologies Inc will be awarded an additional performance year on this contract thus extending the period for contract awards out to July 2007.
Normal practice would allow for tasks awarded by that date to be executed over the following year, allowing backlog to be accumulated on this contract until midyear 2008. EOIR Technologies Inc has won this contract on three consecutive solicitations over the last twelve years and expects that it will compete for, and as a result of continued excellent performance, believes it will have a very good opportunity to win the 5-year follow-on contract to be awarded sometime in 2008.
The contract has a potential value of approximately $406 million over the life of the contract. With approximately $150M funded to date there is a total remaining potential contract value which exceeds $250M over the three year period extending to mid year 2008.
Although there is no guarantee of capturing that complete level of funding the company has traditionally captured a very high percentage of available contract funding over the previous twelve year history of this contract.

Mackin, a member of the Board of Directors and currently the Chief Operating Officer of Markland, has assumed the role of President of Markland. He will also continue in his role as COO. The announcement was made by Robert Tarini, Chief Executive Officer of Markland.
Dr. Mackin has been employed by EOIR Technologies since 2001 and is currently serving as the subsidiary's President and CEO. Dr. Mackin, a retired Army Colonel, has an extensive background in sensor development at all phases of the development cycle, having managed programs from concept through engineering development and production. Most notably, Dr. Mackin was the Army Project Manager for the Second Generation Thermal Imaging System Forward Looking Infrared System (FLIR) now in the newest versions of the M1A2 Army Battle Tank and the Bradley Fighting Vehicle. He has also served on the staff of the Army Acquisition Executive, where he had responsibility for all Army acquisition special classified programs. While at MIT's Lincoln Lab, he served as the technical lead for the Deputy Under Secretary of Defense for Science and Technology's Smart Sensor Web program, a multi-agency, multi-service network centric sensor demonstration program. He has served on numerous government panels and committees, and was most recently appointed to the prestigious National Academy of Science study called "ARMY S&T FOR HOMELAND DEFENSE" published in June 2003. New State of the Art Airborne Sensor Provides Enhanced Surveillance Capabilities
RIDGEFIELD, Conn., Mar 1, 2005 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that its wholly owned subsidiary EOIR Technologies Inc. has completed development of a new airborne optical surveillance sensor named the Lightweight Image-Enhanced Zoom-able Reconnaissance Device (LIZRD).
The LIZRD airborne reconnaissance device is a unique compact aerial high resolution imaging system designed to be flown in conjunction with hyper-spectral sensors, which offer a high resolution view of an aerial scene. The LIZRD utilizes a fiber optic gyro and GPS for attitude and position information, as well as a high resolution line scanning camera with a digital capture capability for imagery data collection. LIZRD performs motion correction to compensate for aircraft attitude variation, stamping the information onto digital imagery data for either real-time motion correction or post processing. Mission and imagery analysis software are also included with the LIZRD sensor suite.
This new product development is one of a number which are currently under way within the Software and Systems Research and Development Division (SSRD) at EOIR Technologies Inc. The SSRD product development team consists of 30 employees with diversified skill sets in the areas of; software, electrical and mechanical engineering as well as graphic design and training. They are located in a new state of the art design and development facility located in Fredericksburg, Virginia that houses several technical laboratories which include: an electronics lab, three systems integration labs, and a mechanical and laser lab. These laboratories provide SSRD development team members with ample space to develop new software and systems solutions and products as well as conduct state of the art research in electro-optics and infra-red technology.

(OTCBB: MRKL - News), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD) has awarded the Company new orders for technology products and services totaling $2.0 million. Robert Tarini, Chairman and CEO of Markland, made the announcement.
The Army's NVESD research and development group is one of the U.S. military's most advanced technological leaders. Markland is working on a range of next-generation technology solutions for the NVESD, including night vision and advanced sensor applications, disposable sensors and other threat-detection systems.
The $2.0 million in new orders come under a five-year omnibus contract. The sales revenues derived from these new orders will be realized over a 12-month performance period. This will bring the total dollars awarded to EOIR Technologies Inc., a wholly-owned subsidiary of Markland, on this NVESD Omnibus contract since July 1, 2004, to approximately $45.9 million.
The ongoing five year omnibus contract may provide a maximum ceiling amount of up to $80 million in fiscal year revenues for Markland. The contract has a potential value of approximately $406 million over the life of the contract.

Markland Technologies Reports Record Second Quarter Revenues; Company Posts Revenues of over $17 million in the Second Quarter
RIDGEFIELD, Conn., Feb 16, 2005 (BUSINESS WIRE) -- Markland Technologies, Inc. (OTC BB:MRKL - News; http://www.marklandtech.com), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that it reported record results for its fiscal second quarter ending December 31, 2004.
Revenues for the quarter were $17,044,677 a significant increase over revenues for the corresponding period in 2003 of $3,256,771. Revenues for the six months ended December 31 2004 and 2003 were $32,814,528 and $3,563,495 respectively. This increase is due almost entirely to the acquisition of EOIR Technologies Inc. Net cash provided by operating activities for the six months ended December 31, 2004 was a positive $194,896, also a significant increase over the corresponding period in 2003 in which the company experienced negative net operating cash flow of $884,314. The operating loss for the quarter amounted to $4,412,710. This loss resulted primarily from non-cash charges for the compensatory element of stock issuances, losses on disposals of equipment and amortization of intangible assets resulting from our recent acquisitions. These non-cash charges amounted to $2,905,823 for the three months ended December 31, 2004.
Net loss attributable to shareholders for the six months ended December 31, 2004 was $9,253,213 or a loss of $0.20 per share compared to a loss of $2,055,935 or a loss of $0.38 per share in the corresponding period in 2003. This decrease in the loss per share is due to an increase in the weighted average number of shares outstanding to 45,380,646 from 5,463,757. The non-cash charges included in the net loss attributable to shareholders for the six months ended December 31, 2004 amounted to $7,259,673 compared with $2,049,856 for the corresponding period in 2003.. (OTC BB:MRKL.OB - News), an integrated homeland security company, ( http://www.marklandtech.com) announced today that it has completed a multi part transaction which includes the purchase of majority ownership of Technest Holdings Inc (OTC BB:THNS.OB - News), a company that prior to this acquisition had no operations but was traded on the OTC bulletin board and the subsequent purchase by Technest Holdings Inc of all of the stock of Maryland based Genex Technologies, Inc. Markland Awarded $4.2 Million in New Orders from U.S. Army under Multi-Year Contract
Total of Company's Recent New Orders from US Army under Omnibus Contract Now Exceeds $41 Million
RIDGEFIELD, Conn., Feb 10, 2005 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD) has awarded the Company new orders for technology products and services totaling $4.2 million. Robert Tarini, Chairman and CEO of Markland, made the announcement.
The Army's NVESD research and development group is one of the U.S. military's most advanced technological leaders. Markland is working on a range of next-generation technology solutions for the NVESD, including night vision and advanced sensor applications, disposable sensors and other threat-detection systems.
The $4.2 million in new orders come under a five-year omnibus contract. The sales revenues derived from these new orders will be realized over a 12-month performance period. This will bring the total dollars awarded to EOIR Technologies Inc., a wholly-owned subsidiary of Markland, on this NVESD Omnibus contract since July 1, 2004, to approximately $41.1 million.
The ongoing five year omnibus contract may provide a maximum ceiling amount of up to $80 million in fiscal year revenues for Markland. The contract has a potential value of approximately $406 million over the life of the contract.

( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that it has completed development of an advanced computer software-based thermal sight training program under a contract with the U.S. Army. The announcement was made by Robert Tarini, Chairman and CEO of Markland.
The computer software-based thermal sight training program was developed under an agreement with the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD). While the curriculum and content is primarily developed by the government, EOIR Technologies Inc, a wholly owned subsidiary of Markland Technologies is the primary software developer.
The night vision training software helps soldiers learn to identify the thermal signatures of combat vehicles through the use of an interactive curriculum that teaches the unique patterns and shapes of vehicle 'hotspots,' and overall vehicle shapes. The training software also provides soldiers with practical experience in the use of their thermal sensor image controls. Through the use of virtual sight controls, soldiers learn to effectively adjust their thermal image to find targets and bring out their thermal identification cues.

Less than 20 miles south of downtown San Diego, CA is the world's busiest port of entry; the international border crossing between San Ysidro, CA and Tijuana, Mexico. On the average day over 40,000 vehicles pass through this location. The SENTRI system installed at San Ysidro, CA allows pre-screened vehicles and low-risk travelers from Mexico to be processed in an expeditious manner through dedicated travel lanes. Recent work performed here by Markland's wholly owned subsidiary Ergo Systems for the United States Customs and Border Protection Agency (CBP) included the installation of new roadway embedded sensors, tire shredders and exit gates. These repairs and improvements improved both the security and traffic flow of vehicular traffic entering the United States from Mexico.
Markland's subsidiary Ergo Systems has been performing security logistics support services for the CBP for over 4 years. Ergo Systems is also a subcontractor to a team led by Accenture Ltd. which was awarded a U.S. government security contract on June 1, 2004 which may eventually be worth up to $10 billion to the team members to track foreign visitors by the use of digital photographs, fingerprints or other biometric information as part of the Department of Homeland Security's US-VISIT program. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that it has recently completed the development of an advanced wireless-based remote surveillance sensor device under a contract with an advanced U.S. Army laboratory. Robert Tarini, Chairman and CEO of Markland, made the announcement.
Markland developed the new Universal Sensor Remote Device (USRD) under funding provided by the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD). Markland's wholly owned subsidiary EOIR Technologies Inc. is now prepared to market the device to government agencies at all levels.
The USRD receives multiple remote military field surveillance sensor inputs and sends the digital data streams back to a base station for analysis and display. The device is designed to be flexible, to accept a range of different types of surveillance sensor inputs, and to provide control via remote input. Personnel at a surveillance base station are able to control the remote systems and select the appropriate transmission method, such as wired or wireless - including radio modem or wireless LAN systems - depending upon surveillance sensor bandwidth and distance requirements. The USRD system is designed to leverage existing standard communication and sensor protocols to ensure interoperability with a large percentage of existing systems, as well as a high degree of ease of operation.

The announcement was made by Robert Tarini, CEO of Markland.
Last week Markland announced an Army research and development contract to create new "stand-off" detection technologies that can help soldiers and other security professionals spot suicide bombers or gunmen before the assailants get close enough to complete their attacks. The innovative thermal systems are being designed to detect attackers at distances up to 50 meters.
Just a day after Markland's announcement, however, a suicide bomber detonated a bomb in a crowded Army mess hall at a military base in Mosul, Iraq, killing 22 people, according to military spokesmen. Militants linked to Al Qaeda claimed responsibility for the attack. The explosion wounded 69 others.

Markland's concealed weapons stand-off systems initiatives are to use modifications to thermal sensors already deployed in large numbers throughout the military. It is intended that this will enable the systems to help military and law enforcement personnel more effectively to detect hidden weapons such as guns or bombs concealed on the persons of would-be attackers and terrorists.

General Says Attack Was Likely a Suicide Bomber

WASHINGTON (Dec. 22) -- A suicide bomber was the likely cause of the deadliest single attack on American troops in Iraq - an explosion at a U.S. base that killed 22 people, the Pentagon's top general said Wednesday.
''At this point, it looks like it was an improvised explosive device worn by an attacker,'' Gen. Richard Myers, chairman of the Joint Chiefs of Staff, told reporters at a Pentagon news conference.
The explosion Tuesday ripped through a dining hall tent while hundreds of troops were eating lunch at Forward Operating Base Marez near the northern city of Mosul.
Military officials initially said a 122 mm rocket was the likely cause. Myers would not comment on specific evidence, but said, ''If it was a rocket, you'd find remnants of the rocket. If it were an improvised explosive device you would find remnants of the improvised explosive device.''
President Bush, at the Camp David presidential retreat in Maryland for the Christmas holiday, was told of the new developments as part of his usual daily national security briefings.
In Iraq, military officials said Wednesday that shrapnel from the explosion included small metal pellets such as ball bearings, which are often used in suicide bombings but are not usually part of the shrapnel given off by rockets or mortars.
Myers did not say whether authorities believe the bomber worked at the base or got into the mess hall some other way. He said military officials in Baghdad would release more details later.
A contingent of FBI bomb technicians has been deployed to help the military investigate the bombing, said an FBI official on condition of anonymity because of bureau policy. The Baghdad-based FBI team will help identify the type of explosive and components used, which could provide forensic links to previous Iraq bombings.
Of the 22 people killed, 13 were U.S. military, five U.S. civilian contractors, three Iraqi security force members and one other non-U.S. individual.
In addition, Myers said 69 people were injured, including 44 U.S. military, seven U.S. contractors, five Defense Department civilians, two Iraqi civilians, 10 contractors of other nationalities and one of unknown nationality and occupation.
Myers would not say whether officials believe the unidentified corpse was the bomber, or whether the unidentified injured person was involved in the attack.
Of the 69 wounded, 25 will return to duty, he said.
Myers and Defense Secretary Donald H. Rumsfeld said the investigation into the explosion was continuing. Both said the military was doing its best to protect troops.
''I think families need to be assured that we will give them the best that we can humanly produce for them to protect their loved ones,'' Myers said.
Despite the attack and other violence elsewhere in Iraq, Rumsfeld and Myers said the U.S.-led forces were winning the battle against the insurgents, and in the process protecting America from another terrorist attack. Rumsfeld said terrorists would have ''a deep pool from which to draw recruits and attack'' across the globe if the United States fails in Iraq.
''Freedom is at stake in Iraq and is achievable,'' Rumsfeld said. ''The only mistake would be to go back to darkness in Iraq.''
While offering condolences to relatives of those killed, Rumsfeld lashed out at critics who accuse the Pentagon of failing to provide enough protective equipment and facilities for U.S. forces.
Rumsfeld said he stays awake at night worrying about the troops.
''I am truly saddened by the thought that anyone could have the impression that I, or others here, are doing anything other than working urgently to see that the lives of the fighting men and women are protected and are cared for in every way humanly possible,'' he said.
President Bush said Tuesday that he hopes families of those killed would find solace in the service their loved ones provided. He said the violence, part of a continuing wave of unrest in Iraq, should not affect the Iraqi elections scheduled for Jan. 30.
''I'm confident democracy will prevail in Iraq,'' he said.
