Markland Technologies Announces $2.5 Million in New Orders from U.S. Army Night Vision Directorate
Company's Advanced Night Vision Technology Plays Key Role in Mission-Critical Military Systems
RIDGEFIELD, Conn., Dec 17, 2004 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that the U.S. Army's most advanced research laboratory has awarded the Company new orders for products and services totaling $2.5 million. The announcement was made by Robert Tarini, Chairman and CEO of Markland.
The orders, placed with wholly-owned Markland subsidiary EOIR Technologies, come under a long term contract with the Army's Night Vision and Electronic Sensors Directorate (NVESD), one of the U.S. military's most advanced technological leaders.
The $2.5 million in new orders come under a five-year omnibus contract with the Army's Night Vision and Electronic Sensors Directorate (NVESD), one of the U.S. military's most advanced research and development arms. The sales revenues derived from these new orders will be realized over a 12-month performance period. This will bring the total dollars awarded to EOIR Technologies Inc., a wholly-owned subsidiary of Markland, on this NVESD Omnibus contract since July 1, 2004, to approximately $25.1 million.
The ongoing five year omnibus contract may potentially provide a maximum ceiling amount of up to $80 million in fiscal year revenues for Markland. The contract has a potential value of approximately $406 million over the life of the contract.

Delivery of 127 Units Marks Start of Deployment Phase of Newly Developed Audio/Video Technology
RIDGEFIELD, Conn., Dec 16, 2004 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, has shipped the first 127 units of a next-generation tank weapons training system, marking the product line's evolution from development to the field deployment phase. Robert Tarini, Chairman and CEO of Markland, made the announcement.
The $1.95 million order, from EOIR Technologies Inc., a wholly-owned subsidiary of Markland, comprised units of the company's Safety Evaluation Range Training System (SERTS). The systems provide Army weapons training instructors with audio and video feeds of targeting, firing and other activities by soldiers inside armored fighting vehicles.
EOIR's SERTS systems are being installed in M1 Abrams tanks and M2 Bradley Fighting Vehicles, two of the Army's primary fleets of armored fighting vehicles. The proprietary products are the first in-vehicle systems developed for armored military vehicles. The systems transmit video and audio of the activities inside the exercise vehicle to the range tower for exercise monitoring, recording, and instant post exercise review.
SERTS is remotely controllable from the tower to include switching four camera outputs among six camera inputs. The cameras collect real-time video and audio from inside the crew cabin, as well as video fed by the vehicles' infrared targeting systems.

The first generation of SERTS is used for training, but in future the proprietary technology may also serve as a sort of black box, similar to those in airplanes. The SERTS systems can be installed to automatically record video and audio data for after-action combat analysis and improvements. The Army has deployed approximately 8,300 Abrams tanks and 6,700 Bradleys around the world, representing a significant market for SERTS.

RIDGEFIELD, Conn., Dec 14, 2004 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ), a defense and homeland security company transforming advanced laboratory technology into real-world products, has announced two new appointments within its executive suite. The Company named Dr. Joseph P. Mackin, a member of the board of directors, to the newly-created position of Chief Operating Officer. It also named Gino Pereira, a financial consultant to the Company for several months, to the position of Chief Financial Officer. The announcement was made by Robert Tarini, Chief Executive Officer of Markland.
Dr. Mackin is already a member of Markland's Board of Directors as well as the board of the Company's wholly-owned subsidiary, EOIR Technologies, Inc., (EOIR). He has been employed by EOIR since 2000, and is currently serving as the subsidiary's president. Since August, Mr. Pereira had been acting as a paid financial consultant to Markland.
The Company filed an SEC Form 8-K regarding the executive appointments yesterday, Dec. 13. The appointments were effective as of Dec. 7.

Prior to joining EOIR, Dr. Mackin was an Assistant Sensor Systems Group Leader at the MIT Lincoln Laboratories, where he served as the system integration lead for the Smart Sensor Web program, as well as in other positions. He holds a Ph.D. in physics from the Massachusetts Institute of Technology and a BS in Engineering from the United States Military Academy at West Point. He is a retired officer of the United States Army.
Mr. Pereira also currently serves on the board of directors of Teletrak Environmental Systems. From 1991 through 2000, he was employed by CDC Technologies, Inc., located in Oxford, Conn. During that time he also served as CDC Technologies' Executive Vice-President, CFO and COO. In January 2001, Mr. Pereira assumed the position of COO of CDC Acquisition Corp., a subsidiary of Drew Scientific Group plc. Mr. Pereira remained in that position until November 2001, when he became a principal at Interim Management Solutions in Oxford, Conn., a position he still holds. During his tenure at Interim Management, Mr. Pereira has acted as an interim or part-time CFO or COO for numerous small and emerging companies. In January of 2003, Mr. Pereira also became a Managing Director of Kiwi Securities, Inc., an independently-owned investment banking firm.

Markland Technologies Reports Record First Quarter Results; Company Posts Revenues of $15.77M and Positive Operating Cash Flow of $2.50M
RIDGEFIELD, Conn., Nov 16, 2004 (BUSINESS WIRE) -- Markland Technologies, Inc. ( MRKL ) ( http://www.marklandtech.com), an integrated homeland security company, announced today that it reported record results for its fiscal first quarter ending September 30, 2004.
Revenues for the quarter were $15,769,851, a significant increase over revenues for the corresponding period in 2003 of $306,724. This increase is due almost entirely to the acquisition of EOIR Technologies Inc. Net cash provided by operating activities for the quarter was a positive $2,503,859 also a significant increase over the corresponding period in 2003 in which the company experienced negative net cash used in operating activities. Operating results was a loss of $748,653 for the quarter. Net loss was $1,246,021 or a loss of $.03 per share compared to a loss of $911,936 or a loss of $.22 per share in the corresponding period in 2003. This decrease is due to an increase in the weighted average number of shares outstanding to 38,352,594 from 4,746,887. The surveillance sensor suite is designed for use aboard man portable Unmanned Aerial Vehicle (UAV) platforms.
With the on going mission shift of the United States Armed Services to Homeland Defense and Anti-terrorism, there has existed an urgent need for a man-portable airborne surveillance system that could be rapidly set up and deployed by a non-pilot. The purpose of the Backpack Unmanned Aerial Vehicle (UAV) Surveillance and Target Acquisition Enhanced Reconnaissance (BUSTER UAV) program is to provide critical battlefield information to the war-fighter in real time.
The BUSTER program is an extension of the small unit/ground scout sensor suite. The BUSTER provides the small war fighter unit with enhanced situational awareness and increased force protection, by providing the means for expanded reconnaissance / surveillance, coverage of marginal maneuver areas, as well as increased target acquisition capability, and an ability to reduce high-risk exposure points. This capability will prove invaluable to forward area deployed US military troops in high risk areas such as Afghanistan and Iraq. Markland Technologies Prepares for Future Growth by Securing $4,000,000in Financing
RIDGEFIELD, Conn., Sep 23, 2004 (PRIMEZONE via COMTEX) -- Markland Technologies, Inc. (OTCBB:MRKL) (http://www.marklandtech.com/), an integrated homeland security company, entered into a Purchase Agreement with two investors pursuant to which we sold warrants to purchase shares of common stock and secured convertible promissory notes for the aggregate consideration of $4,000,000. We intend to use the proceeds from this offering for working capital.
Also in connection with this transaction, we entered into a Lock-Up Agreement with the holder of 17,627 shares of our Series D Convertible Preferred Stock pursuant to which the holder has agreed not to sell Series D Shares outside of certain limitations until March 15, 2005.
"This transaction positions us for future growth," stated Ken Ducey, Markland's President. "We believe this financing and the lockup are a first step toward making Markland attractive for long term institutional investors."
The Warrants entitle the Investors to purchase 5,200,000 shares of our common stock.
The Convertible Notes are in the aggregate principal amount of five million two hundred thousand dollars and accrue interest daily at the rate of eight percent per year. The notes are secured by our assets, and we have agreed to file a registration statement for the underlying shares.

( MRKL ) ( http://www.marklandtech.com), an integrated homeland security company, announced today that the U.S. Army's Night Vision and Electronic Sensors Directorate (NVESD) has awarded EOIR Technologies Inc., a wholly owned subsidiary of Markland, contracts totaling an amount of over $12 Million for July and August the first two months of the company's fiscal year. These contracts are part of an ongoing NVESD Omnibus Contract. These funding awards are for EOIR to provide goods and services for the development of sensors and data collection platforms, and are awarded at the end of each month by NVESD.
The goods and services to be provided by EOIR personnel are as follows:
-- Develop, manufacture and test airborne surveillance sensor suites.
-- Assist in the construction of prototype sensors, data collection devices and surrogate vehicles.
-- Provide technical support for the integration of prototype multi-sensor suites.
-- Provide spare parts, new equipment or repairs as required to support fabrication of prototype sensors and collection platforms.
-- Design and fabricate test fixtures, mechanical subassemblies and complete systems as required for certain integration tasks.

The hearing was to provide testimony with regard to legislation HR 3562, designed to provide tax incentives to promote private sector Homeland Security initiatives.
The Subcommittee on Rural Enterprises, Agriculture and Technology of the Committee on Small Business U.S. House of Representatives invited the Homeland Security Industries Association to testify. "Mr. Chairman, members of the Subcommittee, is a pleasure to appear before you today. Accompanying me today is Bruce Aitken; Chairman of Homeland Security Industries Association (HSIA). HSIA was organized in November 2001, and formally launched over a year ago. We have over 400 members, ranging from multi-billion dollar defense contractors, to mid-sized firms to start-ups and incubator firms. Our panel today reflects this cross section.
In my oral presentation today, I will summarize the views and recommendations of HSIA. We ask that our complete written statement, which will be filed separately, be included in the record of this proceeding. The Association's views represent the consensus of HSIA members but not the particular views of any one member. In general, HSIA strongly supports legislation such as HR 3562 to provide tax incentives to promote private sector Homeland Security initiatives.
Since 9/11, America has begun a fundamental transformation from an open society to one that must continually weigh the security of its citizens and corporate assets from terrorist attack. In the immediate aftermath of 9/11, the Administration and the Congress acted with vigor. Unfortunately, partisan politics in the Legislative Branch held up rapid increases in HLS funding, as that Congress did not release FY 2003 funding until nearly half way through the current fiscal year. This meant that the substantial increases in HLS funding that had been anticipated last fall -- for First Responders and others -- did not begin to be released until 17 months ago. Since then, the Administration has moved quickly but First Responders and others involved in HLS still have many needs, for which funding has just begun. As a consequence, it is understandable that frustrations have been felt among First Responders throughout the country and among the companies who hope to serve them, including HSIA members.
America is an open society. That is the strength of our democracy and the source of our vulnerability. Two years ago, on the first anniversary of 9/11, the Washington Post analyzed America's vulnerability to terrorist attack and gave us an overall grade of "C-" for HLS. Of course, this is unacceptable. America faces a challenge, which is likely to take years to accomplish. Therefore, we repeat a call we made in Congressional Staff briefings in January and February 2003 for an end to partisanship in HLS.
Our concerns about the HLS fall into three categories: (a) federal procurement; (b) state and local procurement and (c) private sector initiatives.
With respect to federal HLS procurement by DHS and other federal agencies with related procurements, we believe that the Administration has done a commendable job in successfully launching the new Department in a very short time, as well as in meeting its deadline to federalize airport passenger and baggage screening. In addition, we commend the Department for its so-called "Industry Days." DHS has gone to great and commendable lengths to outreach to the federal contracting community to share with firms DHS's vision, acquisition plans and updates about its programs.
However, we have communicated to Congress on other hearings constructive suggestions to help improve this system in the future. We believe that the incidence of sole-source contracts, and sole-source delivery orders off the GSA Schedule, should decrease.
Today we address the need for tax incentives for Homeland Security related expenses. In the April 6, 2003 Sunday New York Times, an article appeared which predicted that by 2008, annual HLS spending would increase from he 2003 annual level of about $60 million to $200 billion annually. And the article predicted that 2/3 of this spending would be in the private sector. Yet the bet estimates we have seen suggest that since 9/11, private sector spending for HLS has increased only 4%. HSIA worked with a group organized by the American National Standard Institution (ANSI) from January 2004 to May 2004. The purpose of this group was to develop a recommendation for the 9/11 commission to help promote development of voluntary private sector HLS standards. We accomplished this and made a recommendation that NFPA 1600 serve as a model or framework for HLS private sector standards.
This led to a discussion about how to induce the private sector to invest in HLS measures and equipment. This is a critical issue since the vast majority of U.S. critical in the structure is privately owned. The consensus of our group, which included over 40 organizations, was that the 9/11 commission should recommend to Congress tax incentives. Not only for private companies investing in HLS initiatives, but also for municipalities.

Markland Technologies Completes $19M Acquisition of Homeland Security Company
RIDGEFIELD, Conn., Jun 30, 2004 (BUSINESS WIRE) -- Markland Technologies, Inc. (OTC: MRKL - News), an integrated homeland security company, (http://www.marklandtech.com/) announced today that it has completed the purchase of all of the stock of Virginia based E-OIR Technologies, Inc. (EOIR) (http://www.eoir.com/) for $8M in cash and $11M in principal amount of five year notes secured by the assets and stock of EOIR. EOIR is a major technology and services provider to the US Army Night Vision Laboratories and has expertise in wide area remote sensing utilizing both electro-optic and infrared technologies.
EOIR's unaudited revenues for the fiscal year ended December 31, 2003 were $42.7M and for the five months ended May 31, 2004 were $25.7M. EOIR's unaudited pretax income for the fiscal year ended December 31, 2003 was $3.17M and for the five months ended May 31, 2004 was $1.95 million.
EOIR's revenues derive principally from an active contract with the U.S. Army Night Vision Laboratories. This contract provides for sales of up to $406M during the life of the contract. To date EOIR has recognized approximately $120M in revenue under this contract. EOIR has over 150 employees located in several Virginia facilities. Markland believes EOIR is well positioned to capture additional sales in the United States within the Department of Homeland Security and the Department of Defense.
Founded in 1981, EOIR has a long history in remote sensor science, incorporating electro-optical, infrared, acoustics and radar. EOIR has substantial experience in the design of sensor technology particularly in the areas of capturing, processing and exploiting sensor data.
