Yeah, what happened here? New president in December. Then goes dark.
There is no tomorrow. Markets closed for Good Friday.
Right now? Market is closed.
Tomorrow is Good Friday and markets are closed. So, I have to wait until next week.
It is currently trading like a meme stock with a relatively low float (about 30 million). High the other day was $79.38. I'll wait a few days for volatility to settle down. The IPO was at $49.95/share if I recall correctly.
By quickly, I mean about 6 months. That's when the lock down period ends and the selling begins.
Then there is the potential for additional dilution:
"The Merger Agreement also provides that TMTG stockholders (other than with respect to any shares of TMTG common stock received as a result of the conversion of TMTG Convertible Notes) will also have a contingent right to receive up to an aggregate of an additional 40,000,000 shares of New Digital World common stock (the “Earnout Shares”) after the Closing based on the price performance of the New Digital World common stock during the three (3) year period following the Closing (the “Earnout Period”). The Earnout Shares shall be earned and payable during the Earnout Period as follows:
•if the dollar volume-weighted average price (“VWAP”) of New Digital World common stock equals or exceeds $12.50 per share for any 20 trading days within any 30 trading day period, New Digital World shall issue to the former TMTG stockholders an additional 15,000,000 Earnout Shares;
•if the VWAP of New Digital World common stock equals or exceeds $15.00 per share for any 20 trading days within any 30 trading day period, New Digital World shall issue to the former TMTG stockholders an additional 15,000,000 Earnout Shares; and
•if the VWAP of New Digital World common stock equals or exceeds $17.50 per share for any 20 trading days within any 30 trading day period, New Digital World shall issue to the former TMTG stockholders an additional 10,000,000 Earnout Shares."
Add to the fact that the company was losing money and has a very small user base, it's pretty obvious where this goes.
I see this going down the toilet quickly. I will probably pick up a short position next week.

Form 8-K change of accountatnts for Coyni
https://ih.advfn.com/stock-market/USOTC/logicquest-technology-pk-LOGQ/stock-news/91567313/form-8-k-current-report
LOGQ popped again. This time is appears to be for real.
I've sat on this one for years. Been following it more closely since May when it bumped up in price and an article at SeekingAlpha alerted me to what is in store. While the O/S has bumped up to 100M shares, the transfer of assets from Coyni before the spinoff should put the book value at about $2/share.
The planned offering of approximately $40 million with a NASDAQ uplistingis based on an estimated valuation of $200 million for Coyni’s assets and merging of other revenue sources. The Company has not obtained an independent third-party valuation of coyni. The Company is evaluating additional details regarding the spin-off and offering and will provide further information when available"

It appears that the price is right at these levels and that very few people are currently aware of this opportunity.

Titly?
Rather keep my fingers between some tits. But still hanging on to my shares.

Just red an article on the shortage of lithium - https://finance.yahoo.com/news/top-lithium-expert-agrees-elon-181259766.html
Let's get Elon to invest in BOXS!
Yep, I would agree with that. They have been in business over 50 years and have world-wide projects.
Lithium prices keep going through the roof
https://tradingeconomics.com/commodity/lithium
So, what happened to this board?
Excellent!
To have avoided this mess, BOXS needed to have had everything sent in by last Friday.
Yes, since the profile is of the old company. Has anyone contacted IR on how they plan about becoming current again?
Sure would like to pick up more at this price. Just tried at eTrade - "Nope, not today, pal."
Thanks. I'll look at that.
Maybe not. I'm just starting to read through https://blog.otcmarkets.com/2021/07/16/otc-markets-rule-15c2-11-amendments-faqs/
Scroll down to Can You Expand On The New Process For Filing A 2-11 Vs. The Current Process? and What Is The Difference Between The June 30th Deadline And What Was Required At That Time And The Date Of The Rule Going Into Effect On September 28th?.
Apparently, BOXS can either file a Form 211 with FINRA https://www.finra.org/sites/default/files/p126234.pdf or ask OTCMARKETS to review if I understand that correctly.
What I am not sure about is whether either of these two lengthy processes apply Pink Sheet stocks vs just the OTCQX and OTCQB stocks.
I guess the only way to test that is to see if it can be bought today.
Should be pretty soon. I seem to think, though, that OTC markets does not do intra-day updates so probably not today.
Yes. What I replied to the now deleted post referencing only the 10K. "Also" means in addition to.
No. We also need the first and second quarter 10Qs for 2021. Supposedly those are also done.
Ready or not, they need to file the 10K and 10Qs. They can always file an amended 10K. A lot of companies file 10K/A.
I re-read the section of the 8-K about Avery. It basically just addresses the companies that he worked for in the past. Being on the board of another company isn't the same as working for a company. It is simply governance and oversight. BOXS may not have considered his role at Fertoz to be relevant to where BOXS wants to go, which according to their website is:
True, they were not in the Experience Section. The About section is also truncated and you got to hit the "more" link to get the whole enchilada.
Also, in some industries people are more interested in the past 5-10 years than going all the way back.
About Patrick Avery
I don't know what you are reading:
"Well, he has a Linkedin page (link) and it seemed strange to me that the company's list he worked for was totally different from the list used for the PR BOXS put out. No ARCO, no Santa Fe Pacific Pipelines, no JR Simplot and not even Intrepid Potash on Linkedin while these positions are highlighted in the PR."
I just pulled this from his Linkedin profile (https://www.linkedin.com/in/pat-avery-412a5a11/)
About

Thanks for the update.
Yep. Ditto here.
They actually do. About five or six years ago, someone hacked my eTrade acct and I got trade confirmations coming in. By the time I finished the short email I was working on, intending to call eTrade, they called me at work noting the suspicious trades which also included margin borrowing. I was impressed. We got everything squared away in less than thirty minutes and put double authentication on my account. I also found them very helpful when rolling over a number of my 403b accounts after I retired. Rolling over a 403b is like pulling teeth, especially if there is an incompetent or indifferent H.R. dept at your former employer as was the case of my next to last employer which was a state college. Plus the state retirement system also had to put in their two cents worth. And VALIC kept misplacing the paperwork. Took me eight months to complete the process.
Just for kicks, I did try to place a buy on BOXS on Monday, and they would not let it go through. I wish they would let us sign a waiver and be on our own. Besides being trained as a financial planner, I've been doing this for over 25 years, so I know what I'm doing and know the associated risks.
A little more background on Patrick Avery from an October 2014 PR from El Tigre Silver Corp.
New 52 week high
Also recent action and rise in PPS for SDON.
Some action in $ITDN today and price up over last couple of days.
Thanks. Probably where I saw it, in my eTrade acct.
There may have been a big push to get in. I recall reading somewhere that some brokers were going to curtail trading in non-SEC compliant stocks even earlier than when the SEC boots them to the gray sheets.
I've had it for at least 5 years
Very nice.
