Radware Revises Guidance for First Quarter Results

The Company Will Announce its Final First Quarter Results and Hold a Conference Call on April 28
MAHWAH, N.J., April 2 /PRNewswire-FirstCall/ -- Radware (Nasdaq: RDWR - News) a leading provider of intelligent integrated solutions for ensuring the fast, reliable and secure delivery of networked and Web-enabled applications over IP, today announced that its projected revenues for first quarter of 2006 will be approximately 20 million dollars, compared to previously projected revenues of 22.2 to 22.6 million dollars. On the other hand, deferred revenues at the end of this quarter are expected to have increased by over $1 million compared to December 31, 2005.
Based on the above revised guidance, earnings per share are anticipated to be approximately 7 cents, compared to previously projected earnings per share of approximately 13 cents (both excluding stock based compensation).
"The change in guidance is a result of lower than expected sales in the U.S. during the first quarter," said Roy Zisapel, President and CEO of Radware. "As we announced in January 2006, we replaced our top management in the U.S. this quarter, and started implementing a new sales plan to grow U.S sales beyond the current rate. Merrill Lynch: Radware to miss revenue target but should still report net income

Analysts at Merrill Lynch are warning Radware investors to expect a weak first quarter. The warning was given on Friday, when shares in the firm dropped 13% on NASDAQ.
Analysts fear that Wall Street's expectations of $ 22.4 million are too high. They estimate that while the company will the miss revenue forecast, it will still be able to report net income of $ 0.13 per share, a total of $2.6 million.
Merrill Lynch suggested that one of the reasons for missing the target was management change in the United States. Radware recently named Larry P. Marino as President of Radware Inc. its U.S. operation. While Marino comes over from telecom giant AT&T, it is possible that the upheaval resulted in lower sales.
Merrill Lynch continues to rate the shares as a "buy". Their price target of $ 23.5 implies a 34% gain this year. "Radware's position should improve in the second half of the year, so we are not changing our forecast. Radware is trading at a multiple of only 8 times forecasted revenue for 2007, so that the risks are already reflected in the price."

Tel Aviv-based Radwin, which provides advanced wireless broadband solutions, today announced the formal inauguration of its Regional Repair Facility at Malviya Nagar in New Delhi.
Radwin has been supplying its WinLink 1000 wireless broadband solutions to carriers, service providers, ISPs and enterprise organizations in India for over a year. The systems enable customer companies to provide regional broadband services.

Sources inform ''Globes'' that that RADLive Ltd., which is developing a telephone switchboard system for large enterprises, is in the midst of its first financing round. According to IVC Research, RADLive was founded in 2005 by brothers Yehuda and Zohar Zisapel, and by RADLive CEO Menachem Cohen. The company has ten employees.
Zohar Zisapel declined to comment on the report. He told “Globes”, “The company is in the preliminary stages of its activities, and I prefer not to talk about it. In the coming months, the company will continue to grow, and then I’ll be willing to comment. I prefer not to comment at this time.”
Cohen previously served as CEO of Datasphinx, president of Mercado Software Ltd ., executive VP at Taldor Group (TASE: TALD), and VP R&D at a subsidiary of the Zisapel brother’s Rad-Bynet Group.

Radware's back on track, says WR Hambrecht

For the first time since the giants stepped into Radware's (Nasdaq: RDWR) turf, its share price passed $20 on the upside again, and stayed there. It had spiked above that level twice, only to sink back in no time. On Friday the stock closed at $20.90, representing a $420 million market cap for the company, at full dilution.
One factor helping the stock was probably an upbeat report from WR Hambrecht. Another round of checks bolstered its estimation that Radware is recovering from the serial blows that landed on it in mid-2005. The company is on the right track to meet forecasts for the first quarter or possibly even beat them, the investment bank wrote.
Analyst Ryan Hutchison points at several developments, including intense attention to the company's new products and changes in its marketing in North America.
Radware develops load management solutions for websites, and the woes started in mid-2005, when giants Cisco, Cistrix and Juniper, among others, suddenly bought startups that had the potential to get into the Tel Aviv-based company's face. Cisco had already been there but now its potential for technological competition rose a notch. The upshot was that orders from Radware all but skidded to a halt as the scene turned foggy.
Hutchison now feels that first-quarter 2006 revenues will be 11.5% higher than in the parallel quarter, reaching $22.3 million. Pro forma profit should ease back from 22 cents to 13 per share, he suggests.
The average of the nine analysts covering Radware is exactly in line with his prediction.
The figures show that business is picking up from its low point of June 2005, when the giants went shopping and created havoc in Radware's sphere.
The Israeli company fought back. To overcome the shock in its market, Radware appointed a full-time marketing manager and a president to its North American offices. Their mandate was to restore the company's strong status in its niche. It also declared it would focus on increasing its share of the application traffic market, in parallel with promoting sales in North America.
Hutchison believes the Radware management has done right to expend its main effort on increasing sales and market share, and aggressive execution of its plans.
He also believes that at this point, Radware stock has turned attractive, and sees a possible takeover in the company's future. His upshot, delivered late last week, is a Buy rating and 12-month price target of $22.

You might think that running one of Israel's most successful families of high tech companies would provide enough intellectual stimulation for Zohar Zisapel, the founder and chairman of RAD Data Communications.
But in fact, that's not the case. Instead of pursuing golf or tennis in his free time, Zisapel's likes to exercise his brain by solving mind-bending brainteasers.
"I've always loved brainteasers - the more difficult the better," he told ISRAEL21c in his offices in the high tech center of Ramat Hahayal, near Tel Aviv. "I belong to a circle of friends - a community of people like myself, who enjoy difficult riddles and don't want to know the solutions - they like to figure them out for themselves."
Several years ago, he turned his hobby into a corporate trademark. RAD's website features several brainteasers for the general public - and those who successfully solve them can win substantial prizes - the tougher the puzzle, the higher the dollar amount of the prize.
It's not a conventional corporate pastime - but then, Zisapel is not a conventional corporate CEO. When others are wearing suits and ties, Zisapel can be counted on to wear a T-shirt, leather jacket and jeans.
RAD, today a world leader in network access equipment for data communications and telecommunications, was founded by Zisapel in 1981 and was built in his own creative and restless image. Zisapel and his company are true pioneers in the Israeli high tech world, blazing a trail that many young Israelis have followed.
Early in the company's history, he understood that instead of making RAD into the largest conglomerate, he preferred continually creating new companies. The result is today, RAD is comprised of a 'family' of 15 companies, which had aggregate sales of more than $600 million in 2005. Six of the companies are traded on the NASDAQ stock exchange in New York.
"I never wanted to build a single company into an empire," he says emphatically. "I know that's the way most corporations work, that's how they get more powerful. But that's just not what interests me. I'm much more interested starting new things."
To Zisapel, a new company "is like a baby, pure and fresh. When you invent something new you are looking ahead, trying to figure out how people will behave differently in the future. That's what is exciting."
The model of continually looking ahead and starting something new, he believes, "is very right for Israel and Israelis. This is a country where the good people don't want to be head of a division. They want their own baby."
His original company - RAD Data Communications, which is still privately held - creates solutions that serve the data and voice access requirements of service providers, incumbent and new carriers, and enterprise networks. RAD's clients include more than 150 carriers and operators around the world, supported by 23 offices and more than 200 distributors in 105 countries.
To their long list of customers, RAD has most recently been able to add the Pope. Earlier this year, the Telephone Service of the Vatican State announced that it had chosen to deploy its services using several of RAD's Ethernet access solutions.
It will now use RAD's ETX-102 and ETX-202 Ethernet media converters, its Egate-20 channelized Ethernet gateway, and its RICi-E1 intelligent converter to transport Ethernet services over the Holy See's fiber-optic telecommunications network.
The products chosen allow the operator to separate traffic from different sources, extending the service provider's reach over its fiber network.
"The devices have more than satisfied our requirements," reported an official of the Telephone Service of the Vatican, in a press release. "They have demonstrated a high degree of reliability, and the configuration parameters indicate maximum flexibility and functionality."
Zisapel's quarters are a far cry from the opulence of the Vatican. His office is elegant but simple, with few fancy trappings. The most striking luxury is a distinctive painting behind his desk of a bulbous-nosed cowboy by Lucien Freud. On a table by the window is evidence that he is a proud father - several stacks of books by his daughter, the author Klil Zisapel (his other child, a son, is studying medicine).
Zisapel's own career didn't follow a planned trajectory. He always knew he was interested in electronics and had a knack for entrepreneurship, but didn't know how far or in what direction it would take him.
Zisapel has been creating businesses since he was a teenager. He chuckles recalling his first venture "I developed a hi-fi box, a stereo receiver, back in the late 60s." His invention didn't come to much as a business idea, "but at least I got a nice stereo out of it."
As a pre-army student at the Technion - where he earned BA and Master's degrees in electronic engineering, Zisapel started to find a business direction, along with his brother Yehuda, with whom he founded RAD and has worked closely over the years.
Together with Effi Wachtel, a fellow Technion student who now serves as RAD's President and CEO, they "ran a business providing lighting for discotheques, and at one point we were the biggest manufacturers of strobe lights in the country."
That proved not only profitable, but useful in a variety of ways; "I could bring my girlfriend to any club I wanted to."
He then began extended service in the Israel Defense Forces, which took full advantage of his technical talents. By age 32, he had risen to the position of head of the Electronic Research Department of the Ministry of Defense, before heading off for civilian life. "I never pictured staying the army forever. I knew I wasn't a professional soldier."
Following the army, he joined forces once more with his brother Yehuda who was then distributing data communication products, and RAD was born. At that time, a globally significant export-oriented Israeli high tech industry was considered a wild fantasy.
"In the beginning of the 1980's, nobody believed an Israeli company could sell a product that was anything less than a half-million dollar item, and that item was usually defense-oriented," Zisapel recalls. "I didn't see why that had to be so. I thought differently. Thank goodness I was young. You do a lot of stupid things when you are young but you are willing to take chances and go against the stream."
He pauses. "Actually, I still like to swim against the stream."
RAD was part of a wave that represented the transition of Israeli technology industry from strictly defense to commercial enterprises. But it was still a relatively small number of relatively large companies.
"Back then, there were no start-ups, no venture capital, no money available for such adventures. We were all bootstrapping, spending our own money," Zisapel says. "Still, looking back, I have to say it was relatively easy. We sold our products, became profitable, and grew rapidly. RAD had new ideas and we were among the first to really target a worldwide market."
How did he break into new markets that Israeli companies had not yet penetrated?
The trick, he said - was simply to try.
"We went after every country in the world. We were strong in Europe and then I went country by country, looking for new markets and it worked very quickly. I learned a simple lesson - if you really try - you succeed. People want to see you try. I may not understand China or Japan, but I try to understand and when my counterparts there feel that I am making the effort, they will help. And with help, you can succeed."
For many years, conventional wisdom was that Israelis knew how to invent exciting new products but didn't know how to sell and market abroad. Zisapel overcame this obstacle by hiring Israelis who had immigrated from North and South America, Europe, or Africa to sell and market to their native countries.
Today, he says, Israelis have learned how to sell. "Sales skills have improved tremendously, and I would argue Israelis can be better at sales than Americans. Israelis are better at listening to the customer and not getting stuck in how things are done here - a trap that Americans can fall into. We know we are not America, we are part of "the rest of the world." Israelis understand what it is to come from a small country, and that can help when you are dealing with another small country."
His model of growing new companies instead of building a single large entity developed early on. Currently, he founds a new company on an average of every year. The company must "fill a need that is not being served - a new market, a new technology that doesn't fit within our existing companies."
RAD was one of the nation's major business success stories of the 1990s. In 1994, Zisapel won both the Israel Export Award and the Entrepreneur of the Year Award - in 1996, he received the Hugo Raminceanu Award for Economics, and in 1998, was nominated by the Technion as a Distinguished Fellow in Electronic Engineering, and in 1999, an Israeli Industry Life Award. From 1998-2000, he served as Chairman of the Israel Association of Electronic Industries. In 2001, his alma mater, the Technion, awarded him an honorary doctorate.
Then came the end of the high tech bubble in 2001. Its burst "was an experience." But from the beginning, Zisapel was prepared. "Frankly, I expected it to happen earlier. I never believed in the bubble world. I understood we were living in a movie."
Looking back, he says, Israel survived the slump well. "Relatively speaking, Israel came out of the bubble burst in a strong position. If you look at Israel in relation to the rest of the high tech world, our relative size is bigger post-bubble than it was before. Silicon Valley took a harder hit than we did. They were more into hype and more into the Internet. On a relative scale, we suffered less."
The strong companies survived, and "now we are growing steadily. It's not a bubble this time. It's healthy growth."
He considers Israel the third most significant concentration of high tech companies in the world, after Silicon Valley and Boston. Looking ahead, he sees many opportunities for future growth, especially in wireless. This year, he is starting not one, but two new companies.
And still - there is always time for a brain teaser. He enjoys how answers to the teasers on the RAD web site come from all over the world.
Recently, an extremely difficult riddle was posted. Its source was Zisapel's friend, Prof. Abraham Neiman of Hebrew University, a former student and colleague of Nobel Prize Winner Prof. Robert Aumann.
It was a mathematical puzzle with a number of levels of solution - solving the most difficult level carried a $5,000 prize.
Three people solved the highest level - and Neiman decided he wanted to contact the winners to offer them the chance to study for a doctorate at Hebrew University. One worked in high tech in Israel and wasn't interested.
"Another one - and this is fascinating, turned out to be a haredi man who had never studied mathematics in his life," said Zisapel.
The third was a Russian studying for a BA in mathematics. "He's half Jewish - and we're trying to bring him to Israel to continue his studies."
Zisapel has a number of charitable causes, including a project close to his heart, which donates computers and Internet connections to institutions that serve as foster homes for children whose parents are abusive or incapable of caring for them. RAD also offers 60-70 university scholarships a year "not necessarily to the most brilliant students, but to the ones who are overcoming the greatest obstacles."

Bynet Communications wins $15m contract with Bulgaria Telecom

Bynet Communications, a member of the Tel Aviv-based RAD hi-tech group, today announced a $15 million contract in Bulgaria.
The company has a systems integration contract with Bulgaria Telecom, or BTC. The project covers installing and integrating Juniper systems based on IP/MPLS protocol.
Bynet competed for the project against Cisco, Acatel and Ericsson.
TheMarker has also learned that in anticipation of expanding business in Bulgaria, Bynet means to open a branch office there.
BTC is Bulgaria's national phone company, much like Bezeq (TASE: BZEQ ) is in Israel. Two years ago it was sold to American and British investors, who have been upgrading its systems ahead of Bulgaria's accession to the European Union, which is scheduled to happen in 2007.
Preceding the big contract with BTC, Bynet had identified potential in eastern Europe based on ambitions of joining the EU. It carried out smaller projects in Romania and the Czech Republic.
Expanding its operations outside Israel increased Bynet's investments spending by 10%, says its CEO Alon Ben-Zur, but meanwhile in 2005 its revenues increased about 15% to $120 million, compared with $104 million in 2004.
With 350 employees, Bynet is considered to be Israel's biggest communications infrastructures company.

Yehuda and Zohar Zisapel are continuing to dual-list their companies on the Tel Aviv Stock Exchange (TASE). Two months after Silicom Ltd. (Nasdaq:SILC; TASE:SILC)>) was dual-listed and held a successful issue on the TASE, Radcom Ltd. (Nasdaq: RDCMTrading in Radcom on the TASE will begin on February 20. Other dual-listed RAD Data Communications Ltd. subsidiaries are Ceragon Networks Ltd. (Nasdaq: CRNT; TASE:CRNT), Radvision Ltd. (Nasdaq: RVSN; TASE:RVSN), and Radware Ltd. (Nasdaq: RDWR; TASE:RDWR). Only RIT Technologies Ltd. (Nasdaq: RITT) is not dual-listed.
Radcom develops, manufactures and markets solutions for communications network traffic monitoring, control, and testing solutions. The company specializes in 3G wireless and IP networks for voice, data, and video communications. Radcom has a market cap of $65 million, after a 129% rise in its share price over the past four months. Radcom dual-listing in Tel Aviv

Its stock has risen 91% since November 2005, which may have spurred the Zisapel hi-tech brothers to make the leap. Wall Street-traded Radcom (Nasdaq: RDCM) will be dual-listing in Tel Aviv .
Local trade in Radcom stock will start on February 20, 2006. the move make sit the 36th dual-listed share in Tel Aviv.
The Zisapels have shown a penchant for starting with a Nasdaq listing, then taking the company home as well. Radcom is preceded by Silicom (Nasdaq, TASE: SILC), Radware (Nasdaq: RDWR), Radvision (Nasdaq: RVSN) and Ceragon (Nasdaq, TASE: CRNT).
The only RAD group stock remaining listed only in New York is Radview (Nasdaq: RDVW), which is in danger of collapsing. The Fortissimo fund recently came on board as an investor, in an attempt to rescue the company.
Radcom, which supplies quality testing kits for cellular networks, published its 2005 results less than two weeks ago. fourth-quarter 2005 revenues were $6.6 million, an increase of 30% from the parallel quarter and 12% from the previous quarter. It netted $798,000 in the quarter or 5 cents per share, against losing $243,000 in the same period of 2004.

Bynet Communications wins $15m contract with Bulgaria Telecom

Bynet Communications, a member of the Tel Aviv-based RAD hi-tech group, today announced a $15 million contract in Bulgaria.
The company has a systems integration contract with Bulgaria Telecom, or BTC. The project covers installing and integrating Juniper systems based on IP/MPLS protocol.
Bynet competed for the project against Cisco, Acatel and Ericsson.
TheMarker has also learned that in anticipation of expanding business in Bulgaria, Bynet means to open a branch office there.
BTC is Bulgaria's national phone company, much like Bezeq (TASE: BZEQ ) is in Israel. Two years ago it was sold to American and British investors, who have been upgrading its systems ahead of Bulgaria's accession to the European Union, which is scheduled to happen in 2007.

Preceding the big contract with BTC, Bynet had identified potential in eastern Europe based on ambitions of joining the EU. It carried out smaller projects in Romania and the Czech Republic.
Expanding its operations outside Israel increased Bynet's investments spending by 10%, says its CEO Alon Ben-Zur, but meanwhile in 2005 its revenues increased about 15% to $120 million, compared with $104 million in 2004.
With 350 employees, Bynet is considered to be Israel's biggest communications infrastructures company.

RADVISION Reports Record Results for Fourth Quarter and Full Year 2005

Fourth Quarter Revenues of $21.2 million and EPS of $0.24 Exceed Forecast
FAIR LAWN, N.J.--(BUSINESS WIRE)--Feb. 8, 2006--RADVISION (Nasdaq: RVSN - News) today announced that revenues for the fourth quarter of 2005 reached a record $21.2 million. This was a 21% increase from the fourth quarter of 2004 and $670,000 above the Company's forecast for the quarter.
Operating income for the fourth quarter of 2005 rose 89% from the fourth quarter of 2004 to $4.2 million.
Net income for the 2005 fourth quarter nearly doubled to a record $5.4 million, or $0.24 per diluted share, compared with $2.8 million or $0.13 per diluted share reported in the 2004 fourth quarter. The Company had forecast that 2005 fourth quarter net income would be $4.5 million or $0.20 per diluted share.
Business Unit revenues for the fourth quarter of 2005 consisted of $15.2 million in Networking Business Unit (NBU) sales and $6.0 million in Technology Business Unit (TBU) sales, representing increases of 27% and 8%, respectively, over the fourth quarter of 2004.
For full year 2005, revenues were $74.0 million, operating income was $11.5 million and net income was $14.7 million or $0.66 per diluted share. For 2004, revenues were $64.2 million, operating income was $4.1 million and net income was $6.0 million or $0.28 per diluted share.
The Company ended the fourth quarter of 2005 with approximately $125.0 million in cash and liquid investments, an increase of $9.2 million over the 2005 third quarter, and equivalent to $5.80 per basic share. The increase reflects cash flow of $5.8 million from operations and income of $3.8 million from the exercise of options, offset by $400,000 in capital expenditures.

The Dow Jones Industrial Average lost 292 points last week, putting it in the red for 2006. Nasdaq dropped 3%, and is still up almost 2% on the year. The S&P 500 index has gained 1.1% in 2006. Last Friday’s upset, and the decline at the beginning of the week, following disappointments from Intel (Nasdaq: INTC) and Yahoo! (Nasdaq: YHOO) mercilessly sliced up blue chip shares, while the small shares rode out the storm relatively unscathed. The Russell 2000 small-cap index is far ahead of the others with a 4.6% rise in 2006, compared with 1.9% for the Nasdaq 100.
”They aren’t so bad, but they also aren’t breaking through the way they had hoped they would,” most experts concluded, after surveying the results of companies that have reported so far. These results caused sharp falls on the market. In addition, there were several companies, not as big as Intel and Yahoo!, that unexpectedly reported very impressive results. In Radware’s (Nasdaq: RDWR; TASE: RDWR) sector, for example, F5 Networks Inc. (Nasdaq: FFIV) reported strong reports and guidance, pushing the company’s share up 5.6% last week.
Another positive surprise came from half-Israeli medium-sized software company Amdocs (NYSE: DOX). Strong results, good guidance, and a report of a large contract propelled the share to a record $33, a level it last saw before the company’s notorious severe profit warning in the spring of 2002. That warning sent the share into a tailspin and the single digits. It also led to a US Securities and Exchange Commission (SEC) investigation against Amdocs’s previous management on suspicion of selling shares before the warning, an investigation that has not yet been completed. Amdocs rose 4.5% last week.
Major companies will also report their results this week, including Texas Instruments (NYSE: TXN) last night, and Microsoft (Nasdaq: MSFT) and Nokia (NYSE, LSE, HEX: NOK) on Thursday. Among more medium-sized companies, Broadcom (Nasdaq: BRCM) and SanDisk Corp. (Nasdaq: SNDK) will report on Thursday, and Juniper Networks (Nasdaq: JNPR) will report on Wednesday, together with small Israeli companies DSP Group (Nasdaq: DSPG) and M-Systems Flash Disk Pioneers (Nasdaq: FLSH). These financial reports may restore investors’ confidence, and make them think that the economy is not downshifting after all; only a few large companies are having problems, while others are being excessive cautious in their guidance.
The first two weeks of the company reporting season proved that prior expectations have a great deal to do with shares’ behavior after companies’ results are published. Take F5, for example. Two weeks ago, Lehman Brothers took all the air out of the then-high expectations from the company by warning that the share would fall to $50 after the company published its report, even if it met or slightly exceeded analysts’ forecasts. What actually happened was that F5 slightly exceeded the forecasts: $0.47 profit per share, compared with $0.45 per share. Not only did the share not fall below $50, but it rose 3.5% to $61.60 the next day. It seems that Lehman Brothers completely altered expectations on the eve of F5’s report. The Nervous Nellies abandoned the share before the company’s results were published, leaving mostly buyers, who saw that Lehman Brothers had made a mountain out of a molehill.
It may be that last week’s steep drop and the bitter disappointment over the results of most companies that published their reports have neutralized the high expectations of only two weeks ago. Perhaps this week, when expectations are in the dumps, we’ll see different behavior on the part of the shares of companies meeting their guidance and issuing reasonably good guidance. Among the giant companies, the first test will be Texas Instruments’ results, published last night after trading.
Smith Barney, which, like everyone else, made a mistake about Intel’s results, believes it won’t make the same mistake with Texas Instruments. Smith Barney says that Texas Instruments deals mostly in wireless telephone components, a market that everyone agrees was strong in the fourth quarter. For example, Motorola (NYSE: MOT), a big customer of Texas Instruments, sold 44.7 million telephones of all types in the fourth quarter, compared with only 31.8 million in the corresponding quarter last year. Only a shortage of plastic components and keys prevented Motorola’s sales from being even higher.
Smith Barney expects Texas Instruments’ results to be at least in the company’s guidance range: a $0.38-0.40 profit per share on sales of $3.7 billion. They also believe that the company will issue good guidance for the first quarter of 2006, which they think will be less weak than the first quarter in recent years, owing to unmet demand for wireless telephones left over from the 2005 holiday season.
Smith Barney is much more aggressive concerning the results of Juniper, which competes in some of its business with Check Point (Nasdaq: CHKP) and Radware. Juniper will issue its report on Wednesday after trading, Smith Barney analyst Alex Henderson is advising investors to buy the share before then. He says that the share recently fell to 24 p/e ratio for 2006, after having been traded at an average p/e ratio of 42 over the past two years. He claims that the company will report strong results and issue good guidance.

Which two impending hurricanes could give Radvision a major boost, and why ordinary telephone calls at the company are a thing of the past.

Last Thursday night, I listened to a presentation by incoming Radvision (Nasdaq: RVSN; TASE: RVSN) CEO Boaz Raviv at a growth companies conference in New York organized by the Needham & Company investment house. After his super-optimistic presentation, I understood why the share spurted to a $19 peak on huge turnovers last week. The share hasn’t been that high for five years. No acquisition rumors are involved; the reason is a chance of a major revolution in two of Radvision’s giant markets. If such a revolution occurs, it will catapult the company to previously unseen heights. In his lecture, Raviv referred to these markets more than once as “two impending hurricanes.”
As of now, Radvision makes a very good living from two cash cows. Its technology unit has annual sales of $20 million and a high profit margin. Raviv managed this unit when he came to Radvision several years. The other unit is a networks unit, which has boosted the company’s sales to over $70 million a yea. The company’s profit per share is expected to reach $0.62 in 2005, more than double the previous year. A large continuing contract with the US Department of Defense, in cooperation with Cisco Systems (Nasdaq: CSCO), contributed to Radvision’s surprising third quarter results, and will continue contributing in the coming quarters.
The hurricanes that Raviv is talking about are in the enterprise communications and 3G communications deployment by service providers sectors. Microsoft (Nasdaq: MSFT), which works very closely with Radvision on technology for video conference calls, is making every effort to bring video conference calls applications out of boardrooms in which they are installed, and into every employee’s desktop computer.
If Microsoft succeeds, it will multiple Radvision’s sales many times at all enterprises. Instead of its technology being installed in a limited number of boardrooms, it will be installed on every computer -- a potential of hundreds or thousands of stations, depending on the size of the enterprise. For Microsoft, this kind of thing is routine, but for Radvision, it’s a hurricane.
Raviv believes that the second giant wave of sales will come from wireless operators when video communications applications on 3G telephones are launched. He says that these two revolutions have already been implemented at Radvision itself. A video camera has been installed in every desktop computer, with software for video communications between all employees, who have also been given 3G phones. Ordinary phone calls are a thing of the past at Radvision. The more enterprises adopt such communications, the faster the revolution in Radvision’s business will arrive.

Latest Contract Moves Tech Firm Into A Higher Income Bracket

In the multibillion dollar defense industry, $8 million barely adds up to pocket change.
Still, it's a lot of money for a smallish company like Radvision (NasdaqNM:RVSN - News). The Israeli firm's technology allows field soldiers and command posts to hold live video and audio conferences over the Internet.
On Nov. 28, Radvision announced that it had won a bid to provide $6 million to $8 million in technology and services to help build out a systemwide, Internet-enabled video teleconferencing system. The system will be used to support defense operations worldwide.
A lot of that conferencing is still run the traditional way: over a telephone network, using voice only.
Radvision's award was the largest single federal outlay for Internet protocol audio and videoconferencing.
"It's a big win for us," said Bob Romano, the company's vice president of enterprise marketing.
Big Gains
Putting the award in perspective, Romano points to Radvision's overall revenue. Last year it totaled only $64 million.
Third-quarter revenue this year reached $19 million, up 14% from the prior year. Earnings more than doubled from a year earlier to 18 cents a share.
Radvision's new contract is part of a larger project, estimated as high as $60 million, to be supervised by Northrop Grumman (NYSE:NOC - News).
Radvision's mission is to provide software, hardware and services to Northrop and related hardware to Northrop subcontractor Cisco Systems (NasdaqNM:CSCO - News). The company's "Click to Meet" software lets network users communicate in audio and video from their desktops or high-speed 3G mobiles, and to share data at the same time.
Such videoconferencing allows tens of thousands of users to interface in real time instead of the hundreds or fewer who rely on traditional videoconferencing methods.
Generation Gap
The federal government is a big user of the new technology, but nongovernment clients are buying as well. The latter group includes Cisco , Siemens (NYSE:SI - News), Hitachi, Intel (NasdaqNM:INTC - News), Time Warner (NYSE:TWX - News), Samsung and John Deere (NYSE:DE - News).
Most customers deploy the technology on desktops. Cell phones that use 3G high-speed networks are still at an early stage, especially in the U.S. The 3G mobile market is where Radvision execs see the greatest growth.
About 50 million new-generation 3G cell phones are video capable. That number grows by about 3 million a month, says Eli Doron, Radvision's chief technology officer.
Spitting Image
Founded in 1992, Radvision is known for its video infrastructure technology used over networks. Most of its revenue still comes from software and hardware that enables meeting room-based videoconferences.
The company's video technology makes images look as clear as DVDs, analysts say.
"Room conferencing is by far the largest application now, but much of the same technology can apply to desktops," said analyst Matthew Robison of Ferris, Baker Watts. "They have technology that arguably is in advance of the market development."
He says the software's ability to scale to a large number of users gives Radvision an edge on rivals.
Radvision added Click to Meet products to its core videoconference technology through its March buyout of First Virtual Corp. This technology let it make the leap to desktops and mobile phones.
The scalability of its software products is a key to future growth, Romano says. For example, customers might buy technology for meeting-room videoconferences, then move on to other gear.
"A large number of customers are buying with the understanding the solutions will also allow them to extend into this emerging desktop and mobile environment in the future," he said.
This convergence of technologies has been going on for a while. First came the phone for three-way audio. Meeting room videoconferences followed. Now add interactive Web conferencing.
"Those three conferencing methods are starting to come together," he said. "We see the biggest value in multiparty conferencing in any environment."
Meanwhile, Radvision's Click to Meet video technology is being integrated into Microsoft's (NasdaqNM:MSFT - News) new videoconferencing component for personal computers.
"Microsoft is pushing very hard," Doron said. "With Microsoft's push, the whole industry will grow."
That's not all that will grow. Analysts expect double-digit revenue growth for Radvision.
Analysts see even stronger profit growth, thanks in part to the leverage from software sales. The firm's overall gross margins typically exceeds 80%.
Analysts polled by First Call expect Radvision to earn 62 cents a share this year, up from 29 cents in 2004. They see 2006 earnings rising 26% to 78 cents a share.

TEL AVIV, Nov 28 (Reuters) - Israel's Radvision Ltd. (RVSN.O: Quote, Profile, Research) said on Monday Northrop Grumman Corp. (NOC.N: Quote, Profile, Research) had selected its video conferencing technology for a teleconferencing platform it is developing for the U.S. Department of Defense.
Radvision's (RVSN.TA: Quote, Profile, Research) revenue from the contract is estimated at $6 million to $8 million over the next 15 months.
The contract is estimated to be the largest single acquisition of Internet Protocol video and audio conferencing services and equipment awarded to date in the federal government, Radvision said.
Trading in Radvision shares was halted in Tel Aviv following the announcement, and is set to resume at 1435 GMT.
Northrop Grumman was awarded the contract to develop the new Defense Video System version II for the Defense Information Systems Agency. Radvision will supply Northrop Grumman its iVIEW software as part of the deal.

Radvision says CEO Tamari resigns, names Raviv successor

Nov 10 (Reuters) - Radvision (RVSN.O: Quote, Profile, Research) on Thursday said its chief executive, Gadi Tamari, has resigned from the company, effective Dec. 31, and it named Boaz Raviv as his successor.
The Israel-based video conferencing systems maker said in a statement that Tamari has submitted his resignation to pursue new opportunities.

Videophone Boom Calling Radvision

Shares of Fairlawn, N.J.-based Radvision rose 19% to $15.41 on strong third-quarter earnings Nov. 1. The reason for its strength: Radvision just reported that its profit more than doubled in the third quarter to $3.9 million, from higher revenue of $19.1 million during the period. It also gave an optimistic outlook for the fourth quarter. Forbes Wireless Stock Watch just added shares to its portfolio on Sept. 30.
Behind the stock's strength are recent announcements from Radvision (nasdaq: RVSN - news - people ) that its technology has been integrated into Microsoft's (nasdaq: MSFT - news - people ) Live Communications Server and Live Meeting to provide these platforms with multiparty video conferencing capabilities.
Video telephony has come a long way. Since the 1964 World's Fair in New York City, the world has been waiting for the videophone. Now, with 3G wireless networks and Internet Protocol-based networks being deployed, the videophone is arriving, though in a very different format. The difference between now and 1964: The notion of seeing people while you talk to them has expanded to being able to collaborate with them as well. That means that while there will be the sort of videophones imagined back in 1964--Cisco Systems (nasdaq: CSCO - news - people ) already makes them--video telephony will also take other forms.

Imagine, for example, that you are working on a simple text document in Word or developing a graph for a PowerPoint presentation. You realize along the way that you need to consult with a colleague (if you are at work) or a family member. It's likely that in the not-too-distant future, all you'll have to do is click on an embedded link in the application you are using, and if your colleague or family member is in front of a computer, cell phone or PDA, an instant videoconference can begin. You'll see the person you are speaking with, but even better, allow him or her to see what you are working on and even collaborate on the same document.
This kind of capability, in fact, is the reason Radvision was created. While the company does not create the videoconferencing endpoints (whether they be desktop computers, handheld devices, phones or cameras), it does develop the critical "behind-the-scenes" products that are necessary for videoconferencing and collaboration to work. For example, Radvision builds "gateways" that allow for interoperability between IP-based networks, ISDN networks and 3G networks. The technology is also capable of working with next-generation, high-speed wireless networks such as 4G and WiMax.
Radvision's "gatekeepers" are responsible for controlling and managing real-time voice, video and data traffic. The company makes "bridges" that allow for multimedia conferencing among three or more participants. Without this, you can't have a conference with more than two people. It also builds data collaboration servers, which lets people at a conference collaborate on an application and view diagrams and slides at the same time. Its collaboration servers also provide for chats and rapid file transfers during videoconferences.

Now, with the convergence of voice, video and data over IP networks, Radvision is focused on providing middleware to emerging collaboration markets. The idea is that you'll be able to hook into an application, schedule a meeting, invite participants and access their control, as well as provide authentication. If such collaboration becomes as simple as clicking on an icon while in an application, this kind of videoconferencing technology will suddenly become very powerful with a widespread base of users.
Of course, Radvision can't make any of this happen itself. The company is small, with just 350 employees. Its success hinges on the successful deployment of high-speed IP-based networks, as well as high-speed broadband wireless networks such as 3G and WiMax. However, Radvision does create the tools and software necessary for carriers to provide applications where collaboration can take place between different networks. Success also depends on the availability of low-cost video hardware and software, as well as standards-based equipment that can be connected to legacy video networks.
For investors, Radvision has been a wait-and-see game. But it looks as if we're finally getting to the point where videoconferencing is picking up and Radvision's vision could become a reality. One reason: 3G wireless networks are already being deployed in Europe and Asia, and demand for Radvision's technology is picking up.

I spoke with both Eli Doron, one of the founders of Radvision, and Bob Romano, vice president of enterprise marketing. Doron told me that more than 20 operators in Europe and Asia, including Singapore Telecommunications, Hutchison Telecomm (nyse: HTX - news - people ) 3G Austria, Brasil Telecom Participacoes (nyse: BRP - news - people ) and Orange S.A., have already turned to Radvision to provide videoconferencing and video-messaging services, and that business should continue to expand.
What's the attraction? Consider that current systems, which depend on a conference room setting, are expensive, running over $10,000. Even then, they generally can handle only ten to 30 people at a conference at once. Today, the market for these systems is about $600 million, and there are only about 500,000 units sold. Growth has been generally flat over the past few years. The major companies that sell these systems are Polycom (nasdaq: PLCM - news - people ), Tandburg and Sony (nyse: SNE - news - people ).
But wireless- and IP-based videoconferencing using desktop computers and handhelds stands to be enormous. If you look at the millions of desktops and cell phones out there, the market for IP-based videoconferencing dwarfs the size of the traditional conferencing market. Look at the applications from companies such as Microsoft--they are widely used, and Microsoft is already a big believer in the opportunities for videoconferencing.
That is why Microsoft is working with Radvision to promote its Live Communications Server. This server provides users with the ability to offer video conferencing with multiple users, as well as collaboration. Live Communications Server allows companies to run their own instant messaging systems while also addressing security issues.
If you have Live Communications and are working on an application, the online status of others will always be available, making it easier to share documents and hold a videoconference. In addition, the Radvision system can be integrated with Microsoft Outlook so that conference calls can be scheduled. The network will then call the participants at the appropriate time and manage the call.

Romano told me that Radvision works closely with Microsoft and has access to its videoconferencing roadmaps so that it can provide the kind of technology needed to let Microsoft offer the kinds of services people want. Radvision sells its products for Microsoft through Microsoft's sales and marketing teams. The company does seminars with them and sells its products through Microsoft's resellers.
Cisco and Microsoft also have a relationship, which goes back about five years. Cisco is one of Radvision's key partners, probably responsible for generating about 20% of Radvision's revenue. Radvision sells its gateways and conferencing bridges that are part of Cisco's video system. In addition, Radvision's products are part of Cisco's MeetingPlace product, which provides voice and Web conferencing. Radvision adds an integrated video option.
Radvision also works with a number of other companies, including Openwave Systems (nasdaq: OPWV - news - people ) and Comverse Technology (nasdaq: CMVT - news - people ), (both in the Forbes Wireless Stock Watch portfolio), which provide software for carriers.
Openwave, for example, uses Radvision's suite of development tools to develop its applications so they will work across a number of different protocols and networks. Radvision has had its videoconferencing strategy in place for over a decade now. The company's technology is well developed, and Radvision has key relationships with big players in place. All that's needed now, for this new form of videoconferencing and collaboration to really take off, is high-speed networks. With IP networks and 3G networks now being deployed, Radvision could be a big beneficiary.

Radvision More Than Doubles Its 3Q Profit on Revenue Growth; Shares Climb in Early Trading
NEW YORK (AP) -- Radvision Ltd., a maker of networking equipment, said Tuesday its profit more than doubled in the third quarter from higher revenue during the period.
The report sent Radvision shares sharply higher in early trading, up $2.34, or 18 percent, at $15.34 on the Nasdaq. Earlier, shares hit a new 52-week high of $15.54.
In the latest three-month period, income grew to $3.9 million, or 18 cents per share, from $1.4 million, or 7 cents, the year before. On average, analysts polled by Thomson Financial were looking for income of 15 cents per share.
Revenue totaled $19.1 million, an increase of 14 percent from $16.7 million last year and beating analysts' target of $18.5 million.
By segment, networking sales swelled 19 percent to reach $13.5 million, and technology sales grew 4 percent to $5.6 million.
Radvision forecast fourth-quarter income of 20 cents per share and $20.5 million in revenue. The year before, the company earned 13 cents per share and logged sales of $17.6 million.
Analysts are looking for quarterly income of 18 cents per share and $19.9 million in revenue.
