At least they are a Company that has a viable business.

Raymond Lee on-site reports says; (1) parking lot has doubled in the number of cars there; (2) seeing a large number of trucks bring in material, and (3) a lot of finished product rolling out of the site. Can anyone add anything to this? Chipwa1
GDIV should hold its own in revenues and with a Current Ratio of 3.243, with a Book Value of 0.43 it should see an upside in price. Any comments? Chipwa1

my question is i want to invest while its only at one cent. i see its asking for 4 cents but i doupt it will get that high. any takes on what may push this stock up or what may bring it down? id hate to invest then they do a revsplit..had that happen to me 2x already in a 5mth period. is this stock watered down diluted. what would be a strong point for this stock to get to the 5c point?

Well we are down to a penny even after the reverse split. Does anybody have any information as to what is going on in this company. I think we need to hear from Hamilton as to what the future holds. Any thoughts would be appreciated.

hate to say I told you so, But this is what always happens with Phil Hamilton. They are not producing anything, can't bond any work. Dont finish jobs that they are capable of securing a PO for.
Undercut the industry on pricing so much they could never make money on jobs sold.

As I said months ago,, This is just another repeat Phil Hamilton " Takem for a ride get their money and BK the place like he's done 5 times already kinda of thing.
I read somewhere that he tried to promote the stock before few years back but he didn't seem to get any result ... (when things was very well with the company.)
I think because the Wall Street crooks don't like it when Phil was not in bed with them ... and holding almost all shares in restricted form.
I know that O/S has been unchanged since the R/S. Most shares are restricted and that insiders holds lot of shares. Net book value is over .30 a share (not include lawsuit, if win could add .60 a share right away). Also two new financers wouldn't be stupid to striked a deal of at least .10 a share conversion with .20 and .40 in warrants. I am sure they must think the company worth many times more than that conversion ratio. Othewise there will be no way in hell they can sell all those shares (if to convert) with this big spread and low volume. I hope they will push this to .50, .80 soon and start the conversion ... I am ready for good news and PR campaing.
This is why I can sleep well at night.
Phil's focus is somewhere out there, I know not where? After his December 2006 letter, I just don't care where his mind is anyway. Sorry, I cannot fathom his management style. I only direct my attention to the Q's and K's. Good luck! Chipwa1
What I like about GDIV is that their inventory will be worth a lot more as for sale price goes as inflation increase.
As inflation increases, labor will be more and more expensive. Modular buildings will be a way to build.
Do you know if the CA fires impact GDIV in any way? Any schools burnt down?
What I still can't figure it out is why is it that the company is not coming out to defense or prop the stock price? It's traded at 1/3 of net book value (not include the lawsuit of $10 million plus it has going which could bring about .60 a share on top of that). Insiders are holding LOTS of shares. Restricted shares are over 2/3 of O/S. It's like they don't care about pps where it's going. Recent 2 financers finance with convertible at .10 a share with warrants at .20 and .40 a share. And lots of shares at that. So to dump those shares, PPS must be at least 4X of those price to start with. What type of plans do they have to generate volume on the stock and up the price? Whatever it is, I am wanting to see it badly.

Recently they got $2 million finance. Options to buy shares at .20 and .40 a share attached to the finance. What do financers know (2 financers) and investors are not told? That what I want to know.

I dont' understand why the company doesn't care to do something to defense the stock price. We are now trading at only 1/6 or 1/7 of net book value (exclude tangible assets). Insiders are holding tons of shares.. why aren't they care about share price? It's just beyond my undestanding.
Have you guys realize that FLOAT hasn't really changed in about 2 or 3 years when price was at .08 (pre R/S) or $1.60 a share after R/S (current status).
MMs or some groups shorted this down at $1.60 and have no way to cover without blood in their account? That is why we keep going down and have constant bashers bash this stock when we hardly have any action?

but most of those are options at .20 and .40 a share. If they want to exercise they will have to pay the company for it. Then they will have to try to sell it at profit. What price you think they would need to sell all those shares into the market and make profit? I would say price has to be about 3X more than what they pay for to put all those shares out. That means about $1 a share avg.
well,all i know is that Phil put 80% of the A/S into someone(s) hand at a average price of .015,the price is the same after the RS,only the share amount changed....still a butt load of shares...2 billion+ /20 to 100 million+...
I think you are mistaken. The R/S was just to reduce shares count only to make it more attractive. Everything else will be adjusted 1:20 Here is a portion of the filing:
"As of May 21, 2008, each stockholder’s percentage ownership interest in us and proportional voting power will remain virtually unchanged except for minor changes that will result from rounding fractional shares into whole shares. The rights and privileges of the holders of our Common Stock will be substantially unaffected by the Reverse Split. All issued and outstanding options, warrants, and convertible securities will be appropriately adjusted for the Reverse Split."
been camping in the sierra mountains for awhile with no internet access.i come back and see a r/s,hmmmm...i have to go over things,but i don't share your rosey outlock Hans.the way i see it (may be wrong) there are a LOT of warrants out that will be exercised at .01 and .02...the r/s would explain why they accepted the warrants at that price when the share price was at .004-.005,especially if they knew ahead of time.even after the split they hold a lot of shares/warrants.and remember there are also 13 million preferred at a high conversion rate that were protected from the r/s ( only issued & outstanding were split)........hopefully i,m wrong and this will be a good thing...but my post (#1116) seems to be accurate....time will tell......going to do some research......later

Come on, someone hits that .40 at the end of the day.
I believe this R/S is a good R/S. It was approved by majority of stock holder. This explained why O/S increased from 174 millions to 264 millions and stayed there after the increase in A/S and that $2 millions financial deal. Can you see what is going on here?
Before this R/S
O/S: 264,823,533
Restricted: 174,475,223
FLOAT: 90,348,310
First ... financer waited till the shares bottom and cleaned up shares .. around .005 As you know that insider held over 70% of O/S back then (out of O/S of around 170 millions)
Second ... Financer did the finance with conversion feature for the first (almost 700 millions shares) for .005 a share (if he chooses to). Then he has OPTIONS at .01 and .02 per shares. This means share has to be at least many times in price per shares than .01 and .02 (pre R/S adjusted) before financer exercises the option.
Third ... Financer probably converted some shares which brought O/S to 264 millions to gain majority control from insiders. This brings us to the R/S vote.
After the R/S, A/S to be 136.825 shares.
O/S to be 13.2 of which 4.5 million are in float. 8.7 millions are restricted. Remember that those A/S got increased to accomedate those options and converstion if financer choose to exercise it. As for now, the company has enough finance to last for at least 2 years easily. Therefore the increase in O/S will be from conversion but share selling to raise money.
Let say insiders and financers are holding 80% of the float, that leaves about 900K (after R/S) in the public hands. How hard is it to push a stock with book value close to $0.40 a share trading at $.12 to close to $.40 a share?
Remember, the financer would want to exercise those options at .01 and .02 (.20 and .40 a share after R/S adjustment). For them to make sure they make profit on those option (which they have to pay money to get them,) they would probably want to see price up few times over that price. So 3X of .20 (.60) to dump those options gotten at .20 a share? Very likely. 3X of .40 ($1.20) to dump those options gotten at .40 That's very likely as well.
It's now that investors want to know what the financer knows to make such game plan. I think it's going to be good, very good. Maybe they know that a big contract from was being held off till this game plan is put in place? Maybe they know the company is going to win the case against the bank and collect part of the damage seek?
I am very excited about this. Maybe GDIV will be one of those stocks that will rocket after R/S? I hope so. :)

Yep O/S and float hasn't changed. And this stock can't have more than 30 million shares in float right now.
What we need is a huge contract or two signed, bank decides to avoid the lawsuit by reopen the credit line... etc. That will push this stock up.

Here is what I don't understand ... why is he not worried about share price? I know that management own more than half of the shares and float that is not owned by insiders is extreamly tiny .. 30 millions or so. Don't they want pps to go up to at least book value?
Also if the financers put in $2 million recently, surely they are confident in the company. They confidence enough to have a conversion at .005 a share and almost 700 million shares. Then they go on with warrents series at .01 and .02 a share.
Those are huge shares and if it are to be put out in the market, the volume and share price must be 3 to 4X of the warrents price. What do they know that public don't know. Better yet, when will they decide to push price up?
I want to see this stock sit at least at book value or half of the book value. .012 to .015 will be fine, even .01.
One thing I picked up from your visit is that the money is to be used to remodel and INVENTORY. This is something that I think Phil is on something here. Why stock up on INVENTORY? It's easy, INFLATION is coming. Prices of goods and products are going to go through the roof. Stock up and remodeling now is very smart move.
If you have been working on remodeling around your house, you would know that prices of materials have been increasing. Things are getting expensive. US dollars is dropping in value which make imported raw materials more expensive.
Maybe this will give GDVI some price advantages in the future. Winning a project of $20 millions or $40 millions will sure help boost this stock up like crazy.
I remember on Investors Kit that they expected GDVI to go to .25 a share few years after that point in time. But that was when share was at .10. I said to myself, this company is very conservative and realistic.
So, to see pps under .005 is just blow my mind giving that lots of shell companies are trading at .01 to .03 while have nothing to show, no real business, and tons more shares. It's just very hard to understand.

i got admit from a distance the plant looks a little dumpy,but i was some what impressed when i got there,it was nicer than i had thought.
Here's my dummy award winning moment...i took a couple of outside pictures before i went in..( parking lot , modules , even the Global sign at the entrance with my cell phone...first time i had ever took a picture with a cell phone..i didn't know there was a save photo button you had to push after each picture....ooopppps..sorry..so when i got home and went to look at the photos,they were not there.
Conclusion : Phil seemed like a nice guy,there is hustle and bussle going on over there (facility upgrades),things are a little slow right now as far as new projects (schools)....hopefully he will contact me for a tour and pictures........i'm probably forgetting some things,if i remember something else i will post it...again sorry about the pics or lack of
hello all,well i made over to the plant today.I talked to Phil for a little bit,he said that they were very busy with doing inventory and with what sounded like remodeling being done in the office area (could be wrong on that part).When i told him i was the mod of this board i got the feeling he doesn't care for these types of web sites.He mentioned the recent financing they got,which is going towards inventory,facility upgrades (may be the noise i heard).There was quite a few people running around.I mentioned the lack of any PR's and such,he said there isn't a lot to say at this time.With the state budget here in California a mess ( i can attest to that ),school construction funding has slowed for the time being.He doesn't want to put stuff out that isn't news worthy.right now earlier projects are being finished.He said with all the extra activity going on it wasn't a good time for a tour and inside photos.But,he did take my phone number and email address and said he would contact me at a better time......continued on next post
