To answer some of the PMs I've received: - No, I have not given up. I'm still waiting like everyone else. It appears Saean is going public via SEAN, not EMPM. - However, as stated before, it's my belief, they "may" decide to fold or reverse merge our shares in. That's what I'm hoping and believing for, and still waiting to find out.

As you know, Saean signed an MOU (Memorandum of Understanding) last year:

An MOU is a prelude to a finalized contract. I haven't seen anything more about the status of this since that 9/4/23 PR. I don't know if this has any bearing on mergers. The other PRs continue to mention Saudi, so I'm under the impression this $1.1B contract is still on the table?

As I've said before, Dr. Lee/Saean's core belief and mottto is: "Nothing is Impossible." - That's a very profound, bold and powerful statement. I continue to BELIEVE we are still part of this, and that both ours, and Saean's expectations are being exceeded. Sometimes a longer growing season can translate into a more bountiful harvest.

Pray, hope, believe, and continue patiently waiting for more to be revealed... There's really nothing else I have to say about this. -- Still waiting to see where we stand...

If Saean does not relist EMPM but instead went with SEAN as it seems the list of shareholders in the filing are likely private Saean Inc. shareholders that Saean intended to integrate/distribute in EMPM/Saean Inc. restricted shares initially then we stand to lose our investments in EMPM/Saean Inc. shares.

There was a whole lot of reorganizing and rearranging that took place. Based on the filing, it seems they have more things to do. Exod Inc., as stated in filing, is supposed to be dissolved soon, as part of the merger process.

The reverse capitalization section of the filing was interesting.

As we understand, EMPM was a subsidiary of Saean Inc. - And I don't see where that ever changed. Saean regained control of EMPM via Court victory. Saean never dissolved EMPM, and became private after revocation. Revocations are easily reinstated, unless permanently revoked, which is not the case.

I suppose EMPM (if it even is EMPM anymore) could possibly be saved for something else. After all, Dr. Lee owns at least 64% of this, compared to owning around 20% of Saean Group. Maybe he would like to have majority ownership of something, and this is it? Just a thought...

This is all conjecture and opinion on my part. I have no idea what will happen with this entity, or if it's even part of the equation any more. - But I don't see anything that says this is over either. -Still waiting to see what is, and what isn't...

I also think it is an error and do not believe Saean would abandon EMPM shell either as they must have spent $1-2+ mil acquiring it and on ex-EMPM management salary during 2-3 years.

Since I have a free membership here, I can only send/respond PMs via ihub's happy hour event. I breezed through a few 8ks but didn't notice anything. Like I said, it might be an error because I don't see anything anywhere. Though interesting, it wasn't important enough for me to spend too much time on.

After 3 years of waiting, we still don't know where we stand in all this. It doesn't matter what Saean Group does, "IF" EMPM was abandoned after the lawsuit. I don't believe that's the case, but IF it was, then the EMPM shareholders get absolutely nothing. -That's the bottom line.

I understand why so many here no longer post, have given up, and become jaded after waiting so long. I still haven't given up hope. I continue to be patient, but I do understand after waiting 3 years we should at least know if we are in or out. But if we knew the answer to that, we wouldn't need faith.

I believe you're right HB. That was the audited version of Saean R&D w/ an Annual Report/Annual Disclosure Statement mixed in. We still haven't seen the "audited" PCAOB filings for Saean Group, which may answer those questions we have.

SAEAN Group unveiled its 30-ton articulated electric dump truck, which emits no noise or fumes, as a means to combat carbon emissions. The truck underwent a performance test on May 31 at the Construction Machinery Parts Research Center in Gunsan, Jeollabuk-do, Republic of Korea.

Electric trucks, in particular, which rely on high-powered electric batteries, necessitate advanced safety systems to prevent fire hazards.

SAEAN's 30-ton articulated electric dump truck is equipped with a 300kWh battery and a 250kW electric motor, enabling it to travel up to 100km on a single charge. Moreover, it can be used in construction and industrial operations in enclosed spaces such as tunnels, as it operates without an internal combustion engine, significantly reducing carbon emissions.

On May 31, SAEAN conducted a performance test of its 30-ton articulated electric dump truck (prototype) at the Construction Machinery Parts Research Institute's Comprehensive Test Center in Gunsan, Jeollabuk-do, Republic of Korea. Officials from TD Lease in Japan, which signed a supply contract with SAEAN late last year, were present. SAEAN's electric truck demonstrated impressive performance in off-road climbing and driving on a 1-kilometer circuit. It was also recognized as an eco-friendly electric dump truck with zero emissions, making it suitable for construction in enclosed spaces like tunnels.

On December 13, 2022, SAEAN signed a contract at the SAEAN Technical Research Center in the Republic of Korea to supply TD Lease of Japan with a 30-ton articulated electric dump truck. John Lee, CEO of SAEAN Motors, stated that production will begin next year, with an initial delivery of 45 units to Japan. He further emphasized that the 30-ton articulated electric dump truck will not only be utilized in Japan but also in global markets such as the United States, Australia, and Southeast Asia.

SAEAN has been at the forefront of the electric vehicle market with its development of various vehicles, including the ultra-small micro electric vehicle "WID-U," the electric compact SUV "WID SUV," the electric sports car "EXOD," and electric forklift trucks for construction machinery.

Saean is a great company with a great innovative team and a bright future. I think the delays and long waiting periods have worked in everyones' favor, being even bigger and better now, than the original plans. A longer growing season can translate into a more bountiful harvest.

According to an 8k filed in 2019 regarding "change in control", there was a stock purchase agreement giving Saean Inc. control of EMPM. The 8k also indicated that EMPM was a "control subsidiary" of Saean Inc.
