actually, i do know, also stated in my prior post, quoted from the 10-Q:

Pursuant to Asher Note, Asher has an option to convert all or any portion of the accrued interest and unpaid principal balance of Asher Note into the Common Stock of the Company or its successors, at 58% of the market price, no sooner than September 5, 2012.
