re: "If MIKP had an IPO of 11 billion shares which it has steadily decreased over the course of the following five years through retirement and R/S... how is that a bad thing?"

ok. my last shot at this.

the above statement is utterly inaccurate.

Mark bought the PINR shell in 2008.
at time of purchase, PINR had ~2b shares (can't remember exactly).

for the next 4 years (2008 - early 2011), Mark diluted from ~2b to 11b.
that's ~9b shares, yes?

the TA was gagged for most of 2010 through the RS in early 2011.
you can confirm that by browsing msgs from this board starting around sept 2010.
it was a major point of concern for us, so discussed here often.

Mark did not file 10Qs during this period, or we would have known the share count, which we didn't in 2010 through the 2011 RS.

Mark stated in fall 2010 that he saw no need to RS MIKP.
at that point, the OS must have been over 9b.
how many 9b OS no-revenue pink companies don't need to RS at some point?
Mark was either lying or utterly naive. you choose.

Mark also stated in late 2010 that he would announce an RS prior to filing, if it became necessary.
several months later, he quietly filed the RS, which we learned about after the fact.

that's as much time as i'm willing to give to this thread.
if you still have questions, i refer you to the long posting history on this board over the periods mentioned above.
