try checking msgs on this forum from sept 2010-april 2011.
you'll also see many references to:

-- Mark seeing no need for a RS.
-- Mark promising not to RS without announcing it first.

the RS was filed a few months later (march 2011) with no announcement.

for clarity, i'm not discounting the efforts Mark made to reduce debt/OS in 2012.

only pointing out that trusting Mark outright seems precarious, given 4 years of dilution abuse and misdirection before 2012.
