fair argument, but a discount in excess of 50% to market value is BIG! Especially if shares were sold to an individual shareholder who himself/herself expressed interest. Why not issue warrants in the triple zeros to all interested parties?

During this quarter, we were approached by an existing common share holder who expressed interest in
making a direct investment into the company. This shareholder purchased 62,500.000 common shares
pursuant to a Private Placement Memorandum dated December 14, 2012 for $50,000. These shares
were issued as restricted for a period of 12 months
