Oz, Roth is a part-time employee at ASFX, with other Business interests that provide "goods and services" to ASFX. He has a business relationship with "Concorde Capital Ltd". Both have control over the BOD.
No disclosure about anything concerning "Concorde Capital Limited", and certainly no disclosure concerning the extent of TIME, Roth spends on ASFX affairs. The only disclosure, in fact, is that a "Conflict of Interest" exists between Roth, the ASFX employee, and ASFX (per S-1a).
The following questions need to answered by ASFX.
1. Who/What is "Concorde Capial Limited"?
2. What agreements exist between Roth and Concorde Capital Ltd?
3. Does "Concorde Capital Ltd" have ownership of SM?
4. How much time does Roth spend in his employment at ASFX, vs his other business enterprises?
5. Why were these two individuals/entities given control over the BOD?
6. It appears Roth and "Concorde Capital Ltd" are running the show at ASFX. If so, what exactly does anyone else do to prevent these two from running the business into the ground. They're doing a nice job of it. They have COMPLETE control with no Oversight.
7. What business relationship exists between these two and Reznick? Same for Goldin?
8. Does Reznick provide legal counsel to "Concorde Capital Ltd"? To Goldin, To Roth, To ASFX????? If so, Reznick has a Conflict of Interest with ASFX and should RESIGN.
What exactly does Dr Chris do anyway????? Besides hang out in FL, because it appears Roth, "Concorde Capital Ltd", Goldin are running the show at ASFX (on a part-time basis) with Reznick providing the legal support for all three of them.
