This really is tooooo simple. The statement;

Is simply an 'Exit' strategy that is 'Always' included in situations such as this....it allows the purchaser the ability to say, 'Hey, I just found something in here I don't like', and because of that, we're going to have to renegotiate. etc. etc.
You 'Always' leave a way out, and 'Never' say never. It's just the way intelligent people do business.
It's just SOP.
And BTW, I'm not saying that he is looking for a way out...quite the opposite...he wants this company BAD. I expect the deal to be completed, just as the previous ones.
