A March 21st AMHI shareholder letter went largely unnoticed in the investment community. One that implied a merger could be on the way, one that would add significantly more value to the stock, and provide a significant boost to shares. AMHI has sat stagnant for well over a year, languishing in the $.001-$.003 range. In the company's last quarterly filing they boasted assets of $9 million and annual revenues of over $6 million. I think its safe to say those numbers aren't quite as high these days as back then but even if they are half of what they used to be, this stock should be trading well into the pennies. The outstanding share count is somewhere close to 100 million and the authorized shares are 200 million. Both very reasonable numbers for a stock that could trade well over $.01.

The shareholder update a month ago has really added some fuel to the fire. So not only is this company undervalued on its own, they are also looking to merge with another company. They have a big piece of cheese to lure some prospective companies in the form of a $6 million tax loss carry forward. This is take verbatim from the update last month:

We have recently started looking for a strategic partner to merge with. We have a tax loss carry forward of nearly 6 million dollars, which has real value.

That tax loss carry forward could turn into a nice lure, which will ultimately land the company a big fish. A merger would certainly bolster shares immediately. This is where we want to be, looking at these stocks before the merger actually hits the wires.

We know AMHI is looking for a merger, we know they have a big bone to lure a company to merge with, and we know they still have operations that at once time pulled in $6 million plus a year in revenue. All these pieces add up to a stock that should be trading at much higher levels. Add AMHI to your watch list. It is going to be an interesting year for this stock.

Shareholder update 3-23-2010
For Immediate Release

We have temporarily taken down our Rehabco and Omnibodyscan websites until we can remove some of the images and or resolve a couple of issues with the manufacturer of the Omnibodyscan. These issues are two fold;

1.Involves negotiations for a new cost associated with our private label, as we did not hit our targeted sales during the first twelve months.

2.Involves lack of support from the manufacture under the manufacturers warrantee.

The majority of American Health Choice, Inc. revenue continues to come from its clinic operations. We continue to operate very lean, without the CEO drawing a salary. We have been able to remain current on our accounts payables and have implemented some new protocol to help with collections.

We did get a quote for an audit approximately a year ago and it came in just over 100,000. Needless to say, we do not have this kind of cash flow to conduct the audit. It is our understanding that we will only need to go back two years, therefore this number should be considerably less with September 2010 year end. At that time we will look at and seek a quote once again.

As some of you know, our affiliate clinic business dropped off due to the fact that the Doc’s at the affiliate clinics were collecting our money and keeping it. Therefore we stopped sending them patients. We are owed well in excess of 150,000 and have recently engaged a law firm to go after this money. We are slowly ramping the affiliate program back up, but with better controls in place.

Our telemedicine business is growing slowly and we recently re obtained the domain name http;//www.Telmedco.com

We have recently started looking for a strategic partner to merge with. We have a tax loss carry forward of nearly 6 million dollars, which has real value. In order to maintain this value in the tax loss carry forward the company must be in a like or similar business i.e.…healthcare.

In early 2008, Texas Health Partners publicly announced plans to develop a hospital complex to meet the needs of rapidly growing communities in Southern Denton County. After seeking input from physicians practicing in those communities and considering many possible locations in several cities, it was decided that the new hospital would be located in The River Walk at Central Park, a development project in the Town of Flower Mound. RehabCo's first product will be the OmniBody Scan, an infrared imaging camera. The OmniBody Scan will be an adjunct diagnostic tool to highlight areas of abnormality within the body. When the OmniBody Scan is used as an adjunct tool, it will be able to identify problems early enough for prevention and treatment. Our initial focus will be the worldwide problem of breast cancer. The dilemma that all women have is that having X-rays to detect cancer may cause cancer. The OmniBody Scan will be a non-invasive tool that will have no harmful side effects.

AMHI consists of 3 main subsidiaries

1. AHC Medical Clinics - Consists of both company owned and affiliated medical clinics. The Division's strategic business model for its Affiliated Clinic Program has two components. First, a medical clinic owned by a physician with an established patient base and experience in treating personal injury and workers compensation patients. 3. TelMedCo Solutions, Inc. - formed in June 2005 to embrace the revolutionary technology of Telemedicine and to provide second opinions to patients of the Medical Clinics Division.

TelmedCo has recently joined forces with Aastra Telecom, a North American business unit of Aastra Technologies Limited. Aastra Telecom is a supplier to Verizon and a partner with BroadSoft, Sylantro, Metaswitch, Asterisk and other VoIP leading edge companies. Another reason that TelmedCo chose Aastra Telecom is their "roaming" or "mobility" solution.

Currently TelmedCo provides second opinions to company-owned and affiliated clinics as well as four clinics outside the Division's network. As of September 30, 2005 TelmedCo had 8 Production systems in place. In December of 2005 TelmedCo put in place the infrastructure to expand into Tennessee. This will bring the total number of systems to 14 production and two test systems. TelmedCo will continue to expand in Texas and Tennessee as well as in other states.

Telemedicine is the use of technologies such as video conferencing and electronic medical devices, combined with medical practices, and medical specialists that are organized and connected to provide health care services over telecommunications network to patients that are separated from the doctors by distance. TelmedCo's Telemedicine solution provides healthcare to patients by utilizing digital technology, including electronic stethoscopes, ophthalmoscopes and otoscopes, which virtually connect the patient to the doctor. The initial roll out using this emerging technology has been among company-owned and affiliated clinics as well as clinics outside the American HealthChoice umbrella. The revenue stream comes from second opinions provided by physicians of the Medical Clinics Division.

We have recently posted year-end financials on our website for AHC Chiropractic Clinic, Inc. for the years ending 2006, 2007, and 2008. Please note that this does not include AHC Physicians or Rehabco, which are both cash flow positive. I do not expect the consolidated financials to be available for a couple of months, but we will post them when they are completed.

The clinics continue to be our primary source of income. We have recently re-launched our affiliate program, but with tighter controls. Several doctors formerly in our affiliate program, collected money, but did not pay us. While we continue efforts to collect the debts owed, we are very optimistic about the future of this program.

Camera sales (Omni Bodyscan) have been slower than anticipated. We sold the marketing rights to the camera in Texas and Tennessee and have been disappointed in those who have purchased the rights. The contracts were based on minimum sales in each of the first two years. We are in the process of establishing an in-house sales force to help us move cameras forward.
