Furthermore, it is important to remember that our software being sold by Dell is now called ETS Dell Edition 1.0. It carry's Dell's logo and it's name. As of now, we did not clinch the deal directly with Philips, Dell did. We would and could not announce any such verbage about that deal, except for saying that we entered into a contract with Dell who will be selling our product. We are now three levels removed from the deal in fact. Dell....Envoy.....Wave. The only way we will announce with any company that Dell solidifies a deal with will be if we come in on the backend to provide the KTM servers. On the other hand, and this is pure speculation, but we all know how big Dell is in the server market also. I personally believe that we will clinch an even bigger deal with Dell later in the year for them to sell KTM Enterprise Server AD, Dell Edition 1.0. And once again, we will have to file an 8k. JMO

I think it is a combination of the contract and the fact that was becoming limited public knowledge that triggered the 8K. Remember the 1 million share days earlier in December.

IMO, and I didn't reread the 8k, but I think the 8K is the "Envoy 8k", not the "Dell 8k" since the deal is with Envoy Data Systems to sell the software ETS Dell Edition 1.0? So the relevant press release would be the one with Envoy, not one with Dell. Does Wave have a direct relationship with Dell?

In terms of the 8k itself, Wave announced a deal with the reseller Envoy, so if Dell wins a contract, it has nothing to do with Wave's material filings - it would be up to Envoy at this point. Wave already announced a relationship with Envoy. The 8k comes after that Envoy announcement.

So the correct question could be better phrased possibly as "why did Wave release an 8k regarding Envoy when they already announced a relationship with Envoy".

My opinion is that the Envoy deal was restructured to include the new product called ETS/DE1. As for any direct ties to Dell, not sure Wave is liable for any of them, ever, at this point. Are they?

Now, these comments are relevant to the ETS/DE1 software only. This doesn't include anything about KTM or ACM.
