Everybody should just be patient. It's understandable to have questions, but in all likelihood a CC will take place soon as in the past there has been one about every 1.5 - 2 months. All questions can be answered then. Dean Janes will describe where they are, the PPS will go up, and everyone will love the stock again.

Thes are called "RED FLAGS". and there are plenty of them floating overhead, always amazes me how easily the kool-aid drinkers overlook them. JMO, but looks like the delay in fda resubmittal due to image problems, the biggest red flag of all.

Good Grief! It is amazing to me how people can take a minor bit of information and weave it into a tapestry of fiction and confusion. Let's take your questions one at a time:

1) Why bother raising $5,000,000 when you could potentially be worth $200,000,000 in a couple months?

ANSWER: The $5,000,000 financing was obtained prior to today. When the financing was obtained the future was not as clear as it is now. One can not assume that FDA approval is a given, so one must prepare for the possibility of more delay. Plus it would be very helpful to have enough money to begin production when approval is obtained.

2) Additionally, why bother paying back $100,000 loan with stock at such a discount? Who was the loan to? Why couldn't the payback be extended until the stock is at a much higher valuation?

ANSWER: The following web address shows the corrected Form 4 filing that reflects the CORRECTED share price of the 0.71. I have no doubt that Dean (who is repaying a personal loan) did not think the stock at the time the loan was made would be so high as 1.95 or the 0.71 price at the time of the share transfer. The AMENDED FORM 4 website:

3) When and how did Alliance Acquisitions acquire a stake in Imaging3? Were they a part of the 107,000,000 share offering last year?

ANSWER: No reference that I am aware of has said that Alliance Acquisitions Inc has ANYTHING AT ALL to do with IMGG. IMGG has no ownership of Alliance Acquisitions nor does Alliance Acquisitions have any ownership in IMGG. Dean (apart from IMGG) has gotten involved in another venture outside of IMGG and has stated that the new venture which is a “business incubator” will not in any way detract from what he is doing with IMGG. He intends to follow thru with his IMGG commitments. He is multitasking and starting a new potential money making project which he will be President of. No other connection between the two.

4) If you truly believe Imaging3 will succeed soon, why not wait to leverage that success in your fund raising effort for the new (not really new) venture?

ANSWER: Nothing to leverage since there is no connection!

5) Why is the prospectus so focused on what they achieved with the stock price of their companies rather than what they achieved in terms of actual profitability?

ANSWER: If you are referring to the Confidential Documents for Alliance Acquisitions, you should reread the confidentiality part again. I would however hazard a guess that any prospectus would tout the potential to increase share price on a new “business incubator” that will only produce profit to the investor if the share price goes up on the incubator.

6) I am hopeful there are good answers to these questions so that such valid concerns (and specifically my posting them although they have been posted by others) do not affect the stock price.

ANSWER: There are good answers and I have provided some of them in this reply. For the concerns to be valid, the facts around your concerns must first be true. Your assumptions of facts are in error, so the concerns are not valid regarding affecting the stock price.

7) Can someone please get Mike Nessen or Dean to answer these questions soon? There is a lot about this that defies logic as well sound management/PR of a publicly traded company. The perception alone even if there is no wrongdoing is very bothersome.

ANSWER: Please feel free to call or write Dean or Mike YOURSELF to ascertain the FACTS before you allow more misinformation to defy your logic. Every thing seems logical to me and I have seen nothing to make me suspicious of IMGG Management. I perceive no wrong doing. Before spreading innuendo and misinformation YOU should check the facts. It is not the job of others here to do it for you.

Lastly it seems to me that some folks on this board are very possessive of Dean and his life. You own IMGG Stock, not Dean himself. I’m betting that none of the posters on this board are married to Dean or even related to him, so what gives with trying to dictate how he should run his personal life or his life away from IMGG. As long as he has given IMGG his best, that is all you can ask of him. If he chooses to be involved in other businesses then so be it. I don’t see Dean trying to prevent anyone here from owning other companies’ stocks. I own IMGG stock and I expect to benefit financially from that ownership. I see nothing that IMGG or Dean has done to make me question his integrity or his resolve. Of course I am basing my comments on my own research and my own verification of the facts. I suggest you do the same.
