The Russian (deal) was PR'd as a "binding agreement" not a LOI. Huff and Co. never let the truth get in the way of a good story . I take it that the SEC will be the least of his worries when the dust settles !

The operative word in what you say is

"may". Here is what you said:

Sorry, there have been to many years of MAY. You say "When inked the escrow is transferred."

That means that at any time prior to an actual "signed contract agreement" EITHER PARTY, FOR ANY REASON OR NO REASON AT ALL MAY WALK AWAY FROM THE "AGREEMENT IN PRINCIPLE" -- correct?

CORRECT! -- That means that, if and until, an actual contract is agreed to and signed that the PRed "Agreement In Principle" has no more substance to it than the 80 or 100 such PRs that have preceded it.

Until there is a signed contract nothing of this ilk -- LOIs, MOAs, AIPs, etc. -- are of any substance.

Letter of intent, agreement in principle, they be interchanging terms. But come on fools, we have to start somewhere. So what if its only an agreement in principle right now, you just dont walk up to some company and say Hey, let me get up all on you, and boom, you have a merger just like that. Dont happen that way. You talk, you work it out, one side pushes one side pulls, ying, yang, ping, pong, it be like that. Why dont you let these guys work it out before you go off hatin' and doubtin'? Ain't the same group no more. I think these guys mean business. Let them do it without all the BS. If it don't work out, THEN you can do all the pissin and moanin you want.
