The problem I have with your argument SPIN is the PP is past tense, shares were already authorized in the last SHM, the proceeds have been collected. The S-3 allows those participants in the PP to sell their shares.

Although it's certainly a source of annoyance for the PP participants if the S-3 is delayed.
