The transaction does not result in an increase in issued and outstanding shares of Company E.



It didn't make any guarantees about SAGA or ENZC issuing or not issuing additional shares. Just that the business transaction itself doesn't force ENZC to issue new shares.

The business transaction could force SAGA to issue 45 million additional shares, if SAGA is trading at $5 or less six months after close of the transaction. That's because of the Make-Whole Provision.

ENZC would act as liason for SAGA's new shares, which would flow from SAGA through ENZC to eventually be paid as dividend to ENZC's shareholders.
