What happens if a stock is delisted?

This can be voluntary,
when the company chooses to do so
for strategic or financial reasons,
or involuntary,
when the exchange forces the company to delist.

Companies may want to delist
for a number of other reasons:

Make short-term profits.

If a stock trades below its intrinsic value,
the company may repurchase its own shares
to profit over the short-term
before delisting
.

This can also produce rewards
for current shareholders
,
giving them considerable returns

_________________________________________________________________

What happens to shares when a company gets delisted?

Shares don’t disappear after a stock delisting,
but this does change how and where
shareholders can sell or buy them.

Additionally,
the share price may or may not be affected
by a stock delisting
.

Traders can potentially profit
from voluntary and involuntary
delistings.

If a company delists voluntarily,
its share price can increase

depending on the reasons for the privatisation.

In this case,
a trader can open a position to ‘buy’ (go long)
if they think the share price will increase.

Does it make sense to wait for firm to relist or sell shares?

While you can still sell your shares
when a company trades over the counter
,
the bid/ask spreads may be relatively wide,
meaning that buyers willing
to pay your desired price are scarce.

Although some brokerages restrict such OTC transactions,
you generally can sell a delisted stock
just as you would a stock that trades on an exchange.

A delisted stock
can continue to trade over the counter for years

What Happens When My Stock Gets Delisted?

The Impact of Delisting on Investors

Once a stock is delisted,
stockholders still own the stock

When a company delists voluntarily,
stockholders will receive a cash buyout
or shares in the new, acquiring company
.

WCVC - When a stock registration is Revoked

I'll Alert you of stocks to Buy,
before the Run happens !

_________________________________________________________________

It is hereby ORDERED that:

Pursuant to Section 12(j) of the Exchange Act,
the registration of each class of Respondent’s securities
registered pursuant to Exchange Act Section 12 be,
and hereby is, revoked.

The revocation is effective as of February 24, 2022

January 27, 2022
https://www.sec.gov/litigation/admin/2022/34-94090.pdf

________________________________________________________________

Once registration has been revoked,
the stock's ticker will be deleted.

Shareholders will still be shareholders
but in a private company.

Their stock will be extremely illiquid,
and its value will be difficult to determine,
as there is no public market for it.

Way to Restore a Section 12(j)
Issuer’s Exchange Act Registration

For issuers with sufficient resources and tenacity,
the entry of a Section 12(j) order
does not have to be a death sentence.

Nothing in the Exchange Act
or the Commission’s rules and regulations
prohibits a 12(j) company
from restoring its Exchange Act registration
and re-commencing the filing of periodic reports.

Most issuers who decide to pursue this solution
will file a Form 10 registration statement,
complete with audited financial statements
and unaudited interim financial statements
as appropriate.

Form 10 registration
is not the only way to restore
Exchange Act registration for 12(j)
issuers.

Filing a Form S-1 registration statement
brings the issuer back to “fully reporting” status.

Filing an S-1 registration statement
allows the issuer to register outstanding shares
that were deemed to be “free-trading”
before the entry of the 12(j) order,
placing those shareholders in the same position
they were in before the order.
