#126295 RE: makindatcash #126294

That explanation could fit with what I'm seeing as well, and that would make the Savov lawsuit important but not necessarily show-stopping.

BUT

Read this press release from ENZC from 12/1/2020 https://www.otcmarkets.com/stock/ENZC/news/Enzolytics-Inc-Completes-Merger-with-BioClonetics-Immunotherapeutics-Inc?id=282043

Godfather's Discord notes said (emphasis mine):

The lawsuit alleges that Savov was promised 71,900,000 shares in ENZC in exchange for performing several obligations under an asset purchase agreement. ENZC alleges that Savov did not perform his obligations, that the shares were contingent upon his performance and that he should not receive any of the shares since he failed to perform.

ENZC also alleges that Savov agreed to additional commitments but breached his promises and as a result is not the owner of the shares. Those commitments as alleged are (verbatim):

i. Transferring to Enzyolytics of 49% ownership interest in IMMB BG, a subsidiary of IMMB;
ii. Transferring all rights belonging to IMMB under a certain Sublicense agreement;
iii. Permitting and facilitating funding from IMMB BG to Enzolytics to pay for 1) vials for use in clinical trials 2) a validation order required by the Bulgarian Drug Agency.

Reading in the context that IMMB was to sublicense ITV-1 that ENZC already controls, free-and-clear, it looks like merely a dispute about shares and damages owed for breach of trust, plus a separate pending criminal lawsuit in Bulgaria for tortious interference and other allegations. (More about that below.) The picture is fuzzy though because IMMB used to own the patent for ITV-1. (Correct me if I'm wrong.) And the lawsuit explicitly says Savov did not transfer some kind of "rights" and ownership interest.

You can see claims supposedly quoting Savov in the infamous Gold Panda article here and in the facebook posts here and here. If this person is Savov, he is claiming as recently as June 2021 that Harry is running a scam to transfer ITV-1 rights from IMMB to a company (ENZC?) where Harry holds more shares and stands to make more money. Savov claimed in the 12/20/2020 facebook post that he never surrendered the rights, that Immunotech Laboratories BG still owns the patent for the medicinal product ITV-1, and that Savov owns 51% of IMMB BG. Are these claims true and are they really from Savov?

Well, let's not forget that the Savov lawsuit started July 15, then we had the July 21 Lonza PR that disappeared July 22ish and all the news about partnerships suddenly dried up. On August 23 ENZC said (emphasis mine):

On July 15, 2021, an action was commenced against Dimitri Savov, a resident of Sofia, Bulgaria, in the Court of Chancery of the State of Delaware seeking a temporary restraining order, injunctive relief, a declaratory judgment and damages arising from illegitimate and false claims made by Mr. Savov regarding his purported ownership of stock in the Company. Additionally, Mr. Savov has made numerous defamatory statements about the Company and its Directors. These actions by Mr. Savov damaged the Company and constitute tortious interference with the Company’s current and prospective business relationships. The Company intends to pursue all available claims and remedies against Mr. Savov to the fullest extent permitted under the law and is in the process of filing a criminal complaint against Mr. Savov in Bulgaria. As 49% owner of IMMB BG, Enzolytics has assisted with the filing of forgery and fraud charges against Mr. Savov in Sofia earlier in the second quarter as well. The Company is working to mitigate the damages caused by Mr. Savov to relationships recently announced between the Company and other entities.

Would a dispute about shares have that effect?

You are correct on all counts. I've said it before, but this lawsuit is a sign of strength, not weakness, nor is it cause for concern. It shows we have a pro-active, savvy management team who does not take sh!t from anyone. A weak company would have done nothing.

Sorry, IMMB nor does ENZC own ITV-1.

They both are licensed to produce the material under a contract by The Zhabilov Trust.

And once you start putting this together, it means The Zhabilov Trust could sell this patented material(ITV-1) to the highest bidder(if it is/or has value).

Know your risk, and hope we are rewarded.

You are correct Makindatcash.
See my earlier post , IMMB in NV SOS was just reinstated by Harry Zhabilov on 8/11/2021 and Harry is the CEO, President, Secretary , Director , "Janitor" :) , so in other words they (Charles C and Harry ) are making sure that Bulgarian Scumball is out of the picture ... LEGALLY and every way possible.
