That's not completely true. If management made misrepresentations and/or omissions of material facts regarding the strengths/weaknesses of the intellectual property, and investors relied to their detriment (reliance is presumed in terms of omissions), then the company/management is directly liable to shareholders on grounds of fraud and/or negligent misrepresentation.
