Why would a CEO accept share based compensation INSTEAD OF cash?

Because when Kent awarded himself shares instead of cash he knew at that time he was going to attempt an uplist and RS. With that these awarded shares were to not be affected by RS. This would benefit him far more then any cash compensation as those shares would be worth multiple times more post RS!
