Lexington was created, then thru reverse merger aquired TargetCo which I am assuming held the license agreement for development & marketing of the HS. The positives here is TargetCo SH were exchanged their TargetCo stock for Lex stock. No one lost in that transaction. Also notice the OS at the time of that prospectus, 01/25/2016.
As of that date Lex OS was 29,825,901 issued & outstanding. Today, almost three years later there is 37,853,401 per thecse.com which means in 1 month short of three years they have only issued a total of 8,027,500 additional shares. In which includes the prior mentioned PP INCLUDING the warrants which were exercised 1 year ago (AND in fact is the reason along with shorting that got us at this sp) The OTC scams will issue ten times that amount in 1 year or less. SH VALUE not only comes with demand but also with liquidity. THEY KNOW to keep OS down until demand hits hard otherwise we will only see high volume & not sp increase. Frequently seen on OTC AND REGULAR MARKET. AKER, PRPO, NVCN, & HMNY are great examples of a catalyst hitting & seeing volume triple with only 2-5% sp increase (& they are all listed in the regular market). Dilution & liquidity.
So think about that, along with the track record & success of the folks involved, the fact that the HS is "Licensed to Lexington by Lawrence Berkeley National Laboratory in the field of cardiovascular vascular health diagnosis and monitoring" which comes with requirements as well as expectations of getting that product to market.
NOW.... rethink the impact of this simple & easy to operate BP cuff that will have the next generation technology that NO OTHER BP cuff has. A technology that will pay for itself not only by increasing a Doctor's reimbursement amount for an office visit, but save insurance companies money by catching arterial disease BEFORE a major event occurs. One that cost in the hundreds of thousands to treat for the insurance companies. Don't think insurance companies will throw another $5-10 bucks a visit for that? Then you must not know that insurance companies function on statistical data and not the dimes & nickels on claims. No industry is better on that data than Insurance.
In conclusion, large investors are after more stable smaller profits than high risk larger profits. That being said, until full FDA clearance, we are considered the latter of those two types of investments.
It is the institutional investors that will take this from $5 to da moon if & when the first big contract for the product comes in and money hits the bank. IMO, that will be when the HS will have center stage under the spotlight with all the National media.
Throw a few pennies at the sh for dividends and then see what happens.
So from my DD I understand and accept where we are at, I appreciate the conservation efforts of our management team in keeping control of liquidity, and most importantly I am comfortable in the credibility of our management team.
Yes there is something that can always happen and for this we tiny investors are carrying the load & big money just sits and wait.
The chances of this going south in my opinion is minimal compared to the HS chances to success. So here we are, no pumps because our guys know what's coming & they DON'T want the reputation of a pumper, these guys are top professionals IMO and simply know that a pump at this point will only put money in "shorts" pocket and bring in more sh to sit in the red like we are doing now.
Personally I like the silence, I'm long here and seeing sp bounce like a tennis ball from pumping won't do me or our stock any good. A certain shorter on L2 would love it but won't do us any good that are here for the long haul and just make our volatility look like crap.
So there it is, my take on the prospectus and where we are, as well as where we are headed.
