It is a 3 party merger, so the underwriter will not value the share price of the IPO based solely on nFUSZ. For Rory to file an S-1 knowing nFUSZ does not qualify alone should speak volumes about the company nFUSZ is planning to acquire. Although technically there will be dilution, the increased value per share from the merger will make the dilution insignificant IMO.
