This is not an Initial Public Offering, it is a Public Offering with an Initial Price. The additional 10's of millions of shares to be added to the O/S and float will be priced according to the current market with some discount so that the underwriter can make profit/fee. The underwriter will look at the company's financial performance (which is horrible, btw) and the stock price performance and will recommend an offering price based on that. Comparing this to other companies who were offering stock in their company to the public for the first time and after they've been established in their business for some time selling product and making profit is false and very misleading.

They will not credit a non-binding letter of intent to acquire a private company when agreeing to underwrite the stock offering, that would be stupid, and they're not.
