Name change is bigger than most think, too. To add to your scenario - If your were about to unleash a huge marketing campaign for your product, would you do it under the old business name/ticker? NO! If you were about to send out several positive press releases, are you going to do it under the old or new? THE NEW! Why? Because when people google your product or see this amazing new phone, you want them to associate it with your new name and business. You wouldn’t pass out flyers for your business then go back and change the name a week later. Nobody would find you! That’s bad business! The name change is coming soon and when it does I bet we will see a barrage of great PRs. It wouldn’t surprise me if most of them are already written and waiting for release. Everything to this point has been planned so far ahead; I don’t see why this would be any different.

Sounds to me like they made the best decision in this by taking over a shell company. Changing the stripes is much cheaper then getting a new horse and buggy.

It often turns out to be much more expensive, as cleaning up messes can be pricey.

For example, what about the issuance of all that Series C preferred? Was it legal? Will the company be asked about that at some point? Perhaps by FINRA, in connection with the corporate action request for a new name and ticker?

Life as a penny stock is hard. No reason to make it harder by buying or otherwise obtaining control of a dirty shell.
