So range of fully diluted outstanding shares might actually be somewhere at or between 443 million and 500 million.

Flip, it gets a bit messy, and I am no longer sure of my agreement with Jerry that they are over.

The "dillutive" number has to do with accounting. I really do not know how that aligns with the shares count.

Perhaps simplest is to use the fact that the Ds can not be exercised. This would imply they are right at the cap.

Flipper;
I agree with your number of 443,227,006. I disagree with Jerry's numbers because the SEC filing states the following:

"The above table is based on 307,253,437 shares outstanding, including redeemable shares, as of October 20"

That means all redeemable shares as of October 20, 2017 have already been factored into the 307,253,437 number.

I believe the

Share-Settled debt and accrued interest, at fair value - counts

and

Convertible notes and accrued interest - counts

but that the

Common Stock Warrants - Liability Treatment - do not count

That number was listed at 84 million on the 2016 10-K.

I have the numbers for shares and warrant added up somewhere in my files - starting with the 10-K and then adding on with each 8-K from there. But I'd have to look at those tomorrow and compare notes.

It does not, according to Les.
