Based on the calculations, it really seems like they are putting a minimum value on Spectrum King LED at .30 per share. $6m in financing on 20,320,000 shares issued only works if the share price is at least .295-.30.
From the cap table, Spectrum is adding 166m shares to the already 58m shares outstanding. That would be a total of 224m shares for the new OS with the majority of these shares being held by insiders. At 224m shares and a pps of .30, you get a market cap of around $67m.
My guess is that they are anticipating PPS to blow past .30, because if it doesn't, I don't see how this is worth it for those investors fronting $6m for only 20m shares in return.
