I think the question is exactly that - though I would phrase it as "can it be proven that he lied"?
That's been his MO for all these years, both with ICNB as well as his previous pubco that just went dark - say what you need to sell some shares, rinse and repeat, and hide behind statements like "working to", "aim to" and "look forward to", soxwhen the SEC get called in, you can try to fight your way out.
