Let's say you're Rich DiCicco. You own 49% of Bellissima LLC. Its sale could net you tens of millions of dollars. Why would you sell your 49% to ICNB? They can't offer you voting control. You already have that. So why?

Rich could just double the OS and give shareholders the 49% that way. If he did it in conjunction with the RS to uplist and original RS would have been say 1:10, he could just do a 1:20 instead. Whatever process he uses, you can bet he'll make shareholders pay for their 49% somehow. That cash will go into Rich's pocket somehow (and rightly so. He only sold half of the Bellissima rights and shareholders who listened to all the pumping a few months ago, that didn't properly do their DD before buying, probably didn't realize they only got half ownership, not full as one would normally expect, of Bellissima followed by the the Pref D shares that give them yet half ownership of ICNB).

The whole deal might be legal, but very misleading except to the most astute investors/traders here. And it's still trading at significantly overvalued PPSs. Now there's a large group of stuckholders coming to this realization, wondering every day why the price continually erodes regardless of the announcements made. It's not just dilution. It's way overvalued.
