how does mantra buy a co. for 10 M with no cash?

That's what the $2M convertible is for. If Intercloud converts today, they will get roughly two thirds of the shares. If the share price goes up, they will own less. If it goes down, they will own more.

It's basically a reverse merger, or better, a reverse acquisition.

The company could have just given Intercloud 200M shares and get it over with, instead of doing this convertible. But then it would be a change in control and probably needs shareholder approval.

You can't trust Intercloud until you can trust them. That's always an issue when you give up control.

braniac54

They could with the patents of MVTG. Those are the value MVTG has.
The ERC and the MFRC and the other patents. Someone thinks they have at least ten million dollars a year value. Value now.

The share price should show that soon.

The $10 million is a BS # being tossed around
as if it was excess money.
Misleading

You don't buy a company for less than its yearly profits
What were AW profits/yr ,
I don't know at the moment.

They bought AWS with a promissory note. That means IDLC was willing to sell AWS to $MVTG with a promise to pay!!!!!

That is called credit!!! So $MVTG obviously has credible credit, in spite of claims made other wize, enough to by an operating firm that has 10 million dollars in sales.

How do you buy a new car or house? With loan, and a mortgage.

Go read about a company called Ling-Temco-Vought that started out as a Larry Kristof selling shares in start up that had nothing and grew into a monster so big The US government called them an illegal monopoly and made them sell off assets. They were the size of today's Apple or Google at the high!!!! The found had nothing but s lick sales pitch, and used the cash and debt-credit to buy operating companies...Like Larry just did
