FWDG is a good example of a shell not being a shell. It was argued (successfully) to the SEC that they were planning on doing something so it wasn't a shell, even though it didn't do anything.
Apparently, all these scams have to do is.....well....scam. And that means they are not a shell but an operating scam...er...company.
