m not sure why you are having so much difficulty understanding this. It is basic math, but OK let me try again per your request.

Linda received 42,304,837 votes

Per your numbers, LP had about 31M votes and NW 26M votes.

Clearly either NW or LP did not vote all their shares for LP. That math is just not that friggen hard.

Changing your story to "not voting is support" is funny. The election was always mathmatically a lock for LP, so all that mattered as how NW registered his dissaproval. He did so by not voting.

BTW, there is no "against" vote allowed in this election. All one can do is vote for a candidate, and not vote in some form.

You are wrong again. From the proxy:

http://www.envisionreports.com/NWBO/2015/1B623OC15F/Documents/v423815_NorthwestBiotherapeutics__def14a_PressFinal.pdf

e. If you do not provide instructions as to how your shares should be voted, your shares will be
voted according to the recommendations of our Board as follows:
• FOR the election of Linda F. Powers and Dr. Navid Malik, as the Class III Directors

NW has 24,815,028 shares with which to vote (thanks AVII77). If he voted YES along with LP's 31 million-ish shares she would have had 55 million YES votes. She only got 42,304,837. Only 9 million withheld so those weren't Woodford's shares either

Therefore he had to abstain:

Also from the proxy:

Abstentions and broker
non-votes will not be counted for purposes of determining the number of shares voted in the election and,
accordingly, will not affect the election of directors.

Basic Math:

42,304,837 + 9,017,855 = 51322692 total votes.

42,304,837/51322692 = 82.4%

#1. The discussion concerning the recent voting is centered around several posters who continue to perpetuate conjecture that Woodford is satisfied with Linda's recent decisions as evidenced by his recent vote for her at the annual meeting. As has been pointed out multiple times, this is completely false. Subsequently, the argument has been changed to claim that he simply didn't vote against her which is true. But it flies in the face of the original claim that his vote showed his support, because he didn't vote.

#2. I asked a simple question if LP had complied with NW's request to appoint a new non-executive director. To which you replied yes. And then pasted the press release which says they are looking for one. I'm very tired of the spin!!

See my post 48444, which includes:
http://ih.advfn.com/p.php?pid=nmona&article=69815331&xref=newsalert

The stockholders approved the election of Ms. Linda F. Powers as a Class III Director for a term expiring at the annual meeting of stockholders in 2018, with 82.4% of the votes cast, based upon the following votes:

Member / For / Withheld / Broker Non-Votes
Ms. Linda F. Powers / 42,304,837 / 9,017,855 / 15,408,084

In your post, you indicate that LP got 82.4% of a total of 92,358,027 votes.
Instead, the above indicates that LP received 42,304,837 FOR votes.
9,017,855 votes Withheld.
15,408,084 "Broker Non-Votes.

And the above was with "82.4% of the votes cast".
This is different from 82.4% of the 92,358,027 shares being voted.
Instead it appears the total votes tallied in regards to LP was 42,304,837 + 9,017,855 + 15,408,084 = 66,730,776 votes.
