Killtoy, yes they only get the incentive shares if they do their job, but as we saw from itld it won't move the stock up if they dilute. So if you want an incentive plan based on moving the stock up, vote no and get a concrete stock price set for the meeting.

Killtoy--that is the way it should work but does not always. The exec s have lined their pockets already and the BOD gets shares every three months for free. In my experience this is what I have seen. The shares or options are awarded usually based on level (mg director vp)
and years of service. eg mgr gets 10k shares vp gets 20k both vested after 1 or 2 or more years. Typically, if they get their performance reviews and get a rating of fair or good or outstanding -- in any case they keep their shares. Again, this is what happened at several companies I worked for and may be different for ACTC but I doubt it. Performance usually reflects promotions, salary increases and bonus but not shares awarded. imo
