If the acquisition is to go thru, there is no (honest) reason to issue these shares; The LOI calls for a 100% acquisition and whenever the purchase price will have been agreed to it will be a total $$$ amount, not a PPS.

I cannot find a reason for the number of A/S to have been increased other than a plan of action pre the LOI.
