If the Plantiff bought 40K worth of stock. The convertible debt agreements would have been *signed* before any funds were exchanged.

Instead this is like me sending you money (via a wire) and then trying to extort an agreement out of you when it was never finalized in the first place.

There is no firm agreement here.
